We (name of the Manufacturer), a manufacturer duly organized under the laws of (name of country) and having its principle place of business at (address of Manufacturer), hereby make, constitute and appoint (name of Trading Company), a company duly organised under the laws of (name of Eligible Source Country) and having its principle place of business at (address of Trading Company), to be our true and lawful attorney in fact to do the following:

我们（制造商名称）是按（国家名称）法律成立的一家制造商，主要营业地点设在（制造商地址）。兹指派按（国家名称）的法律正式成立的，主要营业地点设在（贸易公司地址）的（贸易公司名称）作为我方真正的和合法的代理人进行下列有效的活动：

(1) To represent and bind us in the People’s Republic of China for the Tendering Agent’s Invitation for Bid (IFB) No. for supply of the Goods proposed in the bid which we manufacture or produce.

（1）代表我方在中华人民共和国办理贵方第 号投标邀请要求提供的由我方制造的货物的有关事宜，并对我方具有约束力。

(2) That, as a manufacturer, we bind ourselves as co-maker of the bid and are jointly and severally responsible for the compliance of the said bid.

（2）作为制造商，我方保证以投标合作者来约束自己，并对该投标共同和分别承担招标文件中所规定的义务。

(3)That we hereby give and grant to the said (name of Trading Company) full power and authority to do and perform all and every act and thing whatsoever, requisite, necessary and proper to be done in the premises, as fully, to all intends and purposes as we might or could do, with full power of substitution and revocation, hereby ratifying and confirming all that (name of Trading Company) or its duly authorized representative shall lawfully do, or cause to be done by virtue hereof.

（3）我方兹授予（贸易公司名称）全权办理和履行上述我方为完成上述各点所必须的事宜，具有替换或撤销的全权。兹确认（贸易公司名称）或其正式授权代表依此合法地办理一切事宜。
