WHEREAS, Company has determined that a need exists for the consulting services outlined within this Agreement;

1. Scope of Service.

第一条 服务范围

Company hereby engages Consultant to perform the services including but limited to:

公司特此聘请顾问方提供包括但不限于以下服务：

a) 协助公司核查客户的信用记录；

 

b) Deal with all kinds of issues arising out of or in connection with the goods sales with Customer,

such as get orders from the Customer, coordinate the Customer to perform goods receipt and payment obligations;

b) 处理与客户商品销售相关的各类事宜，包括获取客户订单、协调客户履行收货及付款义

 

c) 促成公司与[ ]（以下简称"客户"）就产品达成交易（即顾问方应将客户引荐至公司并确保客户向公司采购商品）；

 

d) Consultant ensures the success of the deal, including but not limited to volume, price, payment, and logistics and so on according to Company’s requirements.

d) 顾问方应确保交易达成的各项要素符合公司要求，包括但不限于交易数量、价格、付款方式及物流安排等。

 

3. Competition.

第三条 竞业限制

The Consultant represents to the Company that the Consultant does not have any agreement to provide consulting services to any other party, firm, or company on matters relating to the scope of this consultancy, and will not enter into any such agreement during the term of this Agreement.

顾问方向公司声明，其未就本协议咨询事项与其他任何个人、企业或公司签订咨询服务协议，且在本协议有效期内不会签订此类协议。

 

4. Fees and Expenses.

第四条 服务费用及支出

Company shall pay to Consultant a fee of % total value ordered by the Customer to the Company, which in total ($). Except as specifically provided in the Agreement, all expenses shall be borne by Consultant. Consultant shall provide required Invoice before receiving the consultant fee according to Company’s request. The consultant fee will be paid by Company to the Consultant after Company receiving the full payment for goods from Customer successfully introduced by Consultant. Company has no obligation to pay the consultant fee before Company receives the full payment for goods from Customer and the required Invoice provided by the Consultant.

All consultant fees will be paid pre-tax to Consultant and all the tax will be in the Consultant’s charge.

公司应按客户向公司下达订单总金额的%向顾问方支付服务费，总计    （$）美元。除本协议特别约定外，所有费用均由顾问方自行承担。顾问方应根据公司要求于收取顾问费前提供合规发票。公司将在收到顾问方引荐客户支付的足额货款及合规发票后支付顾问费。在公司收到客户足额货款及顾问方提供的合规发票前，公司无支付义务。

所有顾问费均以税前金额支付，相关税费由顾问方自行承担。

 

Consultant hereby confirms and warrants that the above bank account information is true, valid and lawful, if there is any change at any time, Consultant will notify Company at least fifteen (15) working days in advance, otherwise the adverse consequences arising thereof shall be borne by Consultant.

顾问方特此确认并保证上述银行账户信息真实、有效且合法，如有变更应至少提前十五（15）个工作日书面通知公司，否则由此产生的不利后果由顾问方自行承担。

 

5. Term and Termination.

5. 合同期限和终止

This Agreement shall be commencing as of (“Effective Date”) and terminate upon completion of the project of Proforma Invoice . However, either party may terminate this Agreement for no reason upon thirty (30) days prior written notice. In the event of such termination, Consultant has no right to claim any consultant fee depends on the subsequent full payment from Customer (Or if Consultant successfully facilitate the deal of Company with Customer, Company must pay the consultant fee as remuneration, the consultant fee will cover all future deals made by Company and Customer, not just the first).

本协议自（“生效日期”）起生效，至形式发票项目完成时终止。但是，任何一方均可在提前三十（30）天书面通知的情况下无理由终止本协议。在本协议终止的情况下，顾问无权要求任何顾问费，这取决于客户随后的全额付款（或者，如果顾问成功促成公司与客户的交易，公司必须支付顾问费作为报酬，顾问费将涵盖公司与客户今后达成的所有交易，而不仅是第一笔交易）。

 

The Consultant will only use and keep all matters belonging to the Company, including documents, computer disks and other information carriers, including copies thereof, which it has received in relation to the performance of its tasks and it will in any case return them immediately to the Company if the Company requests so or if this agreement has ended.

咨询公司仅使用和保存属于公司的所有物品，包括文件、计算机磁盘和其他信息载体，包括其副本，这些物品是咨询公司在履行其任务时收到的，在任何情况下，如果公司提出要求或本协议已终止，咨询公司应立即将其归还公司。

 

8. Assignment.

8. 权利义务转让

 

Consultant shall not assign its duties hereunder without the prior written consent of Company.

未经公司事先书面同意，咨询顾问不得转让其在本协议项下的职责。

 

9 Binding Effect.

9 协议的约束力

This agreement shall be binding upon the parties hereto and upon their respective successors and assigns.

本协议对协议双方及其各自的继承人和受让人具有约束力。

 

10. Compliance with Laws.

10. 遵守法律

Consultant and its contractors, employees and agents shall comply with all pertinent federal, state and local statutes, codes and regulations. Consultant shall advise Company of all permits and licenses required to be obtained in Company’s own name, and shall cooperate with Company in obtaining same.

顾问及其承包商、雇员和代理应遵守所有相关的联邦、州和地方法规、规范和条例。顾问应告知公司需要以公司名义获得的所有许可和执照，并应配合公司获得这些许可和执照。

 

13. Warranty of Consultant.

13. 顾问保证

The Consultant hereby warrants to the Company that:

顾问特此向公司做如下保证：

 

(i) All the services it provided to Company under this agreement will be conducted faithfully by its experiential and professional employees who have acquired all the necessary license and authorization;

(i) 根据本协议向公司提供的所有服务都将由其经验丰富的专业员工忠实执行，这些员工已获得所有必要的许可和授权；

 

(ii) The services will in no event infringement any third party’s legal right, such as intellectual property right, and will be always compliance with the applicable law and regulations;

(ii) 所提供的服务在任何情况下都不会侵犯任何第三方的合法权利，如知识产权，并将始终 遵守适用的法律和法规；

 

16. Governing Law and Arbitration.

16. 准据法和仲裁

This Agreement shall be governed by the laws of People’s Republic of China. In case of any dispute arising from the execution of or in connection with this Agreement, the Parties shall first try to solve such dispute through friendly consultation. If a dispute cannot be solved through friendly consultation, the Parties agree to submit the dispute to the China International Economic and Trade Arbitration Commission for arbitration in Shenzhen, China, in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both Parties.

本协议受中华人民共和国法律管辖。因执行本协定或与本协定有关的任何争议，双方应首先通过友好协商解决。如果友好协商不能解决争议，双方同意将争议提交中国国际经济贸易仲裁委员会，按照申请仲裁时有效的仲裁规则在中国深圳进行仲裁。仲裁裁决为终局裁决，对双方均有约束力。

 

17. Notices.  17. 通知

All notices to Company in connection with this Agreement shall be sent to:

IN WITNESS WHEREOF, this Agreement has been executed and signed by both parties in two folds.

本协定一式两份，由双方共同签署，以昭信守。
