鉴于你方作为发包人已经与      (承包人名称) (以下称“承包人”)于      年    月     日签订了     (工程名称)施工承包合同(以下称“主合同”)。

Whereas, you, as the employer, have signed construction contract (hereinafter referred to as the "main contract") with       (name of contractor) (hereinafter referred to as "the contractor") on

一、保证的范围及保证金额

Scope and amount of guarantee

我方的保证范围是承包人未按照主合同的约定履行义务，给你方造成的实际损失。

我方保证的金额是主合同约定的合同总价款      %，数额最高不超过人民币   元(大写)。

The scope of our guarantee is the actual loss caused to you by the contractor's failure to perform his obligations as stipulated in the main contract.

The amount we guarantee is      % of the total contract price stipulated in the main contract, and the maximum amount shall not exceed      RMB (uppercase).

 

二、保证的方式及保证期间

Guarantee mode and guarantee period

 

我方保证的方式为：连带责任保证。

The way we guarantee is: joint liability guarantee.

 

我方保证的期间为：自本合同生效之日起至主合同约定的工程竣工日期后日内。

你方与承包人协议变更工程竣工日期的，经我方书面同意后，保证期间按照变更后的竣工日

期做相应调整。

Our guarantee period is: within the days from the effective date of this contract to the day after the completion date of the project as stipulated in the main contract.

If you and the contractor agree to change the completion date of the project, after our written consent, the guarantee period will be adjusted accordingly according to the changed completion date.

 

三、承担保证责任的形式

Forms of warrantee liability

 

我方按照你方的要求以下列方式之一承担保证责任：

We shall, at your request, assume warranty responsibility in one of the following ways:

 

(1) 由我方提供资金及技术援助，使承包人继续履行主合同义务，支付金额不超过本保函第

一条规定的保证金额。

Funding and technical assistance shall be provided by us to enable the contractor to continue to perform the main contractual obligations and the payment amount shall not exceed the guaranteed amount specified in article 1 of this guarantee.

 

(2) 由我方在本保函第一条规定的保证金额内赔偿你方的损失。

We shall compensate you for your losses within the guaranteed amount specified in article 1 of this guarantee.

 

四、代偿的安排

Arrangements for compensation

你方要求我方承担保证责任的，应向我方发出书面索赔通知及承包人未履行主合同约定义务的证明材料。索赔通知应写明要求索赔的金额，支付款项应到达的帐号，并附有说明承包人违反主合同造成你方损失情况的证明材料。

If you require us to assume the responsibility of guarantee, you shall send us a written notice of the claim with proof that the contractor has not fulfilled his obligations under the main contract. The notice of claim shall indicate the amount of the claim, the account number to which the payment shall be made, and a supporting document stating your losses caused by the contractor's breach of the main contract.

 

你方以工程质量不符合主合同约定标准为由，向我方提出违约索赔的，还需同时提供符合相

应条件要求的工程质量检测部门出具的质量说明材料。

If you submit a claim for breach of contract to us on the ground that the quality of the project fail to meet the standards stipulated in the main contract, you must also provide quality description materials issued by the engineering quality inspection authority that meets the requirements of the corresponding conditions.

 

我方收到你方的书面索赔通知及相应证明材料后，在工作日内进行核定后按照本保函的承诺承担保证责任。

We will within days upon receipt of your written claim notice with corresponding supporting documents and verification thereof, undertake the guarantee responsibility in accordance with the promise of this letter of guarantee.

 

五、保证责任的解除

Discharging guarantee responsibility

 

1、在本保函承诺的保证期间内，你方未书面向我方主张保证责任的，自保证期间届满次日

起，我方保证责任解除。

Within the guarantee period promised in this letter of guarantee, if you have not claimed to us in writing the guarantee responsibility, our guarantee responsibility shall be released and discharged and discharged from the day upon expiration of the guarantee period.

 

2、承包人按主合同约定履行了义务的，自本保函承诺的保证期间届满次日起，我方保证责

任解除。

If the contractor has performed its obligations as stipulated in the main contract, we guarantee that the liability will be released and discharged from the day upon expiration of the guarantee period promised in this guarantee.

 

3、我方按照本保函向你方履行保证责任所支付的金额达到本保函保证金额时，自我方向你

方支付(支付款项从我方帐户划出)之日起，保证责任即解除。

Where the amount paid by us to fulfill your guarantee obligation in accordance with this letter of guarantee reaches the amount guaranteed in this letter of guarantee, the guarantee responsibility will be released and discharged from the date when our payment to you (the payment is drawn from our account).

 

4、按照法律法规的规定或出现应解除我方保证责任的其它情形的，我方在本保函项下的保

证责任亦解除。

我方解除保证责任后，你方应自我方保证责任解除之日起个工作日内，将本保函原件

返还我方。

In accordance with the provisions of laws and regulations or other circumstances that should relieve our guarantee responsibility, our guarantee responsibility under this guarantee letter is also released and discharged.

After we release the warranty, you shall return the original copy of this guarantee to us within one business day from the date on which the warranty is released and discharged.

 

六、免责条款

Exemption clause

1、因你方违约致使承包人不能履行义务的，我方不承担保证责任。

If the contractor is unable to perform his obligations due to your breach of contract, we will not be responsible for the guarantee.

 

2、依照法律法规的规定或你方与承包人的另行约定，免除承包人部分或全部义务的，我方亦免除其相应的保证责任。

In accordance with the provisions of laws and regulations or otherwise stipulation agreed between you and the contractor, if the contractor is exempted or discharged from part or all of its obligations, we will also be exempted or discharged from their corresponding guarantee responsibilities.

 

3、你方与承包人协议变更主合同(符合主合同合同条款第 15 条约定的变更除外)，如加重承包人责任致使我方保证责任加重的，需征得我方书面同意，否则我方不再承担因此而加重部分的保证责任。

If, you and the contractor agree to change the main contract (except for the changes stipulated in article 15 of the main contract clause). If the contractor's responsibility is increased and our guarantee responsibility is aggravated, our written consent should be obtained, otherwise we no longer assume part of the guarantee responsibility.

 

4、因不可抗力造成承包人不能履行义务的，我方不承担保证责任。

If the contractor is unable to perform its obligations due to force majeure, we will not be responsible for guarantee.

 

七、争议的解决

Settlement of disputes

 

因本保函发生的纠纷，由贵我双方协商解决，协商不成的，任何一方均可提请仲裁委

员会仲裁。

Disputes arising from this guarantee shall be resolved through consultation between you and us. If the negotiation fails, either party may apply to the Arbitration Commission for arbitration.

 

八、保函的生效

Effectiveness of the guarantee

 

本保函自我方法定代表人(或其授权代理人)签字或加盖公章并交付你方之日起生效。

本条所称交付是指：

This letter of guarantee is effective from the date it is signed or stamped by the legal representative (or its authorized agent) and delivered to you.
