This contract is entered into between China Metro Tunnel Engineering Corporation (hereinafter referred to as the ‘Buyer’) and Herrenknecht AG, Germany (hereinafter referred to as the ‘Seller’) on the basis of friendly negotiation on the following terms:

第二条 合同范围

Article 2 Scope of Contract

2.1买方同意从卖方购买，卖方同意向买方出售全新的两台EPB盾构主机及其辅助设备、包括备件、工具、备用刀具和材料、管片模具(以上项目本合同中称为“合同设备”)、技术资料、技术服务和技术培训。

2.1 The Buyer agrees to purchase from the Seller, and the Seller agrees to sell to the Buyer, two brand new EPB shield mainframes and their auxiliary equipment, including spare parts, tools, spare cutters and materials, pipe sheet mould (the above items are referred to as ‘contract equipment’ in this contract), technical information, technical services and technical training.

2.2卖方应提供的合同设备的技术规格、性能和指标保证指标详见技术附件。

2.2 The technical specifications, performance and guaranteed indicators of the contract equipment to be provided by the seller are detailed in the technical annex.

2.3卖方负责合同设备的设计工作，并会同买方进行设计联络，设计联络内容详见技术附件。

2.3 The seller is responsible for the design of the contract equipment and will liaise with the buyer on the design, which is detailed in the technical annex.

第五条 交货和保险

Article 5 Delivery and Insurance

5.1   合同设备净重大约为800公吨，总毛重大约为1200公吨，总体积大约为2800 立方米。

5.1 The net weight of the contract equipment shall be approximately 800 metric tones, the total gross weight approximately 1,200 metric tones and the total volume approximately 2,800 cubic metres.
