第一条 服务范围
甲方在双方约定的加油地点为乙方提供航空燃料服务,包括但不限于向乙方销售航空燃料并将该航空燃料加注至乙方运营的飞机油箱。
Party A shall, at mutually agreed refueling locations, provides the aviation fuel services to Party B including but not limited to the sale of aviation fuel to Party B and the refueling of such aviation fuel into the fuel tanks of aircrafts operated by Party B.
第二条 加油地点
2.1 加油地点为甲乙双方通过本合同约定的签约机场,具体由本合同附件另行约定(附件一:加油地点)。
2.1 The refueling place shall, through this contract, be the contracted airport agreed by the parties, and the details thereof shall be separately stipulated in the Annex hereto (Annex I: Refueling Place).
2.2 加油地点的变更
2.2.1 如乙方需要新增或取消加油地点,乙方应当在实际加油或取消加油之日前三十(30)个工作日以书面形式将有关事宜通知甲方并与甲方协商航空燃料供应相关事宜。
2.2.1 Where Party B needs to add or cancel a refueling location, Party B shall notify Party A in writing of the relevant matters thirty (30) working days prior to the date of actual refueling or cancellation of refueling and negotiate with Party A on matters relating to the supply of aviation fuel.
2.2.2 如乙方需要新增加油地点,则甲方应当在接到乙方书面通知后五(5)个工作日内及时作出能否为乙方在新增机场提供航空燃料销售及加注服务的决定,并以书面形式予以答复。因乙方未按约定时间告知或告知内容遗漏、错误而导致的乙方加油不能或加油延误等后果均由乙方承担相关损失。
2.2.2 Where Party B requires additional refueling locations, Party A shall make decision without any delay on whether it can provide aviation fuel sales and refueling services to Party B at the additional airports within five (5) working days upon receipt of Party B's written notification of such need and shall respond in writing. Party B shall be liable for any damage caused by Party B's inability to refuel or delay in refueling due to Party B's failure to notify Party B in accordance with the agreed time, or omission or mistake in the content of the notification.
第三条 标准及数量
3.1 本合同下所供应的航空燃料须符合质量标准。乙方所需燃料型号及其标准,具体约定见本合同附件(附件二:航空燃料标准及加油量)。
3.1 The aviation fuel supplied hereunder shall meet the quality standards. The type and standards of fuel required by Party B are specified in the annex hereto (Annex II: Aviation Fuel Standards and Refueling Quantity).
3.2 本合同中约定的加油量为乙方年度计划需求量,具体由本合同附件另行约定(附件二:航空燃料标准及加油量)。
3.2 The refueling quantity stated in this contract is Party B's annual planned demand, the details of which shall be separately agreed upon in the annex hereto (Annex II: Aviation Fuel Standards and Refueling Quantity).
3.4 如乙方需要甲方为其使用的调机或湿租飞机提供航空燃料销售及加注服务,乙方应当在实际加油之日前三十(30)个工作日以书面形式与甲方协商。

3.5 New routes or cancellation of routes
3.5.1 如果乙方要开辟新航线或取消航线,则应提前十(10)个工作日以书面形式通知甲方并与甲方协商增加或减少航空燃料供应相关事宜。
3.5.1 Party B which operate new routes or cancel routest shall give Party A prior ten (10) working days' written notice and negotiate with Party A on the matters relating to the increase or decrease of aviation fuel supply.
3.5.2 如乙方开辟新航线,则乙方须在开辟新航线的书面通知中向甲方提供新开辟航线的航班机型、每周班次及每月计划用油量等信息。
3.5.2 Party B which if operate a new route shall provide Party A with the information such as the type of flights on the new route, the weekly frequency and the planned monthly fuel consumption in the written notice of the new route.
第四条 交付
4.1 交付指甲方按乙方要求的加油量将航空燃料加注至乙方飞机油箱的行为。当航空燃料通过受油飞机的油箱进油口时,该航空燃料的所有权及风险转移至乙方。
4.1 Delivery refers to the act of filling aviation fuel into the tanks of Party B's aircraft in the amount required by Party B. The ownership and risk of such Aviation Fuel shall pass to Party B upon filling aviation fuel into the tanks of Party B's aircraft through the fuel tank inlet of the fuelled aircraft.
4.2 每机/次加油完毕时,乙方工作人员应当在甲方提供的加油单(纸质或电子)上签字确认所接收的航空燃料数量,无正当理由不得拒绝签字。存有争议时,应当签字并注明争议事由。
4.2 Party B's staff shall, upon completion of each refueling, sign the refueling slip (paper or electronic) submitted by Party A to confirm the quantity of aviation fuel received, and shall not refuse to sign without justifiable reasons. In case of dispute, the staff shall sign and state the cause of dispute.
第五条 计量
5.1 甲方加油车流量计所指示的数值和按规定测定的实际密度值是交付航空燃料及结算的依据。
5.1 The value indicated by the flow meter of Party A's refueling vehicle and the actual density value determined in accordance with the regulations shall be the basis for the delivery and settlement of aviation fuel.
8.3 结算单据及结算周期
8.3 Settlement Documents and Settlement Period
8.3.1 结算单据指发票、纸质加油单或电子加油单、加油单汇总表等能够作为结算依据的各类单据的统称。
8.3.1 The settlement documents refer to all types of documents that can be used as the basis for settlement, such as invoices, paper or electronic refueling slips, and summary sheets of refueling slip.
8.3.2 结算单据开具周期为每日/周/月。
8.3.2 The cycle of issuing settlement documents is daily/weekly/monthly.
第九条 操作安全
9.1 甲方须按照中国民用航空局发布的《民用航空器加油规范》(行业标准MH/T 6005)和《民用航空燃料质量控制和操作程序》(行业标准MH/T 6020)中注明的标准操作程序为乙方提供航空燃料加注或抽油服务。
9.1 Party A shall provide Party B with aviation fuel filling or pumping services in accordance with the standard operating procedures indicated in the Specification for Civil Aircraft Refueling (industry standard MH/T 6005) and Civil Aviation Fuel Quality Control and Operating Procedures (industry standard MH/T 6020) issued by the Civil Aviation Administration of China.
9.2 在航空燃料加注或抽油过程中,由乙方工作人员负责操作其运营飞机油箱上的手(电)动阀门、仪表、开关、油量表、流量计等设备。
9.2 Party B's staff shall, during aviation fuel filling or pumping, be responsible for operating manual (electric) valves, gauges, switches, fuel gauges, flow meters, and other equipment on the fuel tanks of the aircraft they operate.
10.1 甲方的违约责任
10.1.1 甲方应当向乙方提供达到本合同约定的质量标准的航空燃料,如因航空燃料质量未到达合同约定标准而导致乙方遭受损失,甲方应当对乙方的损失承担责任。
10.1.1 Party A shall provide Party B with the aviation fuel that complies with the quality standards stated in this Contract, and if Party B suffers loss due to the quality of aviation fuel not complying with the stated standards in the Contract, Party A shall be liable for Party B's loss.
10.1.2 如果因乙方未按约定时间告知或告知内容遗漏、错误而导致的乙方加油不能或加油延误等后果时,甲方不承担责任。
10.1.2 Party A shall not be liable for any consequences such as inability to refuel or delay in refueling due to Party B's failure to comply with the agreed time of notification, or any omission or error in the content of the notification.
10.2 乙方的违约责任
10.2.1 在加/抽油操作过程中,如果因乙方工作人员操作不当造成损失的,乙方应当承担相应责任。
10.2.1 Party B shall, during oil filling/pumping operation, be liable for any damage due to the improper operation by its staff.
10.2.2 如乙方未按本合同约定及时足额付款或拒绝付款,则自乙方违约之日起, 每逾期一日乙方应当按该结算周期应付金额的

第十一条 不可抗力
11.1 不可抗力指不能预见、不能避免并不能克服的客观情况,包括但不限于洪水、火灾、地震、极端天气、战争、政策改变、罢工、瘟疫等。
11.1 Force majeure refers to the objective circumstances which cannot be foreseen, avoided and overcome, including but not limited to floods, fires, earthquakes, extreme weather, wars, changes in policy, strikes, plagues, etc.
11.2 任何一方因不可抗力而部分或全部不能履行本合同项下的义务时,应在不可抗力发生后的十(10)小时内以书面、电话或其它合理形式尽快通知对方。
11.2 The any party which partially or totally unable to perform its obligations hereunder due to Force Majeure shall, within ten (10) hours of the occurrence of the Force Majeure, notify the opposite as soon as practicable, in writing, by telephone or in any other reasonable form.
11.3 因不可抗力而无法履行本合同项下的义务,给对方造成损失时,根据不可抗力的影响,遭受不可抗力的一方,可部分或全部免责。
11.3 In the event of force majeure preventing the fulfillment of the obligations hereunder and causing damage to the other party, the party subject to the force majeure shall be partially or fully exempt from liability, depending on the effects of the force majeure.
