工程合同中有关承包方联合体的条款（中英文对照）

联合体Consortium

联合体各方应共同与发包人签订合同协议书。联合体各方应为履行合同向发包人承担连带责任。

The parties of consortium should commonly enter into and conclude contract agreement with the employer and assume the joint and several liabilities to the employer for the performance of contract.

联合体协议经发包人确认后作为合同附件。在履行合同过程中，未经发包人同意，不得修改联合体协议。

Consortium’s agreement will, subject to the employer’s confirmation, deem as appendix to contract and without the employer’s consent during performance, no amendment thereof be allowed.

联合体牵头人负责与发包人和监理人联系，并接受指示，负责组织联合体各成员全面履行合同。

The founder or leader of consortium shall be responsible for contact with the employer and the supervisor, and accept the instruction therefrom, in addition to organize all parties of consortium for full performance of contract.

If the Contractor constitutes (under applicable Laws) a joint venture, consortium or other unincorporated grouping of two or more persons:

如果承包商是由两个或两个以上当事人（依照适用法律）组成的联营体、联合体，或其他非法人团体：

(a)   these persons shall be deemed to be jointly and severally liable to the Employer for the performance of the Contract;

这些当事人应被认为在履行合同上对雇主负有连带责任.

(b) these persons shall notify the Employer of their leader who shall have authority to bind the Contractor and each of these persons; and

 这些当事人应将有权约束承包商及每个当事人的负责人通知雇主.

The Members hereby establish a joint venture being an unincorporated association under the name of (name of JV) or such other name as the Members shall unanimously agree from time to time (hereinafter called the “Joint Venture”) for the purposes of: --preparing and submitting the Proposal to the Client;

成员据此建立一个联合体，一个名叫（JV的名字）未合并在内的组合或这样其他的名字，应该有时为如下目的全体一致同意（下文中称“联合体“）：

The Members hereby appoint the Leading Member and, pursuant to Clause 3.6, the representative of the JV, and confirm the addresses of the Members respectively, as stated in Schedule 1.

成员约定领导成员，按照3.6条款，联合体代表，按照表1规定确定成员各自的地址。

The Joint Venture Model Agreement was prepared essentially to be used for the association between two or more Consultants, when:

准备联合协议样式对于两个或更多的咨询联合体是非常必要的，当：

No Member shall have authority to bind or to make any commitment on behalf of the JV or any other Member unless such authority is expressed in writing by the Members jointly in regard to the JV, or by a Member individually in regard to the (other) Member.

未经联合体成员以书面联署授权，任何成员不得代表联合体或其他成员就有关联合体，或某个成员单独就其他成员做出承诺。

From the date of this Agreement until award of the Services Agreement to the JV or until this Agreement shall terminate in accordance with its terms, whichever is the earlier, the following matters shall require the unanimous consent of the Members:

从本协议生效之日起，至服务协议授予联合体或本协议终止之日止，以先者为准，下列事项必须有所有成员达成一致：

All documents produced by a Member or the Members in connection with the Project which are made available to persons other than the Members shall bear the name of the JV.

由各成员提交的将提交给成员之外的其他人的文件，均以联合体名义。

由甲方牵头，乙方和丙方参加，组成联合体共同进行本招标项目的投标工作。

Party A as a leader, and Party B, Party C as members, form a CONSORTIUM to make a joint bidding for the project.

为本次投标的主体单位，联合体以主体方的名义参加投标，联合体中标后，联合体各方共同与招标方签订合同，就本中标项目对招标方承担连带责任。

is the leading party for the tender, and the CONSORTIUM submit a bid on the behalf of the leading party, if the CONSORTIUM is awarded, all members of the CONSORTIUM sign a contract with the employer and assume joint and several liability for the employer on the project.

各方不得再以自己名义在本项目中单独投标。联合投标的项目责任人不能作为其它联合体或单独投标单位的项目组成员。因发生上述问题导致联合体投标成为废标，联合体的其他成员可追究违约行为。

Each member shall not make a bid in this project in one’s own name. The leader shall not be a member of other CONSORTIUMS or solo bid party. If the CONSORTIUM bid becomes abandoned tender due to the problems above, other members of CONSORTIUM can take actions against his breach.   

_____ 和_____  组成联合体，参加招标编号为 _____的项目共同投标，我单位现授权

_____  (联合体主办方名称)为本投标联合体主办方，联合体主办方负责投标项目的一切组织、协调工作，并授权投标代理人以联合体的名义参加项目的投标，代理人在投标、开标、评标、合同谈判过程中所签署的一切文件和处理与本次招标有关的一切事务，联合体各方均予以承认并承担法律责任。

 (The names of members), _____and _____ form a CONSORTIUM, and make a joint bid for the project No. _____ , now we authorize _____(the name of CONSORTIUM) as the leader of CONSORTIUM and the leader is in charge of all organization and coordination work for bidding, and authorize tender agent to bid on the behalf of CONSORTIUM, and then all the members acknowledge and bear legal the liability for all documents signed and events dealt relating to the bid in the process of bidding, bid opening, bidding evaluation and contract negotiation by tender agent.

《设计-建造-运行》（DBO）合同承包方式是将设计、建造、设备长期运行（和维护）结合到一个合同中授予一个承包商（一般是具有《设计-建造-运行》合同要求所有技能的联营体或联合体）

The DBO approach to contracting combines design, construction, and long-term operation (and maintenance) of a facility into one single contract awarded to a single contractor (who will usually be a joint venture or consortium representing all the skills called for in a DBO arrangement).
