甲乙双方本着互惠互利、资源共享、技术互补和共同发展的原则，经双方友好协商,就甲方向乙方提供电力线载波模块及相关电力线载波技术方案，达成合作意向，为明确双方的权利、义务特制订本协议。

Party A and Party B, through friendly negotiation on the basis of mutual benefit, resource sharing, technology complementarity and common development, reach the cooperation intention for Party A’s provision of the technical scheme on the power line carrier module and relevant power line carrier to Party B. This agreement is hereby formulated to clarify the rights and obligations of the parties hereto.

一、合作内容

1. Contents of cooperation

电力线载波系统：包括管理软件；集中器；单、三相（单费率）载波电度表；单、三相复费率载波电度表；单、三相预付费载波电度表；载波模块。

Power line carrier wave system: including management software, concentrator, single and three phase (single rate) carrier wave kilowatt-hour meter, single and three phase dual rate carrier wave kilowatt-hour meter, single and three phase prepaid carrier wave kilowatt-hour meter, carrier wave module.

 二、合作方式2. Ways of cooperation

2.1甲方按照乙方需求设计提供符合要求的全套载波电表设计、生产、调试技术方案，乙方按照方案生产整表。集中器、载波模块、MCU芯片、软件由甲方负责提供。

2.1. Party A, in accordance with the needs of Party B, shall design and provide the whole set of carrier wave ammeter design, production and testing technical solutions meeting the requirements; and the Party B, according to the solutions made above, shall carry out the production of entire meter, while the Party A shall provide concentrator, carrier wave module, MCU chip and software.

五、双方的权利义务

5. Rights and obligations of both parties

5.1甲方负责技术支持和前期产品调试指导，合作前期必要时甲方派专人去现场进行技术指导。

5.1 Party A is responsible for technical support and product’s pre-debugging guidance, and Party A shall send specially-assigned person to the site for technical guidance when necessary in the prophase of cooperation;

5.4合作后期，甲方负责提供载波模块、集中器、系统软件；乙方负责自行设计生产载波电表整表及系统的调试和服务。

5.4 During the late cooperation period, Party A shall be responsible for providing the carrier wave module, concentrator and system software; and Party B shall be responsible for the design and production of the whole carrier wave ammeter and the debugging and service of the system.

六、技术及其他约定

6. Technical and other conventions

6.2甲方向乙方提供单三相电度表PCB板的外形寸图。

6.2 Party A shall provide Party B with the single and three phase kilowatt-hour meter’s PCB board outline inch map.

十一、适用法律 11. Applicable Law

本协议的一切条款，按     国现行有关法令和条例执行。在本协议生效之后，由于国家颁布新的法律、法令、条例，或对原有的条款进行了修改，致使甲方或乙方的经济利益发生变化，应及时协商，并对本协议的有关条款作为必要的修正或调整，以维护各方的正常经济利益。

All terms of this agreement shall be implemented in accordance with the relevant decrees and regulations of      . After this Agreement comes into force, the economic interests of new laws, decrees, regulations or the amendment of the original provisions of Party A or Party B shall be changed, which shall be timely negotiated, and the relevant provisions of this agreement shall be amended or adjusted as necessary to safeguard the normal economic interests of all parties.
