6 设计工作范围  6. Design Work Scope

6.1 设计工作范围和内容  6.1 Design work scope and content

6.1.1 分包商应按照本分包合同专用合同条件约定的设计工作范围和内容进行勘察和/或设计工作，在分包合同约定的期限内履行勘察和/或设计义务。

 

6.1.1 The Subcontractor shall carry out the survey and/or design works in accordance with the scope and content of the design work as specified in the Special Conditions of Contract for this Subcontract and perform the survey and/or design obligations within the period agreed in the Subcontract.

 

6.1.2 如勘察和/或设计工作范围和内容发生变化，承包商应及时通知分包商，以便分包商按照变化后的设计工作范围和内容进行设计工作。

6.1.2 The Contractor shall duly notify the Subcontractor of any variation in the scope and content of the investigation and/or design work for the Subcontractor to carry out the design work in accordance with the changed scope and content of the design work.

 

6.1.3 如勘察和/或设计工作范围和内容发生变化，承包商有权调整本分包合同的合同价格，承包商和分包商应商定新的分包合同价格。

6.1.3 For any variation in the scope and content of the survey and/or design work, the Contractor shall be entitled to adjust the contract price hereof and the new Subcontract price shall be agreed by the Contractor and Subcontractor.

 

6.2 施工图设计  6.2 Design of construction drawing

6.2.1 如承包商要求分包商进行施工图设计，应在分包合同中予以明示约定。

6.2.1 Where the Contractor requires the Subcontractor to make the construction drawings, which shall be expressly set forth in the subcontract.

 

7 设计依据  7 Design basis

7.1 设计依据文件  7.1 Document for design basis

7.1.1 承包商应在本分包合同专用合同条件中明示约定分包商从事勘察和/或设计所依据的文件，这些文件包括但不限于：

7.1.1 The documents upon which the Subcontractor will rely to carry out the survey and/or design shall be expressly set forth by the Contractor in the Special Conditions of Contract for this Subcontract.

 

（a）分包合同协议书；(a) Subcontract agreement;

（b）主合同的技术协议（如有）；

(b) Technical agreement of the master contract (if any);

 

（c）本分包合同约定工程的主要技术标准、设计规范和规程。

(c) The main technical standards, design specifications and procedures for the work hereunder.

 

7.2 设计标准  7.2 Design Standard

7.2.1 分包商应按照本分包合同专用合同条件约定的设计标准进行勘察和/或设计工作。

7.2.1 The Subcontractor shall carry out the survey and/or design works in accordance with the design standards set forth in the Special Conditions of Contract for this Subcontract.

 

7.2.2 如业主和/或工程师提出新的或补充的或增加的设计标准和规范，要求承包商按照新的或补充的或增加的设计标准和规范进行设计，则分包商应在收到承包商书面通知后，遵照指示，按照新的或补充的或增加的设计标准和规范进行设计。

7.2.2 Provided that the Owner and/or the Engineer propose new or additional or increased design standards and specifications and require the Contractor to make the design subject to the new or additional or increased the standards and specifications of design, the Subcontractor shall, upon receipt of written notice from the Contractor, comply with the instructions and design in accordance with the new or additional or increased design standards and specifications.

 

7.2.3 除非专用合同条件另有约定，如按照新的或补充的或增加的设计标准和规范进行设计导致设计费用的增加时，承包商和分包商应商定增加的设计费用。

7.2.3 Unless otherwise specified in the Special Conditions of Contract, where the design in accordance with new or additional or increased design standards and specifications achievements in an increase in design costs, the Contractor and Subcontractor shall agree on the increased design costs.

 

8 承包商设计审查和业主/工程师的设计审批

8 Contractor's design review and owner/engineer's approval for design

 

8.1 承包商组织设计审查会议

8.1 Review meetings held by the Contracto

 

8.1.1 承包商可自行组织设计审查会议，对分包商的设计成果，无论是中间设计成果还是最终设计成果进行审查，承包商自行组织的设计审查会议所发生的费用由承包商承担。

8.1.1 The Contractor may organize on its option the design review meetings to review subcontractors' design achievements, whether intermediate or final, and the costs incurred by the Contractor in organizing its own design review meetings shall be borne by the Contractor.

 

8.1.2 分包商应与承包商商定需要采纳的设计修改意见和建议。分包商应按承包商和分包商商定的设计修改意见和建议对设计进行修改或更正。

8.1.2 The Subcontractor shall agree with the Contractor on the design modifications and recommendations to be adopted and shall make modifications or corrections to the design in accordance with the design modifications and recommendations agreed between the them.

 

8.1.3 分包商按照商定的修改意见和建议对设计的修改或更正，并不能免除分包商在本分包合同项下应承担的设计义务。

8.1.3 The modifications or corrections to the design made by the Subcontractor in accordance with the agreed modifications and recommendations shall not relieve its obligations in respect of the design hereunder.

 

8.2 业主/ 工程师的设计审批  8.2 Design approval by the Owner / Engineer

8.2.1 分包商负有义务通过业主/工程师组织的针对设计成果，包括中间设计成果或最终设计成果的各项审查。

8.2.1 The Subcontractor shall, through the Owner/Engineer, be obliged to organize all reviews of the design achievements, including intermediate or final design achievements.

 

8.2.2 在设计阶段的全过程中，分包商在征得承包商同意的情况下可负责代表承包商向业主代表进行解释和答疑。分包商对其设计成果的解释和答疑方式可包括面对面解释和答疑，通过书面方式进行解释和答疑，通过解释设计采用的应用程序进行解释和答疑等。

8.2.2 The Subcontractor may, throughout the design phase and with the Contractor's consent, be responsible for providing explanations and answering questions to the Owner's Representative on behalf of the Contractor. Subcontractors' explanations and answers to their design deliverables may include doing so by face-to-face, by written means and by explaining the application used for the design, etc.

 

8.2.3 分包商负有义务按业主/工程师审查意见进行修改，并获得业主/工程师的审查确认。分包商应业主/工程师的书面要求对设计成果，包括中间设计成果和最终设计成果进行的修改，视为设计工作的必要组成部分，包含在本合同总价中，不另行计费。

8.2.3 The Subcontractor is obliged to make the modification under the review opinion of the Employer / Engineer and to be confirmed by them. The modifications to the design achievements, including intermediate and final design achievements, made by the Subcontractor at the written request of the Owner/Engineer shall be deemed as a necessary part of the design work and the cost thereof has been included in the lump sum price of this Contract and shall not be charged separately.

 

8.2.4 如果业主/工程师认为或确认任何设计文件有缺陷或不符合本分包合同约定时，承包商应通知分包商，同时说明理由。分包商负有义务在业主/工程师要求的期限内完成对设计成果的修改工作，并取得业主/工程师的批准。

8.2.4 Provided that the Owner/Engineer deems or confirms any of the design documents are defective or fail to conform to this Subcontract, the Contractor shall notify the Subcontractor with the reasons therefor. The Subcontractor shall, within the period required by the Owner/Engineer, be obliged to complete the revision of the design achievements and obtain the approval of the Owner/Engineer.

 

8.2.5 业主/工程师对设计文件、图纸及资料的确认或批准并不解除分包商对设计文件、图纸及资料所负有的设计责任和义务。

8.2.5 The confirmation or approval by the Owner/Engineer on the design documents, drawings and Information does not relieve the Subcontractor of its design responsibilities and obligations in respect of the design documents, drawings and information.

 

9 设计错误等  9 Design errors, etc

9.1 设计错误、遗漏、模糊、矛盾及缺陷

9.1 Errors, omissions, ambiguity, contradictions and defects in design

 

9.1.1 分包商应自付费用，及时修正设计文件中所有的错误、遗漏、模糊、矛盾及缺陷。

9.1.1 The Subcontractor shall, at its own expense, promptly rectify all errors, omissions, ambiguities, contradictions and defects in the design documents.

 

9.1.2 如果分包商要求对已批准的设计文件进行修改，应通知承包商并提出书面修改理由，并向承包商提交修改后的文件供审查批准。

9.1.2 Provided that the Subcontractor requires changes to the approved design documents, the Contractor shall be notified, provided with written justification for the changes and the revised documents for review and approval.

 

10 设计成果的交付和最终认可

10 Delivery and final approval of the design achievements

 

10.1 设计成果交付方式

10.1 Delivery manner of the design achievements

 

10.1.1. 分包商应向承包商提交的设计成果的数量、质量和内容应满足分包合同的要求，包括纸质设计成果文件和电子版设计成果文件。

10.1.1. The quantity, quality and content of the design achievements to be submitted by the Subcontractor to the Contractor shall meet the requirements of the Subcontract, including the same of paper and electronic version.

 

10.1.2 分包商在提供纸质文件的同时应提供用于设计审批所需的电子文件，提供的电子文件应满足以下条件：

10.1.2 The Subcontractor shall provide electronic documents required for design approval along with the paper version and the electronic documents provided shall meet the following conditions.

 

(a) 满足承包商进行打印和计算机屏幕显示的要求；

(a) Meeting the Contractor's requirements for printing and computer screen display.

 

(b) 图纸电子文件应采用与图纸文件编号一一对应的文件命名格式，并具有易读性，设备材料清册用 Excel 格式编制；

(b) Electronic documentation of drawings should be in a file naming format corresponding to the drawing file number and be easy to read, with the inventory of equipment and materials being prepared in Excel format.

 

(c) 所有资料、图纸的企业标识按专用合同条件约定执行。

(c) The enterprise identification of all materials and drawings shall be made pursuant to the special contract conditions.

 

10.2 设计成果文件签收  10.2 Signing for documents of the design achievement

10.2.1 除专用合同条件另有约定外，承包商可在中国和/或现场签收分包商编制的设计文件和设计图纸。

10.2.1 Unless otherwise specified in the Special Conditions of Contract, the Contractor may sign for the design documents and design drawings which prepared by the Subcontractor in China and/or on site.

 

10.2.2 分包商在递交设计成果文件时，应以书面方式递交。承包商在收到分包商递交的设计成果文件时应予签收。

10.2.2 The Subcontractor shall submit the design outputs in writing when submitting them. The Contractor shall sign for the design deliverables upon receipt by the Subcontractor.

 

10.3 设计成果文件的版本  10.3 Versions of the design achievement document

10.3.1 分包商应在设计成果文件上注明具体的版次，并注明正式递交的版次和施工图纸的版次。

10.3.1 The Subcontractor shall indicate the specific edition order on the design achievements document, in addition to indicate the edition order of the official submission and the edition of the working drawings.

 

10.3.2 分包商应及时向承包商发出书面通知，说明设计成果文件版次的变化。

10.3.2 The Subcontractor shall give written notice without delay to the Contractor of changes to the version of the design output document.

 

10.4 设计成果文件的最终认可 

10.4 Final approval of the design achievement documents

 

在不损害本分包合同其他条款约定的情况下，分包商设计成果文件的最终认可以取得业主和/或工程师的书面批准为准。

Without prejudice to the other provisions of this Subcontract, the final approval of the Subcontractor's design achievements shall be subject to the written approval of the Owner and/or the Engineer.
