根据       国相关法律法规，以下各方经协商一致，自愿签订本《融资租赁三方协议》（下称三方协议）。

In accordance with the relevant laws and regulations of the country of      , the following parties, by consensus, have voluntarily entered into this Tripartite Agreement on Financial Leasing (hereinafter referred to as Tripartite Agreement).

(1) 鉴于承租人和出租人之间的融资安排，承租人自主选定船舶和出卖人，由出租人出资向出卖人购买并以融资租赁方式将船舶出租给承租人使用。为此目的，承租人与出租人签署合同编号为_______ 的《船舶融资租赁合同》  和相关文件（以下简称为“《船舶融资租赁合同》”）；

Whereas

(1) Whereas the financing arrangement between the lessee and the lessor whereby the lessee selects the vessel and the seller at its own expense, the lessor purchases the vessel from the seller at the lessor's expense and leases the vessel to the lessee for its use by way of a financial lease. for this purpose, the lessee and the lessor enter into the vessel finance lease contract and related documents with contract number _______ (hereinafter referred to as the "vessel finance lease contract");

(2) 为满足上述融资安排之需要，出租人与出卖人于_____年___月____日签订《船舶建造合同》(包括其所有附件、附录和由双方不时签署的其他相关文件) (合同编号_____，以下简称为“《船舶建造合同》”)。出卖人同意根据《船舶建造合同》的约定建造并向出租人出售和交付_____条_____船（船号：_____）(以下简称为“船舶”)。

兹此，《三方协议》各方达成一致如下：

(2) For the purpose of fulfillment of the above financing arrangement, the lessor and the Seller entered into the Vessel Manufacture Contract (including all annexes, appendices thereto and other relevant documents signed by the parties from time to time) on ___ day ___ month ____ year (Contract No. _____, hereinafter referred to as the "Vessel Manufacture Contract"). The seller agrees to build, sell and deliver to the lessor the _____ vessel (vessel No. _____) (hereinafter referred to as the "vessel") in accordance with the terms of the Vessel Manufacture Contract.

Therefore the parties to the Tripartite Agreement hereby agree as follows:

(1) 出卖人、承租人和出租人分别是一家依据其注册地法律合法成立并存续的公司，具有独立的法人地位，具有合法资质以其自身名义从事本《三方协议》项下之交易；

 (1) The seller, the lessee and the lessor are each a company legally established and subsisting under the laws of its place of incorporation, with independent legal personality and legally qualified to engage in the transactions under this Tripartite Agreement in its own name;

(2) 各方有权签署和履行本《三方协议》，并已履行所有授权程序或手续；

(2) The parties are authorised to conclude and perform this Tripartite Agreement and have complied with all authorisation procedures or formalities;

(3) 代表各方签署本《三方协议》的授权代表已由各方正式和不可撤销地授权，其在授权范围内的行为将约束各方；

(3) The authorised representatives signing this Tripartite Agreement on behalf of the parties have been duly and irrevocably authorised by the parties and will bind the parties to act within the scope of their authorisation;

建造监造人基于任何在船舶建造过程中测试、检验或试航而作出的批准、拒绝和承诺对出租人具有约束力，但对《船舶建造合同》中船舶价格、交付日期、船型、船级社/船检机构或船舶结构等产生重大影响的内容的变更和对规格书的重大修改应征得出租人的书面同意。

The approvals, rejections and undertakings given by the manufacture supervisor on the basis of any testing, inspection or commissioning during the manufacture of the vessel shall be binding on the lessor, except that changes to the vessel manufacture contract which materially affect the price of the vessel, the date of delivery, the type of the vessel, the classification societies/inspecting organizations, or the structure of the vessel, and material modifications to the specifications shall be subject to the Lessor's consent in writing.

5. 船舶交付和船舶所有权

5. Delivery of the vessel and ownership of the vessel

根据《船舶建造合同》的约定在船舶满足交付条件时，由出卖人直接向承租人交付船舶。自船舶交付之时起出租人取得船舶的所有权。承租人应自付费用安排船舶的检查、验收和交接工作。出租人有权派人参与监督租赁船舶交接过程。出租人应在承租人书面确认船舶以及交船文件满足交付条件后，按照《船舶建造合同》的约定与出卖人签署《船舶交接书》。

In accordance with Vessel Manufacture Contract, the seller shall, subject to the satisfaction of the delivery conditions, deliver the vessel directly to the lessee and the lessor acquires ownership of the vessel from the time of delivery. The lessee shall arrange for the inspection, acceptance and handover of the vessel at its own expense. The lessor has the right to send its personnel to supervise the handover of the leased vessel. The lessor shall, upon the lessee’s confirmation in writing of satisfaction of the vessel and the delivery documents, sign the Vessel Handover Letter with the seller in accordance with the Vessel Manufacture Contract.

8. 适用法律和争议解决

8. Applicable law and dispute resolution

本《三方协议》适用      国法律。有关本《三方协议》的一切争议，各方应首先根据本《三方协议》约定的内容友好协商解决，如协商不能解决的，各方均有权将争议提交《船舶融资租赁合同》约定的争议管辖机构解决。

This Tripartite Agreement shall be governed by the laws of the country of      . All disputes relating to this Tripartite Agreement shall first be resolved by amicable negotiation between the parties in accordance with the contents of this Tripartite Agreement, and failure of being resolved by negotiation, each party shall have the right to submit the disputes to the disputes jurisdiction organization as stated in the Vessel Finance Lease Contract for resolution.

9. 其他  9. Miscellaneous

(1) 如本《三方协议》与《船舶建造合同》之间有任何冲突，就冲突部分的内容，本《三方协议》的约定应优先适用。

(1) In the event of any conflict between this Tripartite Agreement and the Vessel Manufacture Contract, the provisions of this Tripartite Agreement shall prevail in respect of the conflicting parts.
