Lessor hereby leases to Lessee, and Lessee leases from Lessor on an exclusive basis, subject to the terms and conditions of this Agreement, one (1) helicopter ( model of Robinson R44 Clipper II )which made in ROBINSON HELICOPTER COMPANY, USA, consists of an airframe bearing Manufacturer’s Serial No. 27 and FAA registration number N5VJ, together with its three (3) installed Garrett TFE-731 series engines bearing manufacturer’s serial numbers P-97154, P-97152 and P-97318, its installed avionics and parts and all original and complete logbooks, documents and records related thereto (collectively referred as the “Helicopter”).

出租人特此将一（1）架罗宾逊直升机公司（ROBINSON HELICOPTER COMPANY, USA）制造的Robinson R44 Clipper II 型直升机出租给承租人，承租人根据本协议的条款和条件独家从出租人处租赁，机身序列号为27 和FAA 注册号 N5VJ，连同三(3) 台已安装的 Garrett TFE-731 系列发动机（制造商序列号为 P-97152、P-9714 和 P-97318）、已安装的航空电子设备和部件以及与之相关的所有原始完整的航行日志、文件和记录（统称为 "直升机"）。

 

2. Term.  第2条协议期限

The term of this Agreement shall commence on the Delivery Date and shall continue for a period of seventy-two (72) months therefrom (“Term”) except as may be terminated in accordance with Section 10.

本协议的期限自交货日期起，持续七十二 (72) 个月（"期限"），但根据第10 节的规定可以终止的情形除外。

 

3. Rental; Taxes.  第3条租金；税费

(a) Lessee shall pay to Lessor a one-time rent payment in the amount of Three Million US Dollars (US$3,000,000) (“Rent”) on the Delivery Date. In the event the Lease is terminated by either party for any reason prior to the expiration of the Term, Lessor shall refund to Lessee pre-paid Rent on a pro-rated basis based on the actual number of calendar days remaining in the Term from and after the effective date of termination. Rent, which does not include the taxes or fees described in Section 3(b), below, shall be paid by Lessee to Lessor in immediately available U.S. funds to an account to be specified by Lessor.

4. Delivery Condition of Helicopter.

(a) Lessor shall deliver the Helicopter to Lessee at Teterboro Airport (TEB) in Teterboro, New Jersey on a date that is mutually agreeable to the parties (“Delivery Date”).

(a) 出租人应在双方同意的日期 （"交付日期"）在新泽西州Teterboro的Teterboro机场（TEB）向承租人交付直升机。

 

(b) Lessor shall deliver the Helicopter to Lessee on the Delivery Date in the following condition:

(b) 出租人应在交付日期将直升机按下列状况交付承租人：

 

(i) current on and in compliance with manufacturer’s recommended inspection and maintenance program, with all calendar and hourly inspections that must be completed on or before the Delivery Date completed without deferment or extension;

(i) 当前正在进行并符合制造商建议的检查和维护计划，所有应当在交付日期或之前完成的日历检查和小时检查均已完成，不得延期或延长；

 

(ii) operational and in an airworthy condition with a current and valid FAA Standard Airworthiness Certificate and registered on the FAA Civil Helicopter Registry;

(ii) 可运行且处于适航状态，具有现行有效的美国联邦航空局标准适航证书，并在美国联邦航空局民用直升机注册处注册；

 

(iii) with all systems functioning normally in accordance with manufacturer’s specifications and in compliance with all applicable FAA Airworthiness Directives and all applicable manufacturer mandatory service bulletins with compliance dates on or prior to the Delivery Date;

(iii) 所有系统均按照制造商的规格正常运行，并符合所有适用的美国联邦航空局适航指令和适用在交货日期或之前的制造商所有强制服务公告；

 

6. Maintenance.  第6条直升机维护

(a) Lessee shall, during the Term, at its own cost and expense, maintain, inspect, service, repair, overhaul and test or cause the Helicopter to be maintained, inspected, serviced, repaired, overhauled and tested so as to keep the Helicopter in good operating condition as delivered to Lessee on the Delivery Date, ordinary wear and tear excepted, and in compliance with all Applicable Law, including applicable provisions of the FARs and the manufacturer’s recommended inspection and maintenance program (“Maintenance”).

(a) 承租人应在协议有效期内，自费对直升机进行维护、检查、保养、修理、大修和测试，或安排对直升机进行维护、检查、保养、修理、大修和测试，以保持直升机在交付日交付给承租人时的良好运行状态（正常磨损除外），并符合所有适用法律，包括《联邦航空条例》的适用规定和制造商建议的检查和维护计划（"维护"）。

 

For the avoidance of doubt, the Maintenance costs and expenses to be borne by Lessee shall include, but not be limited to, the cost of all parts and consumables used in the maintenance process that are not covered under or specifically addressed in Section 6(c).

(b) Lessee shall perform or cause to be performed all Maintenance by persons and agencies approved by the FAA and the applicable manufacturer. Lessee shall ensure that the Maintenance is conducted in a manner that does not modify or impair any existing warranties or service maintenance plans and agreements covering the Helicopter or any part thereof.

(b) 承租人应由联邦航空局和适用制造商批准的人员和机构进行或安排进行所有维护。承租人应确保维护的方式不会修改或损害直升机或其任何部分的任何现有保修或服务维护计划和协议。

 

7. Insurance  第7条保险

(a) During the Term, Lessor shall cause to be provided and maintained in full force and effect, at Lessee’s sole cost and expense, a policy or policies of insurance providing the coverage described in this Section 7 covering all operations of the Helicopter (“Insurance Policies”).

(a) 在协议有效期内，出租人应安排提供并保持一份或多份涵盖直升机所有操作的保险单（下称"保险单"），并保持其完全有效，费用由承租人自行承担。

 

(i) Helicopter liability insurance covering all operations of the Helicopter, which coverage shall:

(A) include a territory provision sufficient to cover all Helicopter operations permitted by this Agreement, with limits of not less than       US Dollars per occurrence on a combined single limit basis, covering claims for death, bodily injury and property damage,

9. Risk of Loss; Loss or Damage.

(a) Subject to Section 8, Lessee shall bear the risk of loss, damage or destruction of the Helicopter from the time of delivery until the Helicopter is returned to Lessor pursuant to this Agreement. Lessee shall provide written notice to Lessor of any material damage concurrently with its report of same to the applicable governmental authority, and if no such report is required, such written report shall be delivered to Lessor within thirty (30) calendar days of the occurrence of such damage.

(a) 根据第8条规定，承租人应承担直升机自交付之时起直至根据本协议将直升机归还出租人为止的灭失、损坏或毁坏的风险。承租人应在向相关的政府当局报告任何重大损坏的同时向出租人发出书面通知，如不需要此类报告，则应在发生此类损坏后三十（30）个日历日内向出租人提交书面报告。

 

12. Title; No Liens; Quiet Enjoyment. 

第12条 所有权；无留置权；安享租赁物

(a) Title to the Helicopter shall remain vested in Lessor during the Term and the Helicopter shall be registered at the FAA in the name of Lessor. Lessee shall have no right, title or interest in or to the Helicopter except as expressly provided herein and shall take no action or fail to take any action reasonably requested by Lessor that would impair the continued registration of the Helicopter at the FAA in the name of Lessor.

(a) 在协议有效期内，直升机的所有权归属于出租方，直升机应以出租方的名义在美国联邦航空局注册。除本协议明确规定外，承租人对直升机不享有任何权利、所有权或利益，且承租人不得采取任何行动或不采取任何出租人合理要求的行动，损害直升机继续在美国联邦航空局以出租人名义注册。

 

(b) Lessee shall ensure that no liens or encumbrances of any nature or description whatever (“Liens”) are created or placed against the Helicopter, (including the engines, parts and components and all associated rights and the related international interests) or this Agreement as a result of Lessee’s acts or omissions except

13. Redelivery of the Helicopter

第13条 交还直升机

(a) Upon termination of this Agreement by expiration of the Term or otherwise, Lessee shall deliver to Lessor (or its designated representative) custody and possession of the Helicopter and all Helicopter documentation at Teterboro Airport (TEB) in Teterboro, New Jersey or such other mutually agreed location as may be specified by Lessor (“Redelivery”).

(a) 在本协议因期限届满或其他原因终止时，承租人应在新泽西州Teterboro的Teterboro机场（TEB）或出租人指定的其他双方同意的地点（"交还"）向出租人（或其指定代表）交付直升机及所有直升机文件的保管和占有权。

                                                                                        

(b) Upon Redelivery, the Helicopter shall be in the following condition unless waived by Lessor:

(i) current on and in compliance with manufacturer’s recommended inspection and maintenance program, with all calendar and hourly inspections that must be completed on or before the Redelivery date completed;

(b) 在交还时，除非出租人放弃，否则直升机应处于以下状态：

(i) 已执行并符合制造商建议的检查和维护计划，并已完成必须在交还日期或之前完成的所有日历检查和小时检查；

 

(ii) operational and in an airworthy condition with a current and valid FAA Standard Airworthiness Certificate and registered on the FAA Civil Helicopter Registry;

(iii) with all systems functioning normally in accordance with manufacturer’s specifications and in compliance with all applicable FAA Airworthiness Directives, and all applicable manufacturer mandatory service bulletins with compliance dates on or prior to the Redelivery date;

15. Notices  第15条通知

All notices and other communications under this Agreement shall be in writing and shall be sent by personal delivery, telefax or nationally recognized courier for overnight delivery to the address set forth below (or to such other address as may be designated by a party in writing):
