This Contract is signed by the following parties:

本合同经下述当事方签署：

 

1. The Health Department of the City of Al Jahra (hereinafter referred to as Party A).

1. 杰赫拉市（Al Jahra）卫生局（以下简称甲方）。

 

2. A construction contracting company (Mr.     , the manager of the overseas works department is authorized by the construction contracting company) (hereinafter referred to as Party B)

2. 某建筑工程承包公司（海外工程部经理      先生由建筑工程承包公司授权）（以下简称乙方）。

 

WHEREAS Party A shall built a inpatient building with area of 10,000m² for the Jhera City Oncology Hospital and Party B has submitted its tender offer which has been accepted by the Tender Committee of the Jhera City Health Department and has been awarded the tender, and the parties hereto have contracted as follows.

鉴于甲方要建设       10000m²的杰赫拉市肿瘤医院住院大楼，乙方提交投标报价已被杰赫拉市卫生局招标委员会接受并已中标，双方缔约如下：

 

1. CONTENTS OF THE CONTRACT

一、合同内容  

 

Party B shall carry out the construction of the inpatient building of the Jähra City Oncology Hospital (the work is a building, including a complete set of equipment and air conditioning) in accordance with the terms of this contract, the technical specifications, the design drawings, the schedule of quantities, the price list and the written agreement with respect hereto.

Party B acknowledges that it has a correct understanding of the contract text and the annexes, and shall execute the work in accordance with the contract.

All the above documents and attachments are an integral part of this contract.

乙方应当按照该合同条款、技术规范、设计图纸、工程量表、价格表及与合同条款有关的书面协议，对杰赫拉市肿瘤医院住院大楼（该工程为楼房，包括全套设备、空调）进行施工。

乙方承认自己对合同的正文和附件已有正确的理解，按合同施工。

所有上述文件、附件，均是本合同不可分割的组成部分。

 

2. CONTRACT AMOUNT 

二、合同金额

 

The total amount of this contract is       dinar（Kuwait dinar）, which is converted into US dollars at the rate of     .

The amount is calculated by multiplying the unit price by the actual quantity of work, which refers to the Estimated Work. The payment method for Sectional Works shall, based on provisional statements, be agreed between the parties in the contract. The payment to Party B shall be made in accordance with the provisions of the contract and its annexes.

The contract price is fixed and includes all costs, expenses, obligations, taxes of all kinds incurred by Party B for the construction, in addition to the costs of repairing the work due to poor construction, warranty and maintenance as specified during the contract period. Party B may not request an increase in the contract price for any reason.

本合同总金额为       第纳尔（Kuwait dinar），兑换美元比例为      。

该金额由单价乘实际工程量的方法计算，这是指“概算工程”而言。至于“分段工程”则根据临时报表进行支付的方法应由双方在合同中约定。对乙方的支付按照合同及其附件的规定办理。

合同价格是固定的，包括乙方为施工所承担的所有费用、开支、义务、各种税款，并包括因施工不良而支出的工程维修费及在合同期内规定的保修、保养费。乙方不得以任何理由要求增加合同价格。

 

3. DURATION OF WORK 

三、工期

 

Party B should, within 380 days upon handing over the site, complete the entire contract works in accordance with the provisions of appendix      hereof, and the official holidays are included in the construction period. Party B which is unable to complete the works on time due to the reasons of force majure may propose in writing to extend the contract period which may be suitably extended by mutual agreement.

乙方必须根据本合同第    附件的规定，在自移交场地之日起的380天之内完成全部合同工程的施工。正式的节假日包括在工期之内。如果乙方由于某些不可抗力原因不能按期竣工，可书面提出延展工期，经双方协商一致后合同期限可以适当延长。

 

4. HANDOVER OF THE SITE   

四、移交场地

The parties shall hand over the site in accordance with the notice given by Party A to Party B and shall sign a minute at the time of handover. Where Party B or its representative taking over the site is absent within the period specified in the notice, Party A may draw up the minutes as usual and deliver a copy thereof to Party B. The date on which the minutes are drafted shall be the date on which Party B takes possession of the site.

双方根据甲方向乙方发出的通知进行工地交接，交接时签署纪要。如果乙方或其接收场地的代表在通知规定的期限内缺席，甲方可照常起草纪要，并将纪要的复印件交付乙方。起草纪要日期即为乙方接收场地日期。

 

5. SITE VISITS  

五、踏勘工地

Party B acknowledges that it has inspected the land and its surroundings prior to signing the contract and are aware of all conditions relevant to or affecting the construction of the works, such as geological soil conditions, water sources, local climatic conditions, roads, traffic flow, availability of labor, etc. Any consequences arising from these factors will be Party B’s responsibilities.

乙方承认在签订合同之前已踏勘了土地及周围的环境，知悉所有与工程施工有关或对施工有影响的情况，如地质土壤情况、水源、当地气候情况、道路、交通流量、劳动力的提供范围等。由这些因素产生的后果均由乙方负责。

 

6. Performance Bond 

六、履约保证金

Party B shall, within 30 days upon being notified to winning the bid, submit a performance bond to Party A as a guarantee of its satisfactory construction and guarantee of Party A's rights. The amount thereof is 20% of the total amount of this contract which shall be binding on the parties only upon submission of the performance bond. Cash, credit cheques, or letter of guarantee on the terms specified in article 10 hereof are acceptable. The guarantee shall be valid throughout the period of performance of the contract and until final delivery of the work.

乙方应自被通知中标的次日起的30天内，向甲方提交履约保证金作为乙方圆满施工和甲方权利的保证。金额为该合同总额的20%。本合同只有在提交保证金之后才对双方具有约束力。现金、信用支票，或按合同第十条规定的条件提供保函均可。保函须在合同整个履行期中都有效，直到最后交付工程为止。

 

7. DRAWINGS AND SPECIFICATIONS 

七、图纸和规范

All errors or omissions in any technical specifications, designs, drawings which submitted by Party A are subject to correction at any time. Party B shall review the specification, design and drawings, in addition to submit its comments to Party A.

甲方提交的任何技术说明、设计、绘图中的所有错误或疏忽，随时可以更正。乙方应审查规范、设计、图纸，并向甲方提交意见。

 

8. CONSTRUCTION SCHEDULE 

八、施工进度计划表

Party B shall, within 15 days upon taking over the site, submit a construction schedule to Party A  clarify the methods to be used to complete the works under this contract, the construction schedule, construction arrangements, equipment to be brought into the construction site, and the establishment of temporary facilities. Party B shall adjust its construction schedule in the light of Party A's comments and the progress of construction.

乙方自接收工地起15天内向甲方递交一份施工计划，阐明为完成本合同工程所采用的方法、施工进度、施工安排、运进施工现场的设备，以及建立临时设施等。乙方应根据甲方意见和施工进展情况，对自己的施工计划进行调整。

 

12. MATERIAL COSTS

十二、材料费用

 

Customs duty and all storage charges, freight and handling charges to the site shall be paid by Party B in accordance with the relevant regulations.

For the purpose of processing letters of credit and payment procedures, Party B shall submit a copy of the contract to its depositary bank.

海关税收以及所有储存费、运往现场的运费和装卸费都由乙方根据相关规定交纳。

为办理信用证及付款手续上的需要，乙方应当向开户银行提交一份合同副本。

 

15. ENGINEERING INSURANCE

十五、工程保险

 

Party B shall effect and pay for insurance for the work in progress and completed work, which cover all risks borne by the Contractor, including insurance against damage, fire or theft of completed work, materials and appliances on site. The insurance shall be in force until the initial acceptance of the work in accordance with article 54 hereof.

乙方应对在建和已经完成的工程办理工程保险并支付保险费用，保险范围要为承包商承担一切风险，包括现场已完成的工程、材料和器具遭到的破坏、失火或被窃的保险。根据本合同第五十四条规定，保险期限直至工程初步接收。

32. WORKS ARE WITHDRAWN BY PARTY A

三十二、甲方收回工程

 

Subject to the conditions under which the contract may be rescinded, Party A may take back the work by giving written notice to Party B. Party A may thereafter carry out the works itself or have any other contractor carry out the whole or part of the outstanding works again by way of tender bar. Party A may also deduct all expenses and losses other than the contract sum from the insurance money retained by Party B with Party A or Party B’s entitlement with Party A or any other department.

在符合可以撤销合同的条件下，甲方只要书面通知乙方就可以收回工程。随后甲方可自行施工，也可重新通过招标议价、缔约方式让任何其他施工方对未完工程的全部或局部进行施工。甲方也可以从乙方留存甲方的保险金或乙方在甲方或其他任何部门的应得款项中扣除合同金额以外的一切开支和损失。
