鉴于：Whereas:
1．_________（以下简称甲方）为中华人民共和国境内合法成立并有权摄制或与他人共同投资摄制电影故事片的公司法人。______（以下简称乙方）为______（国家或地区）合法成立并有权投资和从事影片摄制的独立公司法人。
1. _________ (hereinafter referred to as Party A) is a legal person of a company legally established in the People's Republic of China and entitled to produce or co-invest in the production of feature films. ______ (hereinafter referred to as Party B) is an independent company legal person that is legally established in ______ (country or region) and has the right to invest and engage in film production.

 

2．为促进中外文化交流，繁荣电影创作生产，甲乙双方决定联合摄制电影片《_________》（外文名称《_________》，下称电影片），该电影片基于______ 改编。
2. For the purpose of promotion of cultural exchange between China and foreign countries and prosper creation and production of films, the parties hereto decide to jointly produce the film "_________" (foreign name as "_________", hereinafter referred to as the film), the adaptation of which is from ______.

 

3．甲乙双方联合摄制电影片的立项申请已经获得中华人民共和国广播电影电视行政主管机关的批准并取得《中外合作拍摄电影片许可证》。
3. The project application for joint production of film by the parties hereto has been approved by the Administration of Radio, Film and Television of the People's Republic of China and obtained the " License of Sino-Foreign Cooperative Filming "

 

4．鉴于此，双方本着自愿、平等、互惠互利、诚实信用的原则，经充分友好协商，订立如下合同条款，以资共同恪守履行。
4. Therefore, the parties hereto, following the principles of voluntariness, equality, mutual benefit, honesty and credibility, through full and friendly consultations, enter into the following contract  for mutual compliance.

 

第一条　电影投资预算及合作方式
ARTICLE ONE   INVESTMENT BUDGET AND COOPERATION METHODS OF FILM

 

电影片总投资预算初步确定为￥_____万元。
The total investment budget of the film is initially determined to be RMB _____ yuan.

 

甲乙双方合作摄制电影可以采取以下形式：
The producing cooperation of film by the parties hereto can take following forms:

 

（一）联合摄制，即由甲乙双方共同投资（含资金、劳务或实物）、共同摄制、共同分享利益及共同承担风险的摄制形式；
(1) Joint filming, viz., the filming mode in which the parties hereto jointly invest (including funds, labor or physical objects), co-production, share benefits, and bear risks;

 

（二）协作摄制，即乙方出资，在中国境内拍摄，甲方有偿提供劳务、设备、器材、场地予以协助的摄制形式；
(2) Collaborative filming, viz., Party B's investment in shooting in China and Party A‘s assistance by providing labor services, equipment, apparatus and sites for compensation;

 

（三）委托摄制，即乙方委托甲方在中国境内代为摄制的摄制形式。
(3) Entrusted filming, viz., the filming form that Party B entrusts Party A to produce the film on behalf of in China.

 

第二条　投资方式ARTICLE TWO  INVESTMENT METHODS

以上投资款，支付至双方指定帐户：户名：_____，开户行：______，帐号：______。
The above investment funds shall be paid to the designated account of the parties, viz. account name _____, opening bank: ______, account number: ______.

 

合同签订后_____个工作日内，双方即付定金_____元（大写：_____）。如果一方未能按时支付定金，另一方有权单方面终止本合同书，并与第三方签订类似合同书。

项目确定、《拍摄许可证》取得后，开机前一周内，甲、乙双方即付清投资余款，否则，视为违约，守约方有权向违约方要求赔偿损失。

甲乙双方应按时、足额地履行各自的出资义务，否则，视为自动放弃参与联合摄制电影片的任何权利，并承担相应的违约责任。

Within _____ working days subsequent to signature of the contract, the parties hereto shall make payment of deposit _____ yuan (in word: _____). If one party fails to pay the deposit on time, the other party has the right to unilaterally terminate this contract and enter into a similar contract with a third party.

The parties hereto should, within one week before start-up subsequent to confirmation of project and obtainment of "Filming License", effect their payment of full balance of the investment, otherwise, it will be deemed as a breach of contract, and the observant party shall have the right to claim damages from the breaching party.

Party A and Party B shall fulfill their respective investment obligations on time and in full amount, otherwise, it shall be deemed to automatically waive any right to participate in the joint production of film and bear the corresponding liability for breach of contract.
