This agreement (the Agreement) is prepared jointly between :

College of Economy & Society Development, The Research Centre of Logistics, Nankai University (Nankai)

The Department of Shipping & Transport Logistics, the Hong Kong Polytechnic University (PolyU)

1. Aim and objectives of this Agreement本协议的目的和目标

1.2   This Agreement aims to lay down arrangements for PolyU to grant awards to Chinese mainland students registering for the PolyU’s MSc Degree in International Shipping & Transport Logistics (the Programme) via Nankai University.

本协议旨在为理大订立安排，以奖励中国内地学生通过南开大学注册理大的国际航运及运输物流硕士学位（课程）。

 

1.3   Subject to Nankai obtaining the approval for running the programme from the State Education Commission of the Chinese mainland, the programme will be advertised and students recruited by Nankai.

根据南开获得中国大陆国家教育委员会批准的计划，该计划将由南开招募广告并招募学生。

 

1.4   Students will normally attend classes in Nankai University (though, subject to mutual agreement, students may also be taught at other locations in the Chinese mainland – see also s. 6.1) and will be registered as PolyU’s part-time Master of Science Degree (MSc) students.

1.5   The objectives of the Programme : 计划的目标

To foster modern logistics technology and train senior professional people in the area of logistics for China;

To provide modern teaching materials and use modern teaching methods for the benefit of students;

To promote international academic collaboration through the joint offering of the programme.

培育现代物流技术，培养中国物流领域的高级专业人才;

提供现代教材，运用现代教学方法，造福学生;

通过联合提供该计划促进国际学术合作。

 

2. Management of The Programme计划的管理

2.1   To facilitate the operation of The Programme, Nankai and PolyU will set up a joint Programme Management Committee.

为方便该计划的运作，南开及理大将成立一个联合计划管理委员会。

2.4   The Joint Programme Management Committee will meet once a year, alternating between Hong Kong and Tianjin. The host organisation will be responsible for the organisation and arrangements of the meeting. The travelling party will be responsible for their own travelling, accommodation and subsistence expenses.

联合计划管理委员会每年举行一次会议，由香港和天津轮流举行。主办方将负责会议的组织和安排。访问团将负责自己的旅行，住宿和生活费用。

 

3. Programme arrangements方案安排

3.1   The programme will comprise 9 taught subjects which are as follows:

3.2   For a PgD award, 18 credits are required (subjects 1-6 plus one other subject chosen from subjects 7-9).

3.3  For the M.Sc. award, students are required to obtain all 24 credits from the 9 taught subjects, pass the 5 subjects offered by Nankai, and in addition, submit and pass a dissertation stage which is worth an additional 9 credits.

对于理学硕士 奖学金，学生必须从9个教学科目中获得全部24个学分，通过南开提供的5个科目，此外，提交并通过一个值得额外9学分的论文阶段。

 

3.4   The minimum time required for the successful completion of the PgD is 1 year and for the M.Sc. the minimum time required is 2.5 years. The taught element of the programme can be completed within 2 years.

3.5   Of these 9 taught subjects offered by PolyU, Nankai staff will be appointed to deliver three subjects: 4. Finance for Shipping and Logistics, 5. Business Statistics Workshop and 7. Transport Logistics in China.

3.6   Responsibilities of Nankai: 南开的责任：

Obtaining programme approval from the “State Education Commission”;

For the purpose of co-ordination and cooperation, carrying out promotional activities in consultation and co-operation with PolyU;

Administering the student admission exercise, including the preliminary screening of applicants;

Organising, administering the entrance examination, and assessing the examination results;

Providing classrooms, reading rooms, library, computer rooms with internet connection, and other necessary facilities;

Nankai will do the following for the 3 subjects for which they are responsible:

    Teaching;

    Organise assessments;

    Mark assessments;

    Determine final results;

    Send examination results to PolyU for ratification and further processing.

Assist PolyU to mark the assessments for the 6 subjects for which PolyU is responsible.

Deliver the tutorials for the 6 subjects for which PolyU is responsible.

Supervision of the dissertations including assessment.

获得“国家教育委员会”的计划批准;

3.7   Responsibilities of PolyU: 理大的职责：

PolyU will do the following for the 6 subjects for which they are responsible :

    Deliver the lectures;

    Organise assessments;

    Determine final results;

Appoint Nankai staff to teach the 3 subjects number 4, 5 and 7, and ratify the results.

Oversee the dissertation stage, and determine the final results.

理大将为他们负责的6个科目做以下工作：

3.8   Upon obtaining a HKSAR entry visa, students would be allowed to carry out the research for the dissertation on the PolyU campus for a period not exceeding one semester.  PolyU would send an invitation letter to intending qualified students. These students would be provided with one PolyU dissertation supervisor. They are entitled to use the PolyU library and computing facilities.  The sole purpose of their stay in Hong Kong is to receive guidance for their dissertation.  Each student coming to Hong Kong will pay a fee of RMB6,000 to PolyU, and will bear all other fees on their own (including passage, accommodation and subsistence).  PolyU will issue library entry permits to them so that they can use the Library.  Nankai will confirm in advance the number of students who intend to come Hong Kong so as to facilitate arrangements.

3.9   At the end of the programme, those meeting all requirements will graduate, and be awarded the Master Degree. in Contemporary Logistics by the PolyU, with an award parchment and a graduation certificate.  This award will have the same standing as any Master Degree in Contemporary Logistics awarded by PolyU locally or overseas.

3.10 The graduates of this award are recognised as eligible for applying for PhD study in PolyU, which will be the sole authority to grant approval.  Students admitted will pay the standard course fee applicable to overseas students, and will also be responsible for all the other fees while reading for the PhD degree in Hong Kong, including passage, subsistence and visa fees.

 4. Entrance requirements入学要求

4.1   Potential students to apply via Nankai University; 潜在学生可以通过南开大学申请;

4.2   The standard of the entry requirements of this programme will make reference to the standard of that applicable in Hong Kong.

4.3   Entry requirements: 入学要求：

An honours degree in a discipline related to Shipping or Transport Logistics; OR

An honours degree in any discipline, or equivalent (Graduates of 3-year tertiary courses in China, who have either published dissertations, or completed undergraduate core subjects or post-graduate courses with good results), with a minimum of 2 years working experience in the shipping, transport, or logistics field; OR

Candidates in senior managerial positions working in a relevant field possessing other academic qualifications may also be considered on a case by case basis with supporting justifications. The number of entry through this route should not be greater than 10% of the intakes;

All candidates regardless of entry routes must achieve a minimum English standard of TOEFL 520, or “National English standard level 4” or equivalent; AND attend and pass a 5-subject bridging course offered by Nankai University.

与航运或运输物流相关的学科荣誉学位; 或者

任何学科或同等学历的学位（中国三年制高等教育毕业生，已发表论文，或完成本科核心科目或研究生课程，取得良好成绩），至少2年工作经验在运输，运输或物流领域; 或者

4.4   Also, in addition to the normal entrance requirements, students must achieve a satisfactory score in an entrance test for the programme.

此外，除了正常的入学要求外，学生必须在入学考试中取得合格的成绩。

 

4.5   Nankai University will hold and be responsible for the content, organisation and assessment of the entrance test. The syllabus of the entrance test will include Economics, Principles of Management, and an English proficiency test.

南开大学将负责入学考试的内容，组织和评估。入学考试的教学大纲将包括经济学，管理学原理和英语水平测试。

 

4.6   Nankai University will provide PolyU with the data on those applicants meeting the entrance requirements and passing the entrance assessment.

4.7   Upon assessing the applicants, PolyU will:

Approve the applications;

Register the applicants as PolyU students;

Send enrolment letters to students and issue student ID cards;

4.8   The two parties agree that the 1st year intake into the programme must be between 60 - 120.  The Programme will be cancelled for less than 60 intake, unless the two parties agree to proceed.

4.9   For ease of administering the programme and since students will be registered with PolyU, standard programme rules on deferment of study will apply.

5. Teaching教学

5.1   Classes for year 1 of the programme will be held at the Nankai University campus.  Year 2 of the programme will be taught in Tianjin, Beijing and Qingdao but with Nankai retaining responsibility for organizing all classes.

5.2   Nankai University will ensure that teachers from PolyU can access appropriate offices, and use library and computing facilities.

5.3   Teaching staff from Nankai may sit in on classes conducted by teachers from PolyU, and make comments regarding the problems via the Programme Management Committee for improvement.

5.4   PolyU will confirm to Nankai in advance the subjects to be taught every year.

5.5  PolyU will provide Nankai University in advance with details of the teaching plan, including published textbooks and information, and provide for each subject 3 copies of one textbook as samples.

理大将提前向南开大学提供教学计划的详情，包括已出版的教科书和资料，并为每科目提供3册一本教科书作为样本。

 

5.6   PolyU is to provide Nankai University with a copy of teaching and learning materials in advance of the delivery of the subject.  PolyU will own the copyright of those materials.

理大将在交付学科之前向南开大学提供教学和学习资料。 理大将拥有这些材料的版权。

 

5.7   Nankai is to be responsible for supplying these learning materials and copies of lecture notes to students.  Their Library and Computer Centre will purchase suitable quantities of reference books and software respectively.  The name lists of which will be supplied by PolyU.

5.8   All learning materials and assessments provided by PolyU will be in English. Teaching will be conducted in a mix of English and Putonghua, as determined by the subject lecturer.

5.9   All the Nankai staff involved in teaching or dissertation supervision will submit their curriculum vitae including post title, professional experience, publication records to PolyU for approval as a member of the teaching team.

所有参与教学或论文监督的南开工作人员均须向理大提交履历，包括职衔，专业经验，出版记录等，作为教学团队成员。

6. Start up of the Programme 启动项目

6.1   Preparatory work by Nankai before the opening ceremony:

Publicity;

Organise entrance assessment for qualified applicants;

Supply PolyU with data on those applicants passing the entrance assessment.

开幕式前南开的准备工作：

7. Financial arrangements财务安排

7.1   The programme fee is RMB45,000.

7.2   Nankai will collect programme fees, and will distribute the programme revenue in accordance with this Agreement.

7.3   PolyU will receive RMB 1.8 million for each cohort of the programme where the number of students registered falls between 60 and 90. For each extra student enrolled over 90, PolyU is to receive 50% of their programme fee as an additional sum (i.e. RMB 22,500 per additional Year 1 student over 90 enrollees)

课程费用为人民币45,000元。

7.4   Nankai will pay PolyU in RMB and it is PolyU’s responsibility to determine an appropriate mechanism by which this can be done.

7.5   Schedule of payment to PolyU by Nankai:

课程费用为人民币45,000元。

南开将收取计划费用，并将根据本协议分配计划收入。

7.6   Under this Agreement, Nankai will be responsible for the following:

根据本协议，南开将负责以下事项：

 

Providing the teaching staff and administrative staff for the Chinese side;

Paying lecturing fees for Nankai staff teaching subjects 4, 5 and 7, and  subjects 10–14 on the Nankai bridging course, translation fees and other related fees for the Chinese side;

Fees for communications and mailing related to the Programme incurred by the Chinese side;

Fees for advertisement and promotional activities;

为中方提供教学人员和行政人员;

为南开工作人员教学科目4,5和7，以及南开衔接课程10-14科目，中方翻译费和其他相关费用支付讲课费  ;

中方发生的与本计划有关的通讯和邮寄费用;

广告和促销活动费用;

 

Purchase textbooks, photocopy lecturing notes;

Fees for classrooms, libraries and computing facilities;

Administrative costs;

Expenditures for opening and graduation ceremonies;

Passage fees and subsistence for Chinese visitors to Hong Kong for occasional meetings;

Contingencies.

购买教科书，复印讲义;

教室，图书馆和计算机设施的费用;

行政费用;

开学典礼和毕业典礼的支出;

中国访问学者参加会议的通行费和生活津贴;

意外情况。

 

7.7   Under this Agreement, PolyU will be responsible for the following:

根据本协议，理大将负责以下事项：

 

Providing the teaching staff and administrative support for the Hong Kong side;

Paying the teaching staff from Hong Kong

Administering the student registration exercise and paying the related fees;

Expenses for accommodation and subsistence for Hong Kong teachers during their stay in China;

为香港方面提供教学人员和行政支持;

支付香港的教职员工

管理学生注册活动并支付相关费用;

香港教师在中国逗留期间的住宿和生活费用;

 

International passages for Hong Kong teachers;

Securing appropriate teaching materials and their postage costs;

Administrative costs for graduation apart from those related to the ceremony, including espatching the award parchment and graduation certificates;

Fees for communications and mailing related to the Programme incurred by the Hong Kong side;

香港教师的国际旅行;

确保适当的教材和邮资费用;

除颁奖典礼外的毕业行政费用，包括颁发奖学金和毕业证书;

香港方面与计划有关的通讯和邮寄费用;

 

Fees for Hong Kong teachers to travel locally between campuses for teaching;

PolyU to recommend reference books and software for acquisition by Nankai according to needs;

Contingencies.

香港教师在校园内进行教学的费用;

理大根据需要推荐南开收购的参考书和软件;

意外情况。

8. Intellectual property知识产权

8.1   PolyU will own the intellectual property of all the data and teaching materials supplied to Nankai;

理大将拥有提供给南开的所有资料及教材的知识产权;

 

8.2   PolyU to grant to Nankai the right of use of these intellectual products, including printing and photocopying the required number of teaching materials and related documents for the Programme, but excluding those text books the copyright of which do not belong to PolyU;

理大授予南开使用这些知识产品的权利，包括印刷及影印本计划所需数目的教材及相关文件，但不包括版权所属的理大教科书;

 

9. Period of validity of the agreement and revisions and changes to the Agreement

协议的有效期以及协议的修订和变更

 

9.1   Valid for 3 years from date of signing, that is, for 3 cohorts; 自签署之日起3年内有效

 

9.2   May be renewed at the end of 3 years subject to mutual agreement, for a period to be discussed;

经双方同意，可在3年后续期;

 

9.3   The Agreement may be revised and changed subject to mutual agreement during this period of validity.

在此有效期内，协议可能会根据双方协议进行修订和更改。

 

9.4   During the period of validity, in case of occurrence of a force majeur, any one side may propose for a termination of the agreement.  If this cannot be resolved, then any one side can terminate the agreement by giving 6 months written notice.  If this happens, then there will be no more new students admitted into the programme. However those remaining in the programme will continue under the terms of this agreement.

在有效期内，如果发生不可抗力，任何一方均可提议终止协议。 如果无法解决，任何一方都可以提前6个月书面通知终止协议。 如果发生这种情况，那么将不再有新的学生加入该计划。但是，保留在该计划中的人将继续遵守本协议的条款。

 

10.   Common understanding共识

10.1 All the arrangements mentioned in this Agreement are subject to the approval of the State Education Commission, and must be in accordance with the Laws and Regulations of the Peoples’ Republic of China.

本协议中提及的所有规划均须经国家教育委员会批准，并且必须符合中华人民共和国法律法规。

 

10.2 In the interests of ensuring the smooth administration of the programme, Nankai should endeavour to comply with the requirements and deadlines of the PolyU administration system.

为确保计划的顺利实施，南开应努力遵守理大管理系统的要求和截止日期。

11.   Arbitration仲裁

11.1 Outstanding disputes under this Agreement should be referred to a third party arbitrator in Hong Kong for arbitration under the legal system applicable in Hong Kong.  Nankai and PolyU will share the arbitration fees.  The outcome of arbitration is final and binding.

根据本协议规定的未决争议应根据适用于香港的法律制度提交香港的第三方仲裁员进行仲裁。 南开和理大将分担仲裁费用。 仲裁的结果是最终的，具有约束力。

12.   Other terms其他条款

12.1 All the other items will be solved by consensus discussions and any further written agreements between the two parties will constitute an addendum to this agreement.
