前对冲基金分析师因商业秘密盗窃而被起诉

纽约一名前对冲基金分析师被起诉,控告其盗走该基金电脑交易模型的机密信息。

 

高康是一名曾在Two Sigma工作过的中国公民。他被指控涉嫌复制与盗窃商业秘密相关的十一项罪名。

 

曼哈顿地区检察官Cyrus Vance发表声明,指出“商业秘密的保护,如计算机源代码和交易方式对建立和维护金融专业知识来说是至关重要的。”

 

高现年29岁,曾在2010年被Two Sigma聘为定量分析师。检察官认为2010年8月至2011年1月期间,高远程接入Two Sigma的计算机并将公司交易模型的文件以电子邮件的方式发送给自己。

 

根据检察官的陈述,高的雇佣合同严禁高查看交易模型。

 

在一场Two Sigma提起的民事诉讼中,高也属于被告。Two Sigma控告其试图销售该交易模型或试图将该模型用于其自己的刚创办的公司。根据指控,2013年高从Two Sigma 公司就赚了超过50万美元。

Former Hedge Fund Analyst Indicted for Trade Secret Theft

 

A former hedge fund analyst has been indicted in New York on charges that he stole confidential information about the fund’s computer trading models.

 

Kang Gao is a Chinese citizen who worked for Two Sigma Investments LLC.  He was indicted on 11 felony counts related to the copying and theft of trade secrets.

 

Manhattan District Attorney Cyrus Vance said in a statement, "The protection of trade secrets, such as computer source codes and trading methods, is critical to building and maintaining financial expertise."

 

Gao, now 29, was hired by Two Sigma as a quantitative analyst in 2010.  Prosecutors said that between August of that year and January of 2011 Gao remotely accessed Two Sigma’s computers and emailed himself documents that described the firm’s trading models.

 

Under Gao’s employment contract he was prohibited from looking at the trading models, according to prosecutors.

 

Gao is also the defendant in a civil lawsuit brought by Two Sigma, which claims Gao intended to sell the models or use them to start his own firm.  According to the complaint, Gao earned more than half a million dollars from the firm in 2013.

 

Gao was fired in February.  A spokesperson for the fund said:

 

Two Sigma takes the protection of our intellectual property very seriously. We became aware of potential felony criminal activity of an employee, promptly informed the Manhattan District Attorney and terminated his employment.

 

However, New York Supreme Court Judge Jeffrey K. Oing, who is presiding over the civil case, questioned whether Two Sigma had gone too far by having Gao arrested.  He said that other employers might also try to jail former employees:

 

Aren’t you guys going over the top ... to put someone in jail for breach of the duty, breach of the covenant?  I mean, I’ve done a lot of employer/employee cases and this is the first one where the employer has successfully put a former employee in jail for allegedly breaching the covenant of confidentiality or the nosolicitation covenant with respect to trade secrets.

 

The case illustrates how federal and state law enforcement authorities are taking a stronger stand against white collar crimes, including theft of trade secrets.

 

Companies need to be proactive about reviewing and updating their trade secret policies and procedures.  For example, employment agreements should be tailored to expressly prohibit certain classes of employees from accessing, viewing, copying, or using certain types of information. 

 

Security measures (such as passwords) can also prevent employees from viewing and copying information they are not permitted to see.
