6.1　在岩土勘察设计工程进行中，如果发包人对工程内容与技术要求提出变更，发包人应在变更前____ 天向承包人发出书面变更通知，否则承包人有权拒绝变更；承包人在收到通知后____天内提出变更方案，发包人收到变更方案后 _____ 天内予以确认，如不确认或不提出修改意见的，变更方案自送达之日起第____天自行生效，由此延误的工期顺延外，因变更导致承包人的额外费用支出和损失，由发包人承担。

6.1 In the course of geotechnical investigation and design works, where the Employer proposes changes to the project content and technical requirements, it shall, at ____ days prior to the variation, issue the written notice of variation to the Contractor, otherwise the Contractor shall have the right to refuse the changes; the Contractor shall propose the variation schedule within ____ days upon receipt of the notice, and the Employer shall make confirmation thereof within _____ days after receiving it, where the Employer fails to confirm it or propose its opinion thereon,  the variation schedule shall take effect on the ____ day upon delivery date and the additional costs and losses incurred by the Contractor therefrom shall be borne by the Employer beside the work progress shall be duly postponed.

第七条　发包人、承包人责任

Article 7 Responsibilities of Employer and contractor

7.1　发包人责任 

7.1 Employer 's responsibility

7.1.1　发包人在本合同第二条规定的期限内向承包人提供资料文件，并对其完整性、正确性及时限性负责；发包人提供上述资料、文件超过规定期限15天以内，承包人按合同规定交付报告、成果、文件的时间顺延，规定期限超过15天以上时，承包人有权重新确定交付报告、成果、文件的时间。

7.1.1 The Employer shall provide information and documents to the Contractor within the time period specified in Article 2 hereof and shall be responsible for the completeness, correctness and timeliness thereof; if the Employer provides the above information and documents within 15 days after the specified period, the Contractor shall deliver the reports, results and documents in accordance with the provisions of the Contract, and if the specified period is more than 15 days, the Contractor shall have the right to re-determine the time for delivery of reports, results and documents.

 

7.1.2　如果发包人要求承包人在合同规定时间内提前交付报告、成果、文件，发包人应按每提前一天向承包人支付_____元加班费。

7.1.2 Provided that the Employer requires the Contractor to deliver the reports, results, and documents earlier than the time specified herein, the Employer shall effect payment for the Contractor’s overtime work at the rate of _____ yuan for each day of advancement.

 

7.1.3　发包人应为承包人现场员工提供必要的工作、生活条件；如不能提供，应一次性付给承包人临时设施费 _____ 元。

7.1.3 The Employer shall provide the necessary the conditions of working and living for the Contractor's employees on site; if not, shall pay the Contractor the temporary facility fee of _____ Yuan in a lump sum.

 

7.2　承包人责任

7.2 Contractor’s responsibilities

 

7.2.1　承包人按本合同第三条规定的内容、时间、数量向发包人交付报告、成果、文件，并对其质量负责。

7.2.1 The Contractor shall deliver reports, results and documents to the Employer in accordance with the content, time and quantity specified in Article 3 hereof and shall be responsible for their quality.

 

7.2.2　承包人负责对报告、成果、文件出现的遗漏或错误做修改补充；如果由于承包人的遗漏、错误造成工程质量事故，承包人除承担法律责任和采取补救措施外，还应减收或免收直接受损失部分的岩土工程费，并根据受损失程度向发包人支付赔偿金。赔偿金额由发包人、承包人商定为实际损失的____％。

7.2.2 The Contractor is responsible for making amendments and supplements to the omissions or errors in the reports, results and documents; where the quality of the works is caused by the Contractor's omissions or errors, the Contractor shall, in addition to assuming legal responsibility and taking remedial measures, reduce or free of charging the geotechnical fees for the directly damaged part and pay compensation to the Contractor subject to the degree of damage suffered. The amount of compensation shall be agreed by the Contractor and the Employer as ____% of the actual loss.

 

7.2.3　承包人不得向第三人发布、转让第二条规定的发包人提供的技术资料、文件。如果发生上述情况，承包人应负法律责任，发包人有权索赔。

7.2.3 The Contractor shall not release or transfer to a third party the technical information and documents provided by the Employer under Article 2. Where the above situation occurs, the Contractor shall bear the legal responsibility, and the Employer has the right to claim for compensation.

 

7.2.4　遵守国家及当地有关部门对工作现场的有关管理规定，做好工作现场警卫和环卫工作，并按发包人提出的保护要求（措施），保护好工作现场周围的建、构筑物，古树、名木和地下管线（管道）、文物等。

7.2.4 Comply with the relevant regulations of the State and local authorities on the management of the work site, do a good job in guarding and sanitation of the work site, and protect the buildings and structures around the work site, old / famous trees and underground pipelines (pipes), cultural relics, etc. in accordance with the protection requirements (measures) which proposed by the Contractor.

 

第九条　材料设备供应

Article 9 Supply of materials and equipment

 

9.1　发包人、承包人应对各自负责供应的材料设备承担责任，提供产品合格证明，并经发包人、承包人代表共同验收认可，如与设计和规范要求不符的产品，应重新采购符合要求的产品，并经发包人、承包人代表重新验收认定，各自承担发生的费用。若造成停工、窝工的，由责任方承担相关费用。

9.1 The Employer and the Contractor shall be responsible for the materials and equipment supplied under their respective responsibility, provide proof of product conformity and be jointly inspected and approved by the representatives of the Contractor and the Contractor, and if the products do not conform to the design and specification requirements, they shall be procured again with products meeting the requirements and be re-inspected and approved by the representatives of the Contractor and the Contractor, and each shall bear the costs incurred. If the work is stopped or lost, the responsible party shall bear the relevant costs.

 

9.2　承包人需使用代用材料时，须经发包人代表批准方可使用，增减的费用由发包人、承包人商定。

9.2 The use of substitute materials by the Contractor shall be subject to the approval of the Employer's representative and the cost of any increase or decrease shall be agreed between the Contractor and the Employer.

 

第十条　报告、成果、文件检查验收

Article 10 Inspection and acceptance of reports, results and documents

 

10.1　由发包人负责组织对承包人交付的报告、成果、文件进行检查验收。

10.1 The Employer shall be responsible for organizing the inspection and acceptance of the reports, results and documents delivered by the Contractor.

 

10.2　发包人收到承包人交付的报告、成果、文件后____ 天内检查验收完毕，并出具检查验收证明，以示承包人已完成任务，逾期未检查验收的，视为接受承包人的报告、成果、文件。

10.2 The Employer shall, within ____ days upon receipt, complete the inspection and acceptance of the reports, results and documents which delivered by the Contractor and issue the certificate of inspection and acceptance to certificate that the Contractor has completed its task; if the inspection and acceptance is overdue, the Contractor's reports, results and documents shall be deemed to be accepted.
