This China OEM Supplier Tool Agreement (“Agreement”) made and entered on __(Year)___(Month)___(Day) between

WITNESSETH THAT:   因见证如下情况属实：

WHEREAS, Fellowes is engaged in the distribution and sale of certain products which are manufactured for it by or for Supplier using injection molding, stamping, or various other tools, and

WHEREAS, Supplier may manufacture, or may from time to time retain a  third party toolmaker to manufacture injection molding, stamping, and/or various other tools for on behalf of Fellowes (“Tools” or “Fellowes Tools”), and

WHEREAS, Supplier has in its custody and/or control, and may in the future take control or possession of various Fellowes Tools, and

WHEREAS, Supplier may from time to time retain a third party molder to manufacture parts using Fellowes Tools；

WHEREAS, the parties wish to set forth in writing their mutual understanding as to their respective rights and obligations regarding the ownership, possession and use of the Fellowes Tools.

NOW, THEREFORE, the parties have agreed, and by these presents do hereby agree, as follows:

鉴于，罗士公司致力于分销和销售由磨具生产商使用注塑模具、冲压模具或其他各类模具为其生产的特定产品；并且

鉴于，磨具生产商可能自行制造，或不时地聘请第三方模具制造商为罗士公司制造注塑模具、冲压模具和/或其他各类模具（下称“模具”或“罗士公司模具”）；并且

鉴于，磨具生产商已经占有或控制，并且可能在将来控制或占有各种罗士公司模具；并且

鉴于，磨具生产商可能不时地聘请第三方塑模公司使用罗士公司模具生产零部件；

鉴于，协议双方达成共识，希望以书面形式确定各自在罗士公司模具的所有权、占有和使用方面的权利和义务。

因此，经协议双方同意，并且以文本形式特此同意如下各项：

 

1.    Fellowes has appointed and authorized Supplier to manufacture, or have manufactured, certain tools made using Fellowes’ proprietary designs and technology so long as Supplier maintains a valid business license authorizing the issuance of a VAT invoice related to the sale of Tools.  Upon the prior agreement of Fellowes, Supplier may solicit quotes for tooling projects. All tooling quotes submitted by Supplier on the China Tool Quote for OEM Suppliers, a copy of which is attached hereto (“Quote Form”) shall be subject to the terms of this Agreement.  The Supplier may retain a third party toolmaker to manufacture the tools.  Supplier shall be responsible for providing direction with respect to the manufacture of such Tools and ensure that the Tools meet the specifications approved by Fellowes.  Each third party toolmaker retained by Supplier must maintain a valid business license allowing for such third party toolmaker to issue VAT invoices and shall fully execute a Third Party Toolmakers Agreement (OEM-2). The Supplier shall provide the original Third Party Toolmakers Agreement to Fellowes. The Supplier shall provide a report of the status of all Fellowes Tools in progress to Fellowes at intervals reasonably agreed upon by the parties.  Upon completion of a Tool, Supplier shall also provide an original VAT invoice for each such Tool.  For the avoidance of doubt, this Agreement shall apply to any replacement tools, whether or not specifically ordered by Fellowes.

罗士公司指定并授权持有有效的营业执照、且有权开具销售模具的增值税发票的磨具生产商，使用罗士公司的专有涉及和技术制造特定模具。在得到罗士公司的事先同意后，磨具生产商应就模具制造项目提出报价。磨具生产商通过《生产商模具报价单》（见本协议附件，下称“报价单”）提出的所有报价，均应受本协议条款的约束。磨具生产商可以聘请第三方模具制造商制造模具。磨具生产商应负责对该等模具的制造提供指导并确保模具符合罗士公司认可的规格。任何磨具生产商聘请的第三方模具制造商应拥有授权其开具增值税发票的有效的营业执照，并应签署《第三方模具制造商协议（OEM-2）》。OEM供应商应将已签署的《第三方模具制造商协议》的一份原件提供给罗士公司。磨具生产商应在各方同意的合理时间间隔，就所有在生产过程中的罗士公司模具的状态向罗士公司提供报告。模具制造完成后，磨具生产商也应就每一个模具开具正本增值税发票。为避免歧义，此份《制造商模具协议》同样适用于任何替换或更新的模具，而不论这些替换或更新的模具是否有罗士公司的具体订单或指令。

 

2.    Identification. All Fellowes Tools designated by Fellowes shall be permanently marked by Supplier with the phrase “Property of Fellowes, Inc.” and with a Tooling Asset Number (“TAN”) provided by Fellowes. Supplier shall not remove any name, tool asset number or other indicia of Fellowes’ ownership from the Fellowes Molds.  Upon Fellowes’ request, Supplier shall prepare and deliver to Fellowes annually a schedule listing and describing the Fellowes Tools then in the care, custody, or control of Supplier and the third party toolmaker/ third party molder..

归属标记。 所有罗士公司模具应由供应商永久性地标注“罗士公司公司的财产”的字样以及罗士公司提供的模具资产编号（“TAN”）。磨具生产商不得从罗士公司模具上除去任何名称、序号或表明罗士公司所有权的其它标记。根据罗士公司的要求，磨具生产商须每年准备并提供给罗士公司一份目录，列明并说明所有目前由磨具生产商和第三方模具制造商/第三方塑模公司届时保管、占有或控制下的罗士公司模具。

 

3.    Title.       Supplier acknowledges and confirms that the Fellowes Tools are owned by Fellowes and Supplier has no right, title or interest in or to the Tools or the underlying designs except as bailee or lessee of the Tools for purposes of this Agreement.  The title of Tools shall transfer to Fellowes upon payment by Fellowes, and Supplier shall provide a VAT invoice and any other necessary documents. However, the failure by Supplier to provide such documents shall not affect Fellowes’ rights in the Tools. 

所有权。 磨具生产商承认并确认罗士公司模具归罗士公司所有。磨具生产商除作为模具受托保管人或承租人将模具用于本协议规定之目的外，并不对模具及其基础设计拥有任何权利、所有权或利益。模具所有权在罗士公司付款后转移给罗士公司，磨具生产商应开具增值税发票并向罗士公司提供任何必要文件。但是，即使磨具生产商没有提供上述文件不会影响罗士公司对模具享有的权利。

 

4.    Use and Lease Payments.      Supplier agrees that the Fellowes Tools will be used only for the manufacture of products as ordered or directed by Fellowes from time to time, and for no other purpose.  Fellowes will issue a quarterly lease schedule beginning November 2012 that includes the lease payments for the Tools manufactured for Fellowes under this Agreement and used in Products produced for Fellowes entities.  Supplier shall pay lease amounts for the use of the Tools as indicated on the Fellowes Invoice.  Supplier may invoice Fellowes affiliates in Australia, Canada, Japan, UK and US for a tool management/maintenance charge in an amount not to exceed such aggregate lease payments. 

使用和租赁付款   磨具生产商同意，罗士公司模具只能用于生产罗士公司不时命令或指示生产的产品，，而不能用于其他任何用途。对根据本协议为罗士公司制造并用于为罗士公司其他关联公司生产产品的模具，罗士公司将于2012年11月起，每季度出具一份租赁计划表。磨具生产商应根据罗士公司发票上所示的金额，为其使用模具支付租赁费。磨具生产商可以向澳大利亚、加拿大、日本、英国和美国的罗士公司的关联公司出具发票，收取模具管理/维护费用，但收取的费用不得超过租赁费的总金额。

 

5.    Maintenance.  Supplier shall take all reasonable precautions to protect the Fellowes Tools against damage, deterioration or loss and shall advise Fellowes promptly of any damage to or loss of such tools from any cause whatsoever, except normal wear and tear.  Supplier agrees not to physically alter the Fellowes Tools without the written consent of Fellowes.  Supplier will be responsible for all repairs (excluding normal mold wear & tool reconstruction) required as long as the Fellowes Tools are in its custody.  Supplier shall provide cycle sheets, quality documents, and maintenance records relating to the Fellowes Tools in their custody upon request.

维护。 磨具生产商须采取一切合理的预防措施保护罗士公司模具，使之免遭损坏、侵蚀或丢失，并且须立即将这些模具因正常磨损之外的任何原因而遭受的损坏或损失情况通知罗士公司。磨具生产商同意，在没有罗士公司书面同意的情况下，不得更改罗士公司模具的物理结构。模具在由磨具生产商保管的整个期间内，供应商应负责所有必需的修理工作（模具正常磨损和模具翻修除外）。磨具生产商应按照要求提供与其保管的罗士公司模具相关的生产周期表、质量文件和维护记录。

 

6.    Location.        Supplier agrees that the Fellowes Tools shall be kept at Supplier’s principal place of business which will be documented on the Tool Receipt.  Fellowes Tools may be transferred to a third party molder only after a third party molder has fully executed a Third Party Molders Agreement (OEM-3).  Upon receiving any Tool, such Molder shall document the transfer by completing the Molder Tool Receipt (OEM-4). The Supplier shall provide originals of the Third Party Molders Agreement and each Molder Tool Receipt to Fellowes.  Fellowes shall have the right at any time during normal business hours to enter the premises of Supplier or any Molder for the purpose of inspecting or taking possession of any Fellowes Tool.

存放地点  磨具生产商同意，将罗士公司模具置放在模具收据中记载的其主营业地。除非罗士公司下达指令或指示，否则不得将之迁离该主营业地。在第三方塑模公司签署《第三方塑模公司协议（OEM-3）》后，磨具生产商才可以将模具交付给第三方塑模公司。第三方塑模公司在收到模具后，应签署《塑模公司模具收据（OEM-4）》，以记录模具占有的转移。磨具生产商应将已签署的《第三方塑模公司协议》及《塑模公司模具收据》的原件提供给罗士公司。罗士公司有权在正常营业时间内进入随时磨具生产商或第三方塑模公司放置罗士公司模具的场所对罗士公司模具进行检查或予以占有。

 

7.    Payment.        Payment for any Tool by Fellowes shall be made in accordance with the payment schedule on the properly approved Quote Form.  Payment for products shall be made in accordance with the terms of the Purchase Order. 

付款。  罗士公司对任何模具的付款应根据经适当批准的报价单上的付款时间表支付。产品货款应根据采购订单上的付款条款支付。

 

8.    Liens.      Supplier shall keep the Fellowes Tools free and clear of any liens, security interests or encumbrances, and Supplier hereby waives any liens, security interests or encumbrances whether now existing or hereafter arising.

留置权。磨具生产商应确保罗士公司模具上未设置任何留置权、担保物权或产权负担，且特此放弃所有已经存在于或者此后可能出现于模具上的任何留置权、担保物权或产权负担。

 

9.    Confidentiality.      Supplier acknowledges that it has entered into the Fellowes Supplier and Intellectual Property Agreement and agrees to be bound by the terms thereof.  Supplier also acknowledges that the Tools shall be considered Proprietary Materials and information, as defined therein.

保密。  磨具生产商确认其已经签署罗士公司《供应商及知识产权协议》， 并同意受该协议条款的约束。而且，磨具生产商承认模具属于该协议定义的专有材料及信息。

 

10.   Possession of Tools; Delivery.       Fellowes shall have the right to take possession of the Tools, in whole or in part, at any time, upon payment for the work completed.  Supplier shall make available to Fellowes such or all of the Tools as requested by Fellowes.  At Fellowes’ request, Supplier will pack such Tools and ship same per Fellowes’ instructions and at Fellowes expense.  If the Supplier unlawfully retains possession of any Fellowes Tools, Fellowes shall be entitled to reimbursement of all of its costs and expenses incurred to enforce this Agreement as well as reimbursement of all damages incurred as a result of the Supplier’s act.  The completed Tools shall only be in a Supplier’s location or to a third party location documented via the Third Party Molder’s Agreement and Tool Receipt.

模具的占有、交付。 在对已完成的工作付款之后，罗士公司有权在任何时候或随时、全部或部分地占有罗士公司模具。磨具生产商应当根据罗士公司提出的要求，将特定或全部的模具提供给罗士公司。在罗士公司提出要求的情况下，磨具生产商应根据罗士公司的指示包装这些模具并予以付运，相关费用由罗士公司承担。如果磨具生产商非法占有任何罗士公司模具，罗士公司有权就强制履行本合同所发生的费用和支出获得补偿，同时有权就因为磨具生产商的前述行为遭受的所有损失请求赔偿。完成的模具仅应放置于磨具生产商的处所或《第三方塑模公司协议》及《塑模公司模具收据》上记载的第三方塑模公司的场所。

 

11.   Joint and Several Liability.  The Supplier must take all necessary measures to ensure the performance of the Third Party Toolmakers Agreements and Third Party Molders Agreements (collectively “Third Party Agreements”). In the event of breach or non-performance of the Third Party Agreements by third party toolmakers or third party molders, the Supplier must, without delay, take all available steps to enforce the Third Party Agreements and to seek compensation for loss suffered by Fellowes, including without limitation to promptly commencing arbitration or litigation. In all circumstances, the Supplier is jointly and severally liable for any damage or loss suffered by Fellowes because of violation of the Third Party Agreements.

连带责任。    OEM生厂商有义务采取一切必要措施，确保《第三方塑模模具制造商协议》和《第三方塑模公司协议》(统称“第三方协议”)的妥善履行。如果第三方模具制造商或第三方塑模公司违反第三方协议，磨具生产商应及时采取必要行动，促使第三方协议的履行并就罗士公司遭受的损失寻求救济，包括但不限于启动诉讼和仲裁程序。在任何情况下，磨具生产商对因违反第三方协议给罗士公司造成的损失承担连带赔偿责任。

 

12.   Disposition of Tools. Supplier must contact Fellowes 120 days prior to the Tool expiration/end-of-life.  Fellowes will determine whether such Tools will be replaced and the disposition of the expired Tool. No Tool can be destroyed without Fellowes approval and witnessing the destruction process.  Supplier must contact Fellowes if a Tool has been idle for more than one year.

模具的处置。 磨具生产商必须在模具使用寿命期届满前120天前通知罗士公司。 罗士公司公司决定是否替换该等模具及如何处置过期的模具。模具销毁必须经罗士公司的批准且由罗士公司现场监督销毁模具的过程。如果有任何模具闲置时间超过一年，磨具生产商必须通知罗士公司。

 

13.   Governing Law.     The applicable law for this Agreement is Chinese Law. Any dispute arising from or in connection with this Agreement shall be submitted to China Internatioanl Economic and Trade Arbitration Commission Shanghai Sub-Commission for Abitration， which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The number of arbitrators shall be three. The arbitration language shall be English. The abitral award is final and binding upon both parties. While this Agreement may be translated into Chinese, the English version shall govern.

准据法。 本协议适用中国法。凡因本协议引起的或与本协议有关的任何争议，均应提交中国国际经济贸易仲裁委员会上海分会，按照该会申请仲裁时有效的仲裁规则进行仲裁。仲裁员人数为三人。仲裁语言为英文。仲裁裁决是终局的，对双方均有约束力。虽然本协议被译成中文，以英文版本为准。

 

IN WITNESS WHEREOF, the parties have executed this China OEM Supplier Tool Agreement as of the day and year first written above.

特此证明，协议双方已经于上述年月日签署了本《生产商模具协议》。
