2．1  合营公司应根据合资经营企业法和有关规定成立。

The joint venture company shall be established in accordance with the Joint Venture Law and relevant provisions.

    2．2  根据中外合资经营企业法实施条例第六条，中国烟草总公司为本合营公司的主管部门．在中国法律，法规和本合资合同，章程规定的范围内，合营公司有权自主地进行经营管理，主管部门对合营公司负责指导，帮助和监督。
China Tobacco Corporation shall, under and in compliance with article 6 of the Implementation Regulations of the Chinese and Foreign Equity Joint Venture Law, be the competitive authorities of the joint venture company. The joint venture company shall, within the scope of China’s laws, regulations and this joint venture contract, have the right to operate and manage independently, and the competent authorities shall be responsible for the guidance, assistance and supervision of the joint venture company.

 

  2．3  合营公司的章程应为提交中国政府审批部门批准并由合营双方签署的文件。

The articles of association of the joint venture company shall be documents submitted to the examination and approval authorities of the China government for approval and signed by the parties hereto.

    2．4  筹备工作小组将有约8至10名成员．每方将指定两名经理成为筹备工作小组的部分成员．筹备工作小组其余成员将是各方共同委派的秘书，办事员及助理人员．英美公司和中资企业将共同确定筹备工作小组所需的资金．双方通过合理的真诚努力，以保证合营公司的成功。
The preparatory working group will have about 8 to 10 members. Each party will designate two managers as part of the preparatory working group. The remaining members of the preparatory working group will be secretaries, clerks and assistants appointed by the respective parties。Anglo-American Corporation, and Chinese companies will jointly ascertain the funds needed to determine and preparatory working group. The parties shall, through reasonable and sincere efforts, ensure success of the joint venture company.

  

第三条  投资总额与注册资本
Article III. Total Aggregate of Investment Sum and Registered Capital

 

    3．1  合营公司为有限责任公司，投资总额与注册资本相等，均为美元．双方的责任仅限于各自的投资额．此外，目前的估计是，在有需要和获得董事会批准的情形下，合营公司将从中国银行或其他财务机构借取资金作为流动资本。
The  joint venture company is a limited liability corporation, and the total aggregate sum of investment is equal to the registered capital, both in US dollars. The liability of the parties is limited to their respective investment amount. In addition, the current estimate is that the joint venture company will, if necessary and approved by the board of directors, borrow funds from the Bank of China or other financial institutions as working capital.

 

   在合营公司正式成立领取工商营业执照前，双方各自负责成立合营公司的费用，此费用将不作为投资资本部分．有关2．9条所述的筹备费用及登记，领取营业执照所需的费用应作为双方投资总额的一部份。
The parties are responsible for the costs, prior to formal establishment of the joint venture company obtaining the business license, of establishing the joint venture company, which will not  part of the investment capital. The expenses for preparation and registration which mentioned in Article 2.9, in addition to the expenses required to obtain the business license shall be deemed as part of the investment total sum of the parties.

 

  5．2．1  最少有      的总销售量出口，以外汇销售．除非得到英美公司书面同意，卫星牌不出口．合营公司应尽最大努力推广黑马牌的出口销售量．出口之卷烟价格应与类似产品相似．英美公司与合营公司将签订详细的“销售合同”．合营公司将有全权决定售予英美公司供出口产品的价格。
The least      of total sales volume is exported and sold by foreign currency. Unless otherwise agreed by written consent from the Anglo-American Corporation, the products with satellite brand is not exported. The joint venture company should use his best skill and endeavors to promote the export sales volume of the Dark Horse brand cigarettes which price should be similar to the same of like or similar products. The detailed sales contract shall be signed between Anglo-American and joint venture companies which have full power to determine the price of the products sold to Anglo-American companies for export.

 

5．2．2  有     的总销量以外汇在中国境内销售。

The      of total sales volume shall be sold in China in foreign currency.

 

5．3  有      的总销量以人民币在国内市场销售而售价应与国内类似产品相似。

The      of total sales volume shall be sold in the domestic market in RMB and the selling price should be similar to the same of domestic like products.
