甲乙双方利用各自的优势开展工程项目居间合作，根据《合同法》和《建筑法》规定，经双方充分协商，达成如下协议：
Parties hereto, in accordance with the Contract Law and Construction Law, use their respective advantages to carry out intermediary cooperation in engineering projects, through full negotiation between the parties, the following agreements are reached:

 

一、委托事项 Entrusted issues

乙方接受甲方委托，负责就      工程项目（以下称该工程项目），引荐甲方和该项目单位      直接洽谈，向甲方提供关于该工程项目的重要信息，并最终促成甲方与建设单位签订该工程项目的专业承包施工合同。
Party B accepts the entrustment of Party A and is responsible for inviting Party A and the project unit to negotiate directly on the project      (hereinafter referred to as the project), and providing Party A with important information about the project, in addition to finally urging Party A to sign, with the construction unit, professional construction contract for engineering projects.

 

二、乙方的义务Party ‘s obligations

1、乙方必须向甲方提供有关该工程项目的信息，内容包括       。乙方有义务协助甲方对该工程项目进行实地考察，
Party B should provide Party A with information about the project, including      . Party B is obliged to assist Party A to carry out on-site inspection of the project,

 

2、乙方承诺向甲方提供的关于该工程项目的上述信息真实可靠。如果乙方提供的信息不真实，乙方无权取得居间报酬。
Party B promises to provide Party A the above information about the project is true and reliable. If the information provided by Party B is not true, Party B has no right to obtain intermediary compensation.

 

3、乙方在甲方与建设单位进行合同谈判期间，应尽到作为居间人的慎谨和诚实义务。
During the contract negotiation between Party A and the construction unit, Party B shall fulfill its duty of prudence and honesty as an intermediary.

 

4、乙方仅负责介绍业务，不承担任何与项目有关的担保。至于甲方与项目方的业务成功或不成功，与本居间合同无关，与乙方无关。
Party B is only responsible for introducing business, and does not undertake any guarantee related to the project. As for the successful or unsuccessful business of Party A and the project party, it has nothing to do with this intermediary contract and has nothing to do with Party B.

 

三、甲方义务 Party A's obligations

1、甲方负责提供资质证书、营业执照等相关资料；负责和建设单位进行合同谈判。
Party A is responsible for providing qualification certificates, business licenses and other relevant materials and responsible for contract negotiations with the construction unit.

 

2、如果居间成功，则由甲方全面履行和建设单位所签订的专业施工合同。甲方因履行施工合同而产生的权利和义务，与乙方无关。
Provided that the intermediary is successful, Party A shall fully implement the professional construction contract signed with the construction unit. Party A's rights and obligations arising from performance of the construction contract have nothing to do with Party B.

 

四、居间报酬的计算方法、支付时间和支付方式
Calculation method, payment time and payment method of intermediary remuneration

 

1、本项目居间费用为     元。
The intermediary cost of this project is     RMB.

 

2、居间成功后，在甲方和项目方签订合同的     内，应向乙方支付     元整。
After successful intermediation, within     days upon conclusion of the contract between Party A and the project party,     Yuan shall be paid to Party B.

 

3、甲方可以转帐或现金的方式支付。
Party A can pay by transfer or cash.

 

4、居间报酬的税费由    方承担。
The taxes and fees for intermediary compensation shall be borne by the party    .

 

5、如果居间成功，则甲方应向乙方支付居间报酬     元；如果未成功应支付乙方劳务费    元。如果未及时支付，则按未按时支付金额的1%向乙方承担违约金。
Provided that the intermediary is successful, Party A shall pay Party B intermediary remuneration

     Yuan; if unsuccessful, Party A shall pay Party B labor fee     Yuan. If the payment is not made in time, Party A shall be liable for liquidated damages at 1% of the amount not paid on time.

 

五、居间费用的承担 Intermediary cost commitment

居间费用是指乙方为完成委托事项实际支出的必要费用。乙方无论是否完成本合同所包含的委托事项，乙方同意全部自行承担居间活动费用（或甲方同意承担费用的     %）。
The intermediary expenses refer to the necessary expenses actually paid by Party B to complete the entrusted matters. Regardless of whether Party B completes the entrusted matters included in this contract, Party B agrees to bear all the expenses for intermediary activities (or Party A agrees to bear     % of the expenses).

 

六、保密事项 Confidentiality

1、甲乙双方均应充分保守本协议所涉及的商业秘密。
Both Party A and Party B shall fully protect the commercial secrets involved in this agreement.

 

2、乙方不得以其在居间过程中获取的甲方商业秘密而作出不利甲方的任何行为，否则甲方有权拒绝支付乙方的居间报酬。
Party B shall not use Party A ‘s business secrets obtained during the intermediation process to do anything against Party A, otherwise Party A has the right to refuse to pay Party B’s intermediary remuneration.

 

3、任何一方违反保密义务的，应向对方支付    元违约金；如果违约金不足以补偿因此而遭受的损失，应负责据实赔偿。
Provided that any party violates the obligation of confidentiality, it shall pay other party

     Yuan of breach damages; if the amount of breach damages fail enough to compensate for the losses suffered as a result, it shall be responsible for compensation.

 

七、合同终止 Contract’s termination

1、本合同签字生效后，如果至  年  月 日，乙方仍未完成居间任务的，本合同自动终止。
After the signing of this contract takes effect, if Party B has not completed the intermediary task until       day      month      year, this contract is automatically terminated.

 

2、如果居间成功，本合同完全履行完毕后终止。
If the intermediary is successful, this contract will be terminated after the performance is completed.

 

3、甲乙双方协议解除合同或有其他法定事项时，本合同终止。
When both parties agree to terminate the contract or have other statutory matters, this contract is terminated.

 

八、争议解决方式 Dispute Resolution

如发生合同争议，双方协商解决；协商不成，双方同意提交合同签订地仲裁委员会仲裁。
Provided that contract dispute occurs, the parties shall negotiate to resolve; if the negotiation fails, the two parties agree to submit to the arbitration committee in the place where the contract was signed for arbitration.

 

九、其他事项 Miscellaneous

1、乙方不得将本合同委托事项进行转委托。
Party B shall not transfer-delegate the entrusted matters of this contract to the third party.

 

2、本合同一式贰份，双方各持一份，双方签字盖章后生效。
This contract is made in two copies which enter into effects with signature and seal, each party holds one copy.
