33. 因便利而终止合同  Termination for Convenience      

   （亦称：无原因而终止合同）

 

合同只需双方当事人协议，就可更改或终止。

A contract may be modified or terminated by the mere agreement ofthe parties.

 

The Purchaser’ s rights to terminate this Contract are exclusively set forth in the Contract.

买方终止合同的权利仅在合同中列明。

 

任何一方都可以书面通知对方终止合同。

Either Party may terminate the Contract by written communication to the other Party.

 

Termination for Convenience.  Notwithstanding any other provision in this Agreement, RIM may terminate this Agreement at any time for convenience provided that RIM delivers to VENDOR written notice of its intention to do so, at least fourteen (14) calendar days prior to the effective date of termination.

为便利而终止。尽管有其他规定，需方可以随时为便利而终止本协议，只要提前14天向供方发出书面通知即可。

 

Payment upon Termination for Convenience. If RIM terminates this Agreement for convenience, RIM shall pay VENDOR for Services performed up to the effective date of termination.  If the Fees for Services under this Agreement are based on VENDOR achieving identified milestones, RIM shall pay VENDOR up to and including the last milestone achieved prior to the effective date of termination.  In addition, RIM shall pay to VENDOR the hourly rate specified in Rate Schedule multiplied by the number of hours of Services that, VENDOR can demonstrate to RIM ’s satisfaction, were performed between the dates that milestone was achieved and the effective date of termination.

因便利而终止后的款项支付。如果需方因便利而终止协议，应支付供方于终止日前所提供的服务的费用。如果按照协议规定费用的支付根据供方的阶段性成果而定，需方将支付终止日前供方所取得的成果的费用。此外，需方将按照服务工时的比率表向供方支付符合需方要求的用工小时费用。按小时用工是指取得阶段性成果日与协议有效期终止日之间的服务。

 

This Agreement is effective on the Effective Date and shall terminate on the date Client signs a subsequent Client Agreement. Either party may terminate this Agreement upon 30 days prior written notice, provided that this Agreement shall apply to any Services being provided as of the date of such notice and any Services requested after the date of such notice if the parties have not entered into a new Client Agreement.

本协议于生效日生效，并应在客户签订下一份客户协议之日终止。任何一方均可经提前三十天发出书面通知终止本协议，但是，本协议应适用于在该通知之日正在提供的任何服务，并且，如果双方未签订新的客户协议，应适用于在该通知之日后要求提供的任何服务。

 

If the supplier rendered part performance, we only have the right to cancel the whole contract if we have no interest in the part performance.

对于供应商部分履行其合同义务的，如我方就该部分履行无法受益，则我方有权解除或终止整个合同。

 

In addition to Purchaser’s rights set out in Article 18.1 above, Purchaser may at any time in its absolute discretion give written notice to Supplier terminating forthwith the Purchase Order.

除上述第12.1条所列的采购方的权利之外，采购方可在任何时间自行决定向供货方发出书面通知而立即终止采购订单。

 

To terminate the Purchase Contract with immediate effect by giving written notice to Supplier;

向供应商发出书面通知终止采购合同，即时生效；

 

Buyer may have against Supplier, it shall have the right to terminate the Purchase Contract in whole or in part, with or without cause, and without any liability for such termination, upon at least seven days' written notice to Supplier.

买方可通过至少提前七天书面通知供应商终止全部或部分采购合同，不论是否给出理由且无须承担该合同终止的任何法律责任。

 

Computer company shall have the right to terminate the Supply Agreement at any time by written notice to the Supplier and to require the Supplier to cease all work there under and related to the said Supply Agreement if the contract between computer company and its customer for the delivery of the goods has been terminated for any reason whatsoever.

若计算机公司的客户以任何理由终止买卖合同，则计算机公司有权随时向卖方发出书面通知，以终止相应的买卖合同，并要求卖方停止该合同项下及与该合同有关的一切活动。

 

因便利而终止Termination for Convenience

买方除享有任何其他终止本合同的权利之外，买方还可选择在任何时候以任何理由在书面通知卖方后，立即全部或部分终止本合同。

In addition to any other rights of Buyer to terminate this contract, Buyer may at its option immediately terminate all or any part of this contract, at any time and for any reason, by giving written notice to Seller.
