本合同由甲乙双方签订，根据本合同条款，乙方同意购买，甲方同意出售以下产品。

This contract is made by and between party A and party B，whereby party B agree to buy and party A agree to sell the under-mentioned commodities in accordence to the terms and conditions stipulated as below.

2. 价格及支付方式Price and Payment Term 

2.1 价格为FOB上海港口价。本合同设备总价为:      美元。

The price is FOB shanghai port and total amount of equipment hereof is     USD.

        

2.2 买方应于合同签订后银行5个工作日内电汇给卖方合同总金额的30%做为预付款，剩余金额的70%, 即     美元应当在发货前由买方电汇给卖方。

Buyer shall, within five banking days subsequent to conclusion hereof, effect payment by T/T 30% of the total contract value to seller as advance and remaining 70% of the total contract value, to wit,     USD shoud be paid by T/T to seller prior to shipment.

 

2.3 合同自买方预付款到卖方账户之日起生效, 卖方自签订“安装调试证书”之日起履行产品质量保证义务。

The contract will come into effect and force as of the day on which buyer’s advance payment paid to seller’s account and seller shall perform its products quality guarantee from the day of signing Certificate of Installation / Trial.

 

2.4 价格在合同有效期内不变。

The contract price remains the same and not change during the valid period hereof.

 

3. 卖方指定银行账户信息The bank account information seller designated.

 

4. 设备交货期Delivery Time

  自合同生效后，卖方应在60个工作日内交货。

Seller should, within 60 days after contract comes into effect, effect delivery of goods.

 

5. 包装 Package

5.1 货物生产完毕后，卖方应对部分适合包装的设备部件进行包装，并按技术明细和要求粘贴标签。货物的包装应保证在货物装卸和运输过程中完好。

Seller should, subsequent to completion of production of goods, effect package for certain equipment parts which suitable package and label the parts as per technical stipulations and requirements. The package of goods should be ensured to be in good condition during the loading / unloading and transportation of the goods.

 

5.2  卖方应对由于不正确和不符合要求的包装所造成的货物的损坏和丢失承担责任，并应在货物交付买方之日起30日内解决货物的损坏和丢失问题。

Seller should be liabilities to the loss and damage due to incorrect and improper package and solve the cliam on damage and loss of goods within 30 days as of the day when the delivery of goods to buyer.

 

6 . 运输和交货Tansportation and Delivery

6.1 设备制造完毕后卖方应邀请买方派代表到工厂验货。如果买方代表可以到卖方工厂验货，在验完每一批次货物后买方应签署“验收证书”。

Seller shall, upon completion of the equipment production, invite buyer to dispatch its representative to the factory for inspection. Where buyer’s representative can effect on-site checkup / inspection at seller’s factory, buyer should sign Acceptance Certificate upon completion of inspection on each batch of goods.

 

6.2         卖方在完成设备的制作后及时通知买方安排运输船舶到装运港接收货物。发货前10日内买方应当支付完毕全部货款。

Seller should, subsequent to equipment’s manufacture, timely notify buyer to arrange vessel to receive the goods at the port of shipment. Buyer shall effect full payment of goods within 10 days befoure shipment.

 

6.3  按照以下条款接收货物 Take over the goods as per following terms:

 零部件数量的验收按照提单上注明的数量；

Acceptance of parts quantity shall be subject to the same marked in the bill of lading;

 

货物数量的验收按照明细表和装箱单上注明的数量；

Acceptance of equipment quantity shall be subject to the same marked in the detailed list and package list;

 

产品质量的验收应符合卖方的企业标准或者中国国家标准要求。

Acceptance of product’s quality should conform to the standards of seller’s manufacture or China state’s requirements.

 

7.  安装和调试Installation and Debugging / Commissioning

7.1 设备安装、调试和技术培训由卖方的专家进行。买方应提供安装调试所必需的机械和工具。卖方专家到达买方工厂的日期由双方协商。

Equipment installation, debugging / commissioning and technical training will be carried out by  seller's experts. The machinery and tools necessary for installation and commissioning shall be provided by buyer. The date of expert’s arrival at buyer's factory shall be negotiated by parties hereto.

 

7.2 安装调试设备技术服务的费用：按照每人每天工作8小时，买方应支付给卖方专家每人每天60美金，技术服务费用应在专家出发前汇款到卖方公司账户。

Cost of technical services for installation and commissioning of equipment: buyer shall pay seller’s 60 USD for each person working 8 hours a day and the fees of technical service shall be remmitted to seller’s bank account prior to the departure of expert.

 

7.3买方必须支付卖方技术人员的如下费用：

签证费、往返机票、食宿、安装、翻译、意外保险和工作期间的医药费。此外，买方应保证安装调试期间的技术人员的人身安全。

Following fees for the seller's technical personnel shall be born by buyer.

Visa fees, round trip airfare, accommodation / catering, installation, translation, accident insurance and medical expenses during work. In addition, buyer shall ensure the safety of technical personnel in the period of installation and commissioning.

 

7.4 买方应按照卖方的要求准备三相电源，供水，供气，空压机，电焊机，电焊条，吊车，手工工具，气割工具，其它工具和耗材。买方应为生产线的安装和调试提供足够的空间。

Buyer shall, as per seller’s requirements, prepare three-phase power supply, water supply, air supply, air compressor, welding machine, welding rod, crane, hand tool, gas cutting tool, other tools and consumables. Buyer shall provide sufficient space for installation and commissioning of the production line.

 

7.5 完成安装调试设备后买方应在2日内签署《安装调试证书》。

Parties hereto will, within two days subsequent to completion of installation and commissioning of equipment, effect signature of Certificate of Installation / Commissioning.

 

8. 质量保证Quality Guarantee.

8.1 卖方应保证：卖方对交付买方的货物拥有完整的所有权并保证没有抵押或作任何担保。任何第三方不能对出售给买方的货物提出任何权利。

Seller shall guarantee the followings: seller enjoys the full and whole ownership of the sold goods which delivered to buyer and without mortgage or security thereon. No any third party can claim any right on the goods which sold to buyer.

 

8.2 买方在设备使用过程中应严格执行卖方所提供的使用说明及操作规程，如果由于违规使用而造成设备损坏，所产生的经济损失由买方自行承担。

Buyer shall, during use of equipment, strictly abide by the instructions and operation inspections provided by seller. Any damage and economic loss due to buyer’s illegal use will be born by buyer.

 

8.3  卖方对设备正常使用的质保期为一年，易损件除外。质保期自签署“安装调试证书”之日起计算。卖方应在质保期内对正常操作的条件下出现的设备损坏给予免费修复或更换部件。

The seller's warranty for the normal use of the equipment is one year, except for vulnerable parts. The warranty period shall be calculated as of the date of signing Certificate of Installation and Debugging. Seller shall, within the period of warranty, repair the damage of equipment or change parts free of charge subject to the normal operation.

 

9. 不可抗力Force Majeure

9.1 任何一方如果遭受不可抗力的严重阻碍，在不可抗力及其影响持续的期限内和受影响的程度内双方中止履行本合同。不可抗力是指本合同签署时合同双方不能预见，发生时不能避免且不能克服的事件，包括但不限于台风，暴风雪，洪水，海啸，地震，战争，内乱，罢工和流行病。

Provided that any party suffer the serious obstruction of force majeure, parties hereto may suspend the performance hereof during the force majeure and influence-lasting period within the extent affected. Force majeure means an event that cannot be foreseen, unavoidable and insurmountable by the parties at the time of signing this contract, including, inter alia, typhoons, blizzards, floods, tsunamis, earthquakes, wars, civil strife, strikes and epidemics.

 

9.2  不可抗力的影响消除后双方应尽快履行本合同，如果不可抗力发生及其影响持续的时间超过90天，任何一方有权解除本合同而不承担任何违约赔偿责任。

Parties hereto shall, subsequent to termination of force majeure, effect performance hereof as soon as practice, where the force majeure and its influence – lasting period over 90 days, any party reserve right to effect recission hereof without any liability for breach compensation.

 

10. 违约处理 Default Treatment

违约系指未按照合同约定履行义务。违约方应承担依照以下条款规定承担相应责任：

Breach of contract refers to failure to perform obligations as agreed herein. The defaulting party shall undertake the corresponding liability as per the following provisions:

 

10.1 如果卖方未按本合同规定的日期生产或供货，或者部分逾期，应每日向买方支付未发运货物价值的0.1‰的罚款。

Provided that seller fails to manufacture or supply goods on the date stipulated hereof or partial overdue, shall effect the payment of penalty for 0.1‰ of the undelivered goods value per day.

 

10.2 如果买方未在规定的期限内支付货款，买方应每天向卖方支付未付款货物价值的0.1‰。

Provided that buyer fails to effect payment of goods within the stipulated time, shall effect the payment of penalty for 0.1‰ of the unpayed amount per day.

 

11. 法律适用与争议解决 Applicable Law and Dispute Settlement

11.1本合同的订立、效力、解释、履行、修改和终止以及争议的解决均适用中国法律。

The execution, effectiveness, construction, performance, amendment and termination hereof and the resolution of disputes shall be governed by the laws of China.

 

11.2. 因本合同引起的或与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会，按照该会现行的仲裁规则在该会进行仲裁。仲裁裁决是终局的，对双方均有约束力。

Any dispute arising from or in connection herewith shall be submitted to China International Economic and Trade Arbitration Commission for arbitration for arbitration as per its existing rule. And the arbitral award is final and binding upon both parties.

 

12. 保密条款 Confidentiality

合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。

Within the validity period of contract, both parties shall take proper measures to keep the materials or information strictly confidential. The other party shall not disclose or divulge to any third party without prior written consent of one party.

 

13. 其它条款Miscellaneous

13.1 本合同自双方签字盖章之日起成立，收到预付款之日起生效。

The formation hereof will be the date of signature and seal of parties hereto and the effective date hereof will be the date of receipt of the davance payment from buyer.

 

13.2 对本合同的任何修改须经双方一致书面同意。

Any amendment hereof should be subjet to the unanimous written consent by parties hereto.

 

13.3 与本合同有关的所有文件可通过传真或电子邮件传递。经签字和盖章的传真件和扫描件具有原件的法律效力。

All documents relating to this contract may be transmitted by fax or e-mail. Signed and sealed facsimile and scanned copies have the legal effect of the original.

 

13.4 本合同以中、英文书就，一式两份，双方各持一份，具有同等的法律效力。

This contract is made in languages of Chinese and English in duplicate with equal legal force and each party holds one copy.

 

13.5 附件为合同必不可少的组成部分，与本合同具有等同法律效力。

The attachment is an integral part of the contract with equal legal force with this contract.
