本合同由买卖双方订立，根据本合同规定的条款，买方同意购买，卖方同意出售下述商品：
This Contract is made by and between buyer and seller ,whereby buyer agrees to buy and seller agrees to sell the undermentioned commodity according to the term and conditions stipulated below.
第一条 交易标的 Article One Trade Subject
1. 依据____年____月____日双方签定的关于合作的协议，在卖方国家边境口岸的列车上交货条件下卖方售出，买方购入货物____，其数量、种类、价格及交货期均按第____号附件办理，该附件为本合同不可分割的部分。

第二条 价格 Article Two Price
本合同所售出货物的价格以美元计算，此项价格为卖方国边境车上交货价格，包括包装和装车费在内，卸货费由买方负担。
The price of the goods hereof is calculated in currency of USD and for delivery of goods on frontier of seller’s country, including packing and loading charges, however, unloading charges is for the account of buyer.
第三条 交货地点和交货方式 Article Three Place and Mode of Delivery
卖方交货地点为中国绥芬河边境贸易口岸货运火车站，交货方式为车上交货。买方自费从车上卸货。
The seller ' s place of delivery is the freight train station at frontier trade port of Sufenhe, China, and the delivery mode is the delivery on the vehicle. Unloading of goods will be effected at buyer’s own expense.
第四条 品质 Article Four Quality
按本合同所售出货物的品质应符合卖方国家标准并符合本合同附件所规定的技术条件；凭样交货的商品品质应符合双方所确认的样品。
商品质量应以卖方国国家商品检验局出具的品质证明书予以证明。
The quality of the goods sold hereunder shall be in conformity with seller's national standards and the technical conditions stipulated in the Annex hereto; The quality of the goods delivered by sample shall be in accordance with the samples confirmed by both parties.
The quality of the goods shall be certified by a certificate of quality issued by the State Commodity Inspection Bureau of seller's State.
第五条 供货期 Article Five Delivery Term
卖方应在本合同附件规定的期限内发货。在征得买方同意的情况下，卖方有权按双方商妥的数量和金额提前交货。
The seller shall, within the time specified in the Appendix hereto, deliver the goods. Seller shall, with the consent of buyer, be entitled to effect prior delivery of goods subject to the quantity and value amount agreed upon by parties hereto.
每个货箱均应用防水颜料在箱体的三面（上面、前面和左面）用英、俄两种文字刷写以下唛头：合同号，收货人，箱号，毛重，净重。
Each case shall be marked with waterproofing paint on three sides (above, front and left) in English and Russian below markes: contract number, consignee, case number, gross weight, net weight.
本合同所供应的货物之价款，按照中国银行和俄罗斯中央银行《关于边境贸易支付协议书》所规定的办法及1990年中国和苏联《交货共同条件》办理。（译注：该《交货共同条件》现仍然有效。）凭下列单据以美元向卖方支付：
The payment of value amount of the goods supplied hereunder shall be effected in accordance with the provisions stipulated as Agreement on Payment of Frontier Trad between Bank of China and Central Bank of Russia, in addition to Common Conditions of Delivery between China and Soviet Union in 1990. Payment shall be effected by buyer to seller in United States dollars agsinst the following documents:
1．商业发票4份;
2．盖有卖方火车发货站印章的铁路运单副本1份;
Railway bill with the seal of seller’s train station in one copy;
3．货物装箱明细单3份；Packing list of goods in three copies;
4．由商品检验机构出具的货物品质证明书1份。
Certificate of quality of goods issued by commodity inspection agency in one copy.
第八条 保证和索赔Article Seven Guarantee and Claim
Quality guarantee period of the goods supplied by seller will be 12 months after delivery.
对货物品质的异议应在发现缺陷后3个月内提出。如在保证期发现货物缺陷，索赔日期不能迟于保证期结束后30天。如商品在保证期内出现缺陷，卖方应排除缺陷或更换有缺陷的部分并负担费用。
Objections to the quality defects of the goods shall be raised within 3 months of the discovery thereof. Provided that defects are found in the warranty period, the claim date shall not be later than 30 days after the end of the warranty period. If the goods are found being defective during the warranty period , seller shall eliminate the defects or replace defective parts and bear the expense therefrom.
卖方应在发货后10天内以电传向买方通知有关货物自生产厂发运的情况，并注明发运日期，合同号，件数，毛重和铁路运单号。
Seller shall, within 10 days after delivery through telex, notify buyer the information of goods shipment from the manufactuer in addition to indicating shipment date, contract number, package number, gross weight and railway bill number.
第十条 适用法律和仲裁 Article Ten Applicable Law and Arbitration
除非另有约定，本合同受国际商会发布的《2000年国际贸易术语解释通则》和《联合国国际货物销售合同公约》（1980）的解释和约束。
Unless otherwise stipulated in this contract, the terms and conditions of this contract shall be interpreted bound in accordance with the Internatioal Rules for the Interpertation of Trade Terms (INCONTERMS 2000) provided by International Chamber of Commerce and The United Nations Convention on Contracts for the International Sale of Goods (1980) .
由本合同所产生或与本合同有关的一切纠纷，应尽可能通过双方谈判解决，如双方不能达成协议，可提交被告国对外贸易仲裁机关审理。卖方国家对外贸易仲裁为中国对外贸易促进委员会，买方国家对外贸易仲裁为俄罗斯联邦工商会。
All disputes arising out of or in connection with this contract shall be settled by negotiation between the parties hereto as practicable, and where fail to reach an agreement, may be referred to the foreign trade arbitration authority of the defendent’s State for trial. The seller's State foreign trade arbitration authority is the China Foreign Trade Promotion Commission and the buyer's State Foreign Trade Arbitration authority is Chamber of Commerce and Industry of Russian Federation.
第十一条 不可抗力 Article Ten Force Majeure
如果不可抗力情况持续30天以上，其中一方有权通知另一方免除继续履行合同义务，任何一方无权向对方提出损失补偿的要求。
因受不可抗力影响而无法履行本合同义务的一方应将不可抗力情况的发生和影响立即通知对方。不可抗力发生和持续的时间应以卖方有关商会出具的证明书予以证实。
The occurence of force majeure on either party, such as fire, natural disaster, war, military action, blockade, prohibition on import / export, or other matters which is beyond the control of and is unforseen, unavoidable or insurmountable by parties hereto, lead to failure of performance of all or part liability hereof, the period of performance hereof may be postponed accordingly, however, the obligaion hereof shall remain in force during contract period.
Provided that the force majeure lasts more than 30 days, any party shall have the right to notify the other party of the exemption from continuing performance of the contract, and neither party shall have the right to demand compensation for the loss from other party.
The party fails to perform its liability hereof due to force majeure’s effect should notify forthwith other party ot the occurence and effect of the force majeure. The occurence of durantion of force majeure shall be confirmed by a certificate issued by the relevant Chamber of Commerce of the seller’s State.
第十二条 其它条件 Article Eleven Miscellaneous
本合同以英文、中文和俄文三种文字书就，两种文字具有同等效力。如不同文字在解释上有歧义，则以英文为准。
This contract is made in three languages of English, Chinese and Russian with equal effect. In case any divergency or variance in interpretation between languages, the English version shall be prevail.
本合同经双方签字盖章生效。合同一式四份，各方各执两份。
Ths contract will come into force and effect upon the signatures and seals of parties hereto, with quadruplicate for each party hold two copies.
