甲方：中国某马拉松赛事营运公司（以下称：甲方）

Party A: China Marathon Race Operating Company (hereinafter referred to as party A)

 

乙方：肯尼亚义坦马拉松训练营公司 （以下称：乙方）

Party B: Kenya Iten Marathon Training Camp Company (hereinafter referred to as: party B)

 

鉴于甲方是国际马拉松赛事组织、运动服务、商务运营的专业机构并经    市政府批准，承办2018年中国     城市的国际马拉松赛事（以下称：赛事）；乙方是肯尼亚跑步训练、运动员管理和参赛经纪服务专业机构。

鉴于甲方邀请乙方组织运动员参加赛事，乙方表示愿意接受邀请，将组织运动员来华参加比赛。

双方根据《中华人民共和国合同法》和《中华人民共和国体育法》的规定，经友好协商并基于本约之合意、声明、约定及其它约因，就乙方运动员参加甲方赛事达成如下合作协议：

Whereas party A is the professional institution of international marathon organization, sports services and business operation, through the authrization of     city goverment, will host the 2018 International Marathon in     city China (hereinafter referred to as the race); party B is a Kenya professional institution for run training, athletes management and race brokerage services in Kenya.

Whereas party A invite party B to organize athletes to participate race and party B is willing to accept the invitation and organize athlets to participate the race which is hosted by party A.

NOW THEREFORE parties hereto, in accordance with the Contract Law of the People's Republic of China and the Sports Law of the people's Republic of China, through amicable negotiation and on the basis of the concensus, representation, promises and other causes, which have been acknowledged hereby, on the race particitation of party B’s athletes agree as follows:

 

一、合作事项 Issues of Cooperation

1. 甲方邀请乙方组织马拉松运动员（下称：选手）参加2018年中国     城市的国际马拉松赛事。

Party A invite party B to organize marathoners (hereinafter referred to as player) to participate the 2018 International Marathon in city of    China.

 

2. 乙方派遣的选手国籍为肯尼亚或者埃塞俄比亚，人数为8 至10名，其中女子3名，均为黑人，须持有所在国家体育行政管理机构颁发的《运动员等级资格证书》。

The nationality of the players dispatched by party B are from Kenya or Ethiopia, all of whom are negro, person number ranging from 8 to 10, of whom 3 are female, should hold the Certificat of Athletic Rank Quanlification issued by his / her country sport administration.

 

二、合作方式 Cooperation Means

1. 乙方作为选手经纪人，组织合格选手来华参赛。

Party B shall, as a player’s broker, organizes qualified players to participate the marathon race in China.

 

2. 甲方负责承担全部参赛选手和3名随队工作人员的食宿、交通等费用。甲方支付乙方经纪费用和相关工作协调费共计美元     元。在本合同签订和甲方出具的正式《特邀选手邀请函》之后的五天之内，甲方支付40%至乙方指定银行账户，用于乙方开展组织、安排选手来华和协调相关活动工作，其余款项在赛事结束后与选手奖金一并支付乙方。

Party A is responsible for the expenses of the board / lodging, transportation and other fees for all players and three staff along with the team. Party A shall make payment of USD     to party B as the work fees of party B’s broker and concerned coordination, party A shall, within five days subsequent to signature hereof and issuance of formal Invitation of Guest Player issued by party A, make 40% of the amount to party B's designated bank account for party B's organization, arrangement of guest players to China and coordination of the related activities. The remaining payment will be paid to party B together with the player's bonus after the race.

 

3. 甲方支付每个选手出场费美元     元，在选手参赛并到达比赛终点，且无严重犯规，支付给选手本人。如果选手没有在规定时间跑完全程，或者严重犯规，则无出场费。

The appearance fee of each player paid by party A is USD    , will be paid to the play himshelf who participate race and reach final line without major offence. And no apprearance fee to the player who fails to finish full distence or with major offence during race.

 

4. 选手比赛奖金按照组委会赛事规程办理。

Competition bonus of player will be dealt with as per the rules of the Organization Committee.

 

三、甲方责任Party A’s Liabilities

1. 向乙方支付工作协调费和经纪费用。

Payment of work coordination fee and brokerage fee to party B.

 

2. 向选手和随队工作人员提供食宿。标准为三星级酒店，餐饮在酒店一并安排。

Provision of accommodation to players and team staff, the standard thereof is 3-star hotel in which  catering is arranged therein.

 

3. 承担选手和随队工作人员从肯尼亚内罗毕机场到北京机场的往返机票费用和从北京到    城市的高铁交通往返费用。旅途伙食津贴按每日每人    元人民币，交通费用实报实销。

Undertaken the expenses of round-airtrip tickets for players and team staff from Nairobi airport in Kenya to Beijing airport and the expenses of round-trip of high speed rail transportation from Beijing to    city. Travel food allowance per person per day is CNY    Yuan and transportation expenses be accountable for actual expenses.

 

4. 按照组委会要求组织选手到赛场参加比赛，参加三次公益宣传和商业广告活动。

Party A shall, pursuant to the requirements of the organizing committee, organize players to participate marathon race, three pubic welfare propagandas and commercial advertising activities.

 

5．为选手和随队人员购买最高赔付金额为30万元人民币的人身意外伤害保险。

Effect personal injury / accident insurance of maximum amount of compensation as CNY 300,000 Yuan for all players and team staff.

 

6. 协助办理选手和随队人员出入境签证。安排甲方接待工作人员3名，包括英语翻译1名。

Assist in processing entry and exit visas for players and team members and arrange three party A’s reception staff including one English interpreter.

 

 

7. 经选手书面同意后，选手比赛奖金支付到乙方指定银行账户，由乙方支付给选手。

Player’s race bonus will, upon player’s written consent, be paid to party B’s designated bank account, which shall be trans - paid by party B to the player.

 

8. 甲方有权对选手参赛资格审查并拒绝不符合组委会参赛条件的选手参加比赛。

Party A reserves the right to examine the player’s qualifications and reject the player who are not conform to the requirements of the organizing committee to participate the race.

 

  四、乙方责任Party B’s Liabilities

 1. 组织合格选手来华参赛。选手须身体健康，年龄符合国际奥委会对运动员参加比赛条件的规定，在最近两年内参加过所在国家的全国级别的赛事、洲际赛事、世界田径锦标赛或者奥运会，所取得的成绩达到国际田联规定的优秀马拉松选手标准。

Organizing the qualified player to participate the marathon race in China. The player should be in good health with the age conforming to the rull of International Olympic Committee for athletes to participate in the competition, and in the last two years has participated the competitions in the national game in his / her country, intercontinent, world athletics championship or olympic games, and his achievements in competition reach the standard of excellent marathon runner as per the rull of IAAF.

 

   2. 切实履行管理选手的责任，确保选手遵守中国法律和组委会的规定并服从组委会比赛规则，参加组委会的公益宣传和广告活动。未经甲方同意，乙方不得安排选手参加非甲方组织的任何社会活动和商业宣传。

Fulfill the responsibility of managing the players, ensure that the players abide by the laws of China and the rules of the Organizing Committee, and participate in the public welfare propaganda and advertising activities held by the Organizing Committee. Party B shall not, without party A’s consent, arrange players to participate any social activity and commercial advertisment which are not held by party A.

 

3. 甲方支付的选手参赛奖金（税后）由乙方转支付给选手本人，如果选手与乙方应奖金事宜发生纠纷，概与甲方无关。为了避免疑虑，赛前选手应在《奖金领取委托书》签字，表明本人知悉和同意奖金由其经纪人（乙方）代为转支付的事实。否则甲方按照组委会惯例办理。

The payment of player’s bonus （after tax） paid by party A will be transferred by party B to the player himself. Where the dispute on bonus money occur between party B and player, party A assume no liability therefor. For avoidance of any doubts，the players should, prior to participate marathon race, affix his / her signature on Letter of Attorney for Bonus to express that he / her acknowledges and agrees the transferred payment of bonus by their broker ( party B). Otherwise, party A shall proceed as per the practice of the Organizing Committee.

 

   4. 其他事项按照组委会《参赛报名须知》、《运动员参赛手册》、《外籍选手须知》的规定办理。

Other issues will be handled in accordance with the regulations of Entry Registration, Manual of Player, Notice for Foreign Player.

 

   五、违约处理Breach Treatment

   1. 如果合同签署后因甲方原因取消比赛，甲方已经支付的费用乙方不予退还；如果因乙方原因不能组织合格选手参赛，应按照甲方支付的款项两倍支付给甲方。

Provided that the marathon race will be cancelled due to party A’s reasons subsequent to the signature hereof, the payment of amount which has been paid by party A to party B will not be refuned; if failure of dispatch of the qualified players to China for race due to party B’s reasons, party B shall effect payment to party A at twice the amount paid by party A.

 

2. 如果选手拒不参加比赛或者因其他任何原因拒不参加组委会安排的宣传活动，乙方承担该选手的全部费用，包括往返机票费用和食宿费用。

Where any player refuses to participate race or due to any other reasons refuses to participate the propaganda activities held by the organization committee, all expenses of the player will be acount of party B including inter alia, the cost of round-trip air tickets and accommodation.

 

3. 选手参赛应当穿着组委会统一发放的比赛服装，否则甲方有权拒绝发放奖金。

The players should wear uniform clothing provided by the organizing committee otherwise party A reserve the right to refuse to pay the race bonus money.

 

4. 选手未经甲方同意不得参加非甲方组织的活动，无论是赛前还是赛后，否则甲方有权拒绝支付该选手的相关费用。

Any player shall not participate the activities which are not organized by party A without the consent of party A, whether prior or subseqent to the race, otherwise party A refuse to effect payment of concerned expenses to that player.

 

5. 乙方应如实提供选手基本情况。如果乙方派遣来的选手不符合组委会规定的参赛资格或隐瞒被国际田联处罚禁赛的情况，一经发现，甲方有权对该选手禁赛，所有责任由乙方承担；对已经参赛的不合格选手，甲方有权拒发奖金和出场费，并追回已经支付的费用。

Party B shall make truthful provision of basic information of players to party A. Provided that the player despatched by party B is unqualified to the player qualification stipulated by the organization committee or conceal the penalty of suspension by the IAAF, upon discovery thereof, party A shall have the right to refuse his participation of race and all liabilities thereon will be born by party B; and party A reserve the right to refuse to award the bonus and appearance fee to the unqualified player in addtion to recovery of the cost paid.

 

6. 如果乙方派遣的选手不能跑完全程，该选手的往返机票费用由乙方承担。黑人选手男子第一名成绩不得低于2小时15分；女子第一名成绩不得低于2小时40分。如果第一名成绩低于本条款规定成绩，按照65%标准发放奖金。

Where the player distpached by party B fails to complete the whole course of marathon, expenses of the round-air ticket will be account of party B. The No. one competition result of male negro player shall not less than 2 hours 15 minutes and female negro player not less 2 hours 40 minutes. Where the competition result of No. one players are less than the same as stipulated herein, the bonus will be paid as per the 65% standard.

 

六、法律适用和纠纷处理 Applicable Law and Disputes Treatment

1. 本协议的签订、效力、解释及执行，均适用中华人民共和国的法律。

The signature, validity, interpretation and execution hereof shall be governed by the laws of the People's Republic of China.

 

2．甲乙双方应严格遵守本协议的规定，并充分履行各自的义务。如果因履行本协议而产生的争议应首先由双方友好协商解决；如协商不成，任何一方均可向中国国际仲裁委员会提起仲裁申请。

Parties hereto shall strictly abide by the provisions hereof and fully perform their respective obligations. Provided that any dispute arising from or relation to the performance hereof shall be first settled by amicable negotiation between parties hereto, where no result by negotiation, either party may file an application to the China International Arbitration Commission for arbitration.

 

七、不可抗力Force Majeure

如果因重大自然灾害或者政府方面的原因，导致比赛停止举办，甲方应及时通知乙方相关情况和善后处理。如果乙方团队尚未启程来华，乙方已经收取的费用不予退还；如果乙方团队已经到达中国境内，甲方承担其相关费用和往返机票费用。双方不对其他任何损失向对方提起要求或者索赔。

Provided that the marathon race is suspended to held due to major natural disasters or government reasons, party A shall, without undue delay, inform party B of the relevant information and after-treatment. Where party B's team has not left for China, the fees already collected by party B will not be refunded; where party B's team has arrived in China, party A shall bear the related expenses and round-trip air fares of party B’s team. Neither party shall bring any demand or claim thereof against the other for any other loss.

 

 八、保密 Confidenciality

合同有效期内，双方应采取适当措施对本合同项下的任何资料或信息予以严格保密，未经一方的书面同意，另一方不得泄露给任何第三方。

Within the validity period of this contract, parties hereto shall take proper measures to keep the materials or information strictly confidential and shall not disclose or divulge to any third party without prior written consent of another party.

 

九、其他约定 Miscellaneous

1. 本合同自双方签署盖章之日起生效。协议以中英文做成，具有同等法律效力，如果文字解释有歧义，则以中文为准，一式三份，甲方、乙方各执一份，交     城市体育局备案一份。

This contract shall come into force and effect as of the date of signature and seals by parties hereto, being made in the languages of Chinese and English with the equal legal validity, if, any ambiguity or diffrence in the interpretation between two languages, the Chinses version is prevail. Originals hereof is triplicate for one party keeps one ariginal and submit one ariginal to the     City Sport Bureau for file record.

 

2. 未尽事宜，可协商签订补充协议，补充协议与本协议具有同等法律效力。

Any outstanding issue may be negotiated and signed supplementary agreement thereon which has the equal legal effect herewith.

 

3. 选手参赛和参加活动的摄影图片及视频等资料，甲方有权保留使用，包括今后的商业用途（关于选手的肖像权已经在英文版的《外籍选手须知》中明示，乙方应向选手重申）。

Party A shall have the right to reserve the materials of the player’s photograph pictures and TV video etc of participatioin of race and activities, including, inter alia, future commercial uses thereof ( The issue of player’s portrait right has been expressly stated in English version of "Note for Foreign Player" for which party B shall reterate to the player. )
