1．服务内容 Service Content

根据客户要求派遣工程师，对合同号    的    机及其它设备进行安装。卖方同意派遣有经验的工程师到买方的工厂进行指导安装、试机和培训服务。全部时间为30天。相关费用由买方承担，如往返机票、工程师的费用、保险等。另外，安装期间，买方应向卖方的工程师提供食宿。安装过程中所需要的翻译由买方负责安排。详细内容见合同附件Ⅰ。

According to the buyer’s request to send the engineer for installation of      and other equipment under Sales Contract     , the seller agrees to send an experienced engineer to the buyer’s factory to take the installation, commissioning and training services. The whole period will be 30days. And the relative costs, such as round way air tickets, engineer’s salary, insurance, etc will be borne by the buyer. In addition, the buyer should provide the accommodation for the seller’s engineer during the stay in the buyer’s factory. The installation translator need to be arranged by Buyer. The details are shown in the Appendix 1 of the contract.

2. 合同金额及付款方式Contract Value and Payment term

2.1该服务合同用美元付款。合同金额      美金.

The price for the service is in USD. Contract amount is     USD.   

2.2所有本合同的付款应用美元以电汇(T/T)方式进行支付。

All the payments under this Contract shall be made by bank transfer in USD.

2.3. 合同金额的支付Payment of the Contract

2.3.1合同签订并接收到发票后5个工作日内买方应将合同总金额的100％即美元    整电汇至卖方指定的银行账户。在买方收到此项费用之后依照合同开始安排安装工程师的签证机票及出国事宜。

Within 5 (five)working days after signing the Contract and receiving of invoice，the Buyer shall remit 100% of the total contract value in exact amount of     USD by T/T to the bank account designated by the Seller. After the seller get this payment, the seller should arrange the visa and flight ticket and sent the installation worker go for installation.

2.4因合同执行在买方国家产生的银行费用及税收费用应由买方承担，由卖方在卖方国家产生的银行费用及税收费用由卖方承担。买方付款的银行手续费用由买方承担，卖方收款的银行手续费用由卖方承担。

The banking charges and taxes incurred in the Buyer’s country for the execution of the Contract shall be borne by the Buyer and the banking charges and taxes incurred inside the Seller’s Country shall be borne by the Seller. The buyer covers the bank charge for the transfer; the bank charge at the seller’s side is borne by the seller.

3. 安装及技术培训  INSTALLATION AND TECHNICAL TRAINING

合同设备的安装、调试应在卖方提供的技术人员指导下由买方实施。这期间，卖方人员所发生的国际交通、当地交通及食宿费用、人身保险费，通讯费等合理费用由买方负责，此外买方还需按   美金/天支付卖方人员工资，超过    天的以每天   美金计算，超过   天安装时间的为每天    美金。安装期间，买方应保证卖方人员的安全和自由。

The Buyer should carry out the contract equipment’ installation, commissioning and acceptance under the Seller’s technicians’ supervise. All of the transportation and accommodation, insurance, communication fee of the Seller’s technicians should be borne by the Buyer. In addition, the Buyer should pay    US dollars to the technician per person per day as salary in the first   days and   US dollars per person per day for the extra    days, and    US dollars per person per day for the extra days if the installation period exceeds    days. The Buyer shall warranty the technician's (technicians’) safety and freedom not being limited during installation period. 

为设备安装调试，买方将为卖方技术人员提供下列服务：

For installation works and commissioning of the Equipment, the Buyer at own expense provides technical experts of the Seller, and also their translator with following services:

       - 酒店住宿 Hotel accommodation; 

       - 酒店到工厂的往返交通 Transport from hotel to working place and back;  

- 提供装配必需的准备 Provides preparation of assembly site;      

- 装配点的起吊和运输方式 Elevating and transporting means for assembly site;

- 必要的标准工具 The necessary standard tool, for work of the technical experts.       

-卖方技术人员从中国往返印度尼西亚的费用由买方承担。

Charges on arrival of technical experts from China to Indonesia and back are borne by the Buyer.  

-买方可以自行聘请翻译，也可以请求卖方派遣翻译，翻译费用事项另议。   

Buyer can employ Chinese translator on his own, or ask for translators from Seller. Charges of translators services are the matter of another contract.

4. 文本及有效期 Languages and Valid Term

本合同用中英文两种文字写成，两种文字具有同等效力。本合同应自生效之日起持续有效直到双方履行所有的本合同各自的义务和责任。本合同自双方授权代表签字之日起生效。

This Contract is executed in two counterparts each in Chinese and English, each of which shall be deemed equally authentic. This Contract is in four sets, each party holds two sets．The contract is taken into effect from the signing date. It shall be valid from the effective date until both parties have fulfilled all their respective obligations and responsibilities under the Contract.
