COMMISSIONING AND TESTING 调试和试验
(a)
The commissioning shall be carried out in accordance to the
procedures set out in Schedule 5. 调试应按照在附录5中阐明的规程进行。
(b)
The Company shall provide to EDC within fifteen (15) Days after the
Commercial Operation Date or date of Provisional Operation, as
applicable, copies of all test results of the relevant
Commissioning Test(s).

(c)
EDC shall accept all test energy from the Project and will dispatch
a Unit upon the request of the Company so as to allow for timely

4.5
CONSTRUCTION AND O&M CONTRACTORS 施工和运行&维护承包商
(a)
The appointment or any change of the Construction Contractor shall
not relieve the Company of any of its obligations under this
Agreement. The Company shall not replace the Construction
Contractor without the prior written consent of EDC, which consent
shall not be unreasonably withheld or delayed where:

(i)
the Company has provided EDC with the evidence referred to in
Section 4.2 (a)(ii) in relation to the proposed new Construction
Contractor; and

(ii)
the terms of the proposed new Construction Contract are in
accordance with the Specifications and the terms of this
Agreement.

The Company shall not, without the prior
written consent of EDC, waive any of its rights under or make any
amendment to the Construction Contract which:

(A) materially
relieves the Construction Contractor of or materially reduces its
obligations thereunder or reduces the amount of any security
provided to the Company thereunder;
and

(B) materially and
adversely affects the rights and/or obligations of EDC under this
Agreement or would result in any increase in the amount which EDC
is required to pay under this Agreement.

(b)
The appointment of the O&M Contractor shall not relieve the
Company of any of its obligations under this Agreement. The Company
shall not replace the O&M Contractor without the prior written
consent of EDC, which consent shall not be unreasonably withheld or
delayed where (i) the Company has provided EDC with the evidence
referred to in Section 4.2 (b)(ii) in relation to the proposed new
O&M Contractor; and (ii) the terms of the proposed new O&M
Agreement are consistent with Prudent Utility Practices, the
Operations and Maintenance Plan and the terms of this
Agreement.

The Company shall not, without the prior
written consent of EDC, waive any of its rights under or make any
amendment to the O&M Agreement which:

(i)
relieves the O&M Contractor of or materially reduces its
obligations thereunder or reduces the amount of any security
provided to the Company thereunder; and

(ii) materially and adversely affects
the rights and/or obligations of EDC under this Agreement or would
result in any increase in the amount which EDC is required to pay

4.6
OPERATING PROCEDURES 运行大纲
(a)
No later than sixty (60) days prior to the date of Provisional
Operation of the First Unit, the Company and EDC shall jointly
develop operating procedures addressing operational interfaces
between EDC and the Company, including the method of day-to-day
communications, notification of key personnel lists, clearances and
switching practices, outage scheduling, capacity and energy
reporting, operations logging, procedures in relation to Dispatch
of the Project and Reactive Power conditions (the “Operating
Procedures”).

(b)
The Operating Procedures shall take into proper account and be
consistent with (i) the design of the Project and the
Interconnection Facilities; (ii) the EDC Grid Code; (iii) the draft
of written operating procedures provided by the Company pursuant to
Section 4.2(f); and (iv) the Technical Limits.

4.7
OBSERVATION BY EDC EDC的检查
EDC and its representative shall have
the right at any time during normal business hours, upon reasonable
prior notice to the Company, to observe the progress of the
construction and start-up of the Project and its Testing and
Commissioning.

4.8
ENERGY DURING TESTS 试验期间的供电量
Prior to the Commercial Operation Date
of the Project and/or the date of Provisional Operation of a Unit,
EDC shall accept all energy produced by a Unit during the
Commissioning Tests and shall pay for such energy in accordance
with Section 8.3(a). After the Commercial
Operation Date of this Phase or date of Provisional Operation of a
Unit, EDC shall accept energy produced during any test and such
energy shall constitute Net Electrical Output for purposes of this

4.9
STANDBY POWER备用电源
Following the Energization Date, EDC
shall use reasonable efforts to make available to the Company
standby electrical power at rates for large industrial customers
upon the request of the Company. In lieu of using standby
electrical power, the Company may utilize self-generated power
(which shall not be metered at the Metering Point) to provide for
Commissioning or other power needs at its own cost.

5.
CONTROL AND OPERATION OF THE PROJECT项目控制和运行
5.1
OPERATIONAL REQUIREMENTS 运行要求
(a)
The Project shall be operated as a base load generating plant
dispatched for Base Load Operation and generating at a level of
output consistent with the design parameters and reasonably
efficient operation, except during periods of downtime and outages,
and in accordance with the Commercial Operations
Programme.

(b)
The Company shall operate and maintain the Project in accordance
with this Agreement, including the Specifications, the Operating
Procedures, Prudent Utility Practices, and all applicable Law and
in so doing shall establish environmental management systems and
facilities and occupational health and safety procedures to ensure
that all applicable Law are complied with or exceed.

(c)
Subject only to the Technical Limits, the Company shall at all
times keep, operate and maintain the Project consistent with
Prudent Utility Practices and in such a manner as not to have a
adverse effect on the operation of the EDC System.

(d)
The Company shall install protective relays within the Project and
the Interconnection Facilities in accordance with the
Specifications, having ratings and characteristics previously
approved in writing by EDC (such approval not to be unreasonably
withheld or delayed) and shall maintain the settings of all such
relays at levels acceptable to EDC within the Technical Limits. The
Company shall not change the settings of such relays without the
prior written consent of EDC, which consent shall not be
unreasonably withheld or delayed.

(e)
The Company shall operate the Project in parallel with the EDC
System and in accordance with EDC’s technical requirements, the
Specifications and all applicable Law including guidelines relating
to synchronization, voltage control and generation of harmonic
frequencies furnished to the Company.

5.2
DISPATCH BY EDC EDC的调度
Subject to Section 2.5, EDC shall have
the right to dispatch each Unit during Provisional Operation and
after the Commercial Operation Date of this Phase in accordance
with Economic Dispatch provided that the Dispatch Instructions are
consistent with the Technical Limits, the Commercial Operations
Programme, the Operating Procedures and the planned Minimum Output.
If a particular Dispatch Instruction would force the Project to
operate outside the Technical Limits, the Company must promptly
notify EDC of this fact in accordance with the procedures set out
in the Operating Procedures and shall not respond to any Dispatch
Instruction which violates the Technical Limits.
根据第2.5条,EDC有权在临时运行时并在本期商业运行日之后根据经济调度来调度每台机组,前提是调度指令应符合技术限制、商业运行计划、运行大纲和计划最小输出。如果某一调度指令要求项目超出技术限制运行,公司应根据运行大纲中规定的程序立即通知EDC并且不得响应违反技术限度的调度指令。
5.3
OPERATION BY THE COMPANY 公司进行的运行
(a)
Subject to Section 5.2, the Company shall control and operate each
Unit after it enters Provisional Operation and the Project after
the Commercial Operation Date in accordance with Dispatch
Instructions.
根据第5.2条,公司应按照调度指令,在进入临时运行后控制和运行每台机组,并在商业运行日期后控制和运行项目。
(b)
Commencing with the Provisional Operation of the First Unit, the
Company shall inform the Control Center of the availability of all
Units then in Provisional Operation or after the Commercial
Operation Date of each phase, in Commercial Operation, and will
promptly advise the Control Center of any changes in the
availability of a Unit or the Project in accordance with the
Operating Procedures.

5.4
PLANNED AND OTHER OUTAGES 计划停机和临时停机
(a)
At least sixty (60) Days prior to each date of Provisional
Operation of a Unit and the Commercial Operation Date of each
phase, the Company shall submit to EDC its desired schedule of
Planned Outage periods for the period for each relevant Unit from
its date of Provisional Operation and the Commercial Operation
Date, as applicable, to the end of the following calendar year. By
July 1 of the said following calendar year and each calendar year
thereafter, the Company shall submit to EDC its desired schedule of
Planned Outage periods for the following calendar year. The Company
may schedule up to the number of days of Planned Outages for each
calendar year, which are specified in the Operations and
Maintenance Plan. The Company shall: (i) not schedule more than one
(1) Unit for a Planned Outage (ii) not schedule during the period
from January through June and shall use reasonable efforts to
prevent a complete Outage of another Unit while a Unit is
undergoing a Planned Outage and if any such Outage occurs to return
the affected Unit to service as soon as possible consistent with
Prudent Utility Practices.

(b)
At least fourteen (14) days prior to each date of Provisional
Operation of a Unit and the Commercial Operation Date and two (2)
months prior to the commencement of each calendar year, as
applicable, EDC shall acting reasonably notify the Company in
writing whether the requested Planned Outage periods are
acceptable. If EDC does not accept any of the requested Planned
Outage periods, EDC shall advise the Company of a period when EDC
determines such unacceptable Planned Outage period can be
rescheduled. Such rescheduled periods shall be as close as
reasonably practicable to the requested periods and shall comply
with the Technical Limits. The Company’s conduct of Planned Outages
shall be subject always to Sections 5.4 (d) and 5.6 (b).

(c)
Commencing with the Commercial Operation Date of each phase, or the
date of Provisional Operation of the First Unit, the Company may
schedule the number of days of Planned Outages for each Operating
Year after the Commercial Operation Date or month during
Provisional Operation as stated in the Operations and Maintenance
Plan.
自各期商业运行日期或第一台机组的临时运行日起,公司应按运行和维护计划安排商业运行日期后每个运营年或临时运行期间的计划停机天数。
(d)
EDC may, upon giving at least sixty (60) days prior written notice,
require the Company to reschedule a Planned Outage, provided,
however, that the Company shall not be obligated to change the
schedule of such Planned Outage in a manner or at a time outside
the Technical Limits or contrary to Prudent Utility
Practices. EDC shall compensate the Company for
the additional incremental costs incurred as a result of
rescheduling a Planned Outage, including mobilization costs payable
to the Company’s contractors, resulting from any rescheduling by
EDC under this Section 5.4(d).

(e)
EDC shall use its reasonable efforts to coordinate its maintenance
program for the Interconnection Facilities with Planned Outages so
as to minimize any disruption to the operation of the
Project.

(f)
When in the opinion of the Company the circumstances warrant a full
or partial short term maintenance outage (a “Short Term Maintenance
Outage”), the Company shall give to EDC not less than two (2) Days’
prior written notice specifying the circumstances in reasonable
detail and the date and time of commencement and estimated duration
of the proposed Short Term Maintenance Outage. EDC may, in its sole
discretion which shall be exercised taking into account the
Technical Limits and so as not to damage the Project, approve the
proposed Short Term Maintenance Outage and if it does not do so, it
shall grant the Company the right to schedule and conduct such
Short Term Maintenance Outage at a time acceptable to EDC within a
reasonable period from the time of the request. The Company shall
conduct Short Term Maintenance Outages subject always to Section
5.6(b).

(g)
The Company shall notify EDC’s Control Centre as soon as is
practical regarding the occurrence of any Forced Outage affecting a
Unit, the steps being taken to rectify the cause of the Forced
Outage and the expected duration of the Forced
Outage. When, following a Forced Outage, a Unit
is ready to return to full service, the Company will notify the EDC
Control Centre and at the time of such notice the Company will also
notify the EDC Centre of the Dependable Capacity of the
Unit.

5.5
OUTAGE ALLOWANCES 停机容许量
(a)
The Company shall be entitled to and shall have a periodic Outage
Allowance during the Term as specified in Schedule 13 of this
Agreement, each such allowance effective as of 12:00 am on the
first Day of the relevant Billing Period or Operating Year for such
period as specified in Schedule 13.
公司有权根据本协议附件13的规定获得周期性的停机容许量,该容许量从相关结算期或运行年的首日12:00am生效,期限按附件13规定。
(b)
Outage Allowances shall be used by the Company to offset reductions
of capacity by Hour during which the Project or any part thereof is
not available for Dispatch due to, and to the extent of, an Outage
or a partial Outage (the latter being a deration of capacity during
an Outage) during any Hour in an Operating Year or month during
Provisional Operation on a kWh by kWh basis.
Outage Allowances shall be depleted as and when used to offset
qualifying Shortfall (SH) (as defined in Schedule 13, Section
1.1(a)).

(c)
If at the end of any Operating Year or month of Provisional
Operation the Company has not experienced an aggregate number of
Hours of Outages (including partial Outages) to fully deplete the
available Outage Allowance and has thus not used all of the Outage
Allowance for that period just completed, the unused Outage
Allowance for such period shall be added to the Outage Allowance
for the next month of Provisional Operation or first Operating
Year, or, subject to Section 5.5(d), a later Operating
Year. Carry forward Outage Allowances shall then
become part of the Outage Allowance for that and any subsequent
period until fully depleted or they expire in accordance with
Section 5.5(d).

(d)
Unused Outage Allowances that have not been applied or become
applicable against Shortfall as of 11:59:59 pm on the last day of
an Operating Year shall carry forward as described in Table
5.5(d):

Any unused Outage Allowance in excess of
the maximum carry forward amounts set forth in Table 5.5(d) shall
expire and be of no further effect. The
recurrence of Allowance Periods and Major Maintenance Years shall
be adjusted as appropriate in order to reflect the actual
maintenance cycles of the Project based on the recommendations of
the original equipment manufacturer and the Technical Limits, as
EDC may consent, such consent not to be unreasonably withheld or
delayed.

(e)
The Company shall be liable for Shortfall Payments under Schedule
13 in any period only when the Outage Allowance (including any
carry forwards) for such period has been depleted.

5.6
EMERGENCIES 紧急情况
(a)
EDC and the Company shall jointly establish plans for operating the
Project after the date of Provisional Operation of the First Unit
during an Emergency. Such plans shall include recovery from a local
or widespread electrical blackout and voltage reduction in order to
affect load curtailment.
EDC和公司应共同建立第一台机组临时运行日期后在紧急情况下的运行计划,这些计划应包括从当地或者更大范围的断电恢复和影响负荷削减的降压计划。
(b)
During an Emergency and upon the receipt of Dispatch Instructions,
the Company shall supply such power as requested by EDC within the
Technical Limits. If the Project has a Planned Outage or a Short
Term Maintenance Outage and such Planned Outage or Short Term
Maintenance Outage occurs or would occur coincident with an
Emergency, the Company shall use its best effort to reschedule the
Planned Outage or Short Term Maintenance Outage or, if the Planned
Outage or Short Term Maintenance Outage has begun, to expedite the
completion of the work to restore Electricity supply as soon as
possible. EDC shall compensate the Company for
the additional incremental costs incurred as a result of
rescheduling a Planned Outage, including mobilization costs payable
to the Company’s contractors, due to requests from EDC for
Emergency operation unde
r this Section 5.6(b).

5.7
Personnel 工作人员
(a)
The Company shall employ personnel, directly or indirectly, who are
adequately qualified and experienced for operating and maintaining
the Project and for coordinating operations of the Project with the
EDC System. The Company shall ensure that such personnel are on
duty at the Project at all times, twenty-four (24) hours a day and
seven (7) days a week commencing with the Provisional Operation of
the First Unit to ensure the operation of the Project in accordance
with this Agreement.

(b)
The Company shall also use its reasonable efforts to employ other
local labor in both skilled and unskilled capacities. The Company
shall develop and maintain training programs to train its personnel
in functional skills pertaining to operations and maintenance of
the Project to the standard of Prudent Utility Practices. The
Company’s training program shall be opened to at least four (4) EDC
employees per year.

5.8
OPERATING COMMITTEE 运行委员会
Within sixty (60) days prior to the date
of Provisional Operation of the First Unit, the Parties shall
establish an Operating Committee in accordance with Schedule 7. The
obligations and responsibilities of the Operating Committee and the
rules governing meetings of the Operating Committee shall be as set
out in Schedule 7.
在第一台机组临时运行日前的60天内,双方应按照附录7成立运行委员会。运行委员会的义务和责任以及管理运行委员会会议的规则将在附录7里陈述。
5.9
RECORDS 记录
Each Party shall keep complete and
accurate records and all other data required by each of them for
the purposes of proper administration of this Agreement including
an accurate and up-to-date operating log at the Project with
records of:

(a)
real and Reactive Power production for each Hour and bus voltages
at all times;

(c)
Planned Outages, Short Term Maintenance Outages and Forced Outages

heat rates, ramp up and ramp down rates, the times required for

All such records shall be maintained
pursuant to Prudent Utility Practices for a minimum of sixty (60)
months after the creation of such records or data and for any
additional length of time required by regulatory agencies with
jurisdiction over the Parties, provided however that the Parties
shall not dispose of or destroy any such records after such sixty
(60) month period without giving at least thirty (30) days prior
written notice to the other Party and the notified Party shall have
the right to require such records in lieu of such disposal or
destruction upon giving at least ten (10) days prior written notice
to the other Party. Either Party shall have the right, upon
reasonable prior notice to the other Party, to examine and copy the
records and data of the other Party relating to the construction,
operation and maintenance of the Project at any time during normal
office hours during the period such records and data are required
to be maintained.

5.10 Fuel Supply 燃料供给
(a)
The Company shall procure and purchase all Fuel (including all
related transportation and insurance services)
required for the operation of the Project and the generation of
electric energy in accordance herewith and will maintain no less
than a thirty (30) day stock of primary Fuel at the
Project. The Company shall use its reasonable
efforts at all times during the Term to acquire Coal from at least
one internationally-recognized coal supplier with the capability to
deliver the related Coal requirements of the PROJECT (each, a
“Qualified Fuel Supplier”) and one or more Fuel Transporters to
transport fuel from the source to the Site in each case on
commercially competitive terms, consistent with market conditions
and the Fuel mixture needs of the PROJECT under one or more firm
procurement contracts (each, a “Long-Term Fuel
Contract”).

(b)
If at any time during the Term the full amount of Fuel requirements
are not provided for under one or more Long-Term Fuel Contracts, or
any existing Fuel Supplier or Fuel Transporter is in default of its
obligations under the terms of its agreement with the Company to
supply and/or transport Fuel to the PROJECT, the Company may submit
to Qualified Fuel Suppliers and/or Fuel Transporters an RFP for one
or more Long-Term Fuel Contracts in accordance with this Section
5.10. At least one year before the scheduled expiration of any
Long-Term Fuel Contract, the Company shall issue an RFP to provide
the Fuel and/or transportation services covered by such expiring
Long-Term Fuel Contract. At least sixty (60) days prior to
submitting to Qualified Fuel Suppliers an RFP for any Long-Term
Fuel Contract, the Company will provide a copy of such RFP to EDC
together with a list of the Qualified Fuel Suppliers to whom the
RFP will be sent. The Company shall include in any RFP issued under
this Section 5.10 at least five Qualified Fuel Suppliers designated
by the Company (if available). Any RFP shall also be conducted in
accordance with Section 4.3.

Prior to the date of Provisional Operation of the First Unit, the
Parties shall mutually agree upon Fuel sampling and testing
procedures, such as the Short Proximate Analysis Test, to be used
to determine compliance with this Agreement and the Fuel Supply
Agreements, and acceptable testing procedures are set forth in
Schedule 17 of this Agreement. The Parties agree that EDC shall
have the right to approve the selection of any testing laboratory
for testing Fuel deliveries for use in the PROJECT and that the
Company will provide samples of Fuel shipments to EDC upon
reasonable request. Within fifteen (15) days after the end of each
Billing Period, the Company shall give EDC copies of all invoices
for Fuel paid or incurred during such Billing Period.

(c)
The Company shall have the right at any time to obtain Fuel and/or
transportation services pursuant to a Spot Market Fuel Contract
without prior EDC review or approval if (i) the Total Fuel Cost
pursuant to such Spot Market Fuel Contract (determined over the
term of the Sport Market Fuel Contract) is no greater than the
Total Fuel Cost pursuant to the Long-Term Fuel Contracts to which
the Company is a party (determined for the 90-day period ending on
the date such Spot Market Fuel Contract commences) or (ii) Fuel
deliveries to the PROJECT pursuant to any Long-Term Fuel Contract
to which the Company is party have been interrupted or suspended
for force majeure or other reasons not due to the fault or
negligence of the Company, provided that the Company shall only be
entitled to pass-through to, and recover from EDC the delivered
cost of Fuel used by the Company for purchases under (c)(i)and
(c)(ii) above in an amount up to but no greater than the Total Fuel
Cost that the Company would have incurred under the Long-Term Fuel
Cost that was interrupted or suspended (for the same amount of Fuel
that is purchased under such Spot Market Fuel Contract), until, in
the case of any Spot Market Fuel Contract under (c)(ii) such time
as EDC has approved the terms and pricing of any such Spot Market
Fuel Contract(s), and provided further that the foregoing
limitation on recovery of the costs of purchases under any Spot
Market Fuel Contract shall not apply if the Company was required to
make such purchases due to EDC’s withholding of consent to the
execution, termination, modification, amendment or waiver of the
provisions of any Long-Term Fuel Contract. The Company shall
provide EDC with a summary of the material terms and conditions of
each Spot Market Fuel Contract within thirty (30) days following
its purchase of fuel or transportation services pursuant to such
contract.

If the Company desires to select the bid of a Fuel Supplier and/or
Fuel Trnsporter that is not ranked as a Most Favorable Bid
following a related RFP, it may do so. If (i) the Company selects a
bid that is not a Most Favorable Bid following an RFP for Fuel
and/or transportation services or (ii) unreasonably terminates any
Long-Term Fuel Contract, then, in either such case, in determining
the AFPn in Schedule 14, the Fuel costs for pass-through related to
the Fuel supply and/or transportation services affected by such
selection or such unreasonable termination shall be equal to the
costs that would have been incurred under a Long-Term Fuel Contract
made pursuant to a Most Favorable Bid or the Long-Term Fuel
Contract so terminated, adjusted for calorific value differences
between the Fuel used and the Fuel that would have been used under
an implicated agreement, if any, until the occurrence of the next
RFP.

5.11 CESSATION OF OPERATION OR
ABANDONMENT BY THE COMPANY

NOTWITHSTANDING any other provision of this Agreement, and SUBJECT
to any prior right of the Lenders under the Direct Agreement or any
other agreement entered into by the Company and EDC with the
Lenders or any of them, if the Company shall have ceased to operate
the Project after the Commercial Operation Date for at least
seventy-two (72) consecutive hours following a Company Event of
Default and the expiration of the relevant cure period under
Section 15 (or, if applicable, any longer period granted by EDC to
the Lenders under the Direct Agreement or any other agreement
entered by the Company and EDC with the Lenders or any of them)
then, EDC shall immediately be entitled to enter the Site and
operate the Project per Prudent Utility Practices until
either:

Payment during Suspension of Operation. The
Company shall permit EDC to operate the Project pursuant to Section
5.11(a) provided that EDC shall be responsible for any and all
operation and maintenance costs (including scheduled maintenance)
of the Project, and the Company shall be paid only that element of
Electricity Payments which is calculated to cover the payment of
interest and installment of principal and the funding of all
reserve accounts as required by the Lenders and all other financing
costs charged by the Lenders in accordance with debt repayment
schedule in the applicable Financing Agreements for the financing
of the Project.

5.12 FAILURE OF THE EDC

The calculation of Electricity Payments
under Schedule 14 shall not be affected by or include any
deductions by reason of: (a) any failure, restriction or outage of
transmission facilities on the EDC side of the Metering Point; and
(b) any action which the Company, in accordance with the EDC Grid
Code, is obliged or entitled to take due to any frequency excursion
on the EDC System which triggers a protective device under the
Specifications.

INTERCONNECTION

INTERCONNECTION FACILITIES 互联设施

The Company shall be responsible for designing, constructing,
installing and testing the Interconnection Facilities in accordance
with the Technical Specifications set out in Schedule 4, such that
they are capable of connecting to the Interconnection
Point.

6.1.2
The Interconnection Point shall be at the 230 kV/22kV terminal
substation at Preah Sihanouk Province as as defined in Schedule 4
and which will be located on the Substation Site. The Preah
Sihanouk Province Terminal Substation shall be completed and owned
by EDC.

6.1.3
EDC and the Company shall cooperate in completing the
Interconnection of the Interconnection Facilities to the

Electricity to and from the Project.

6.1.4
The Parties shall cooperate to test the Interconnection Facilities
in order for the interconnection to the EDC System on or before the
Scheduled Energization Date and prior to the start-up and

(60) days’ advance notice of such testing.

6.2
PROTECTIVE DEVICES 防护装置
(a)
The Company shall provide protective devices as part of the
Interconnection Facilities in accordance with the EDC
specifications set out in Schedule 4. Any modifications, changes or
upgrading of the Interconnection Facilities that becomes necessary
due to subsequent changes to EDC’s System, EDC’s Technical
Requirements / Cambodian Grid Code, after the Commercial Operation
Date, may be carried out by the Company, and EDC shall reimburse
the Company for the costs thereof. Any modifications, changes or
upgrades to the related EDC System necessary due to subsequent
changes to the Project (other than changes required by a
Change-in-Law or the EDC Grid Code), after the Commercial Operation
Date, may be carried out by EDC, and the Company shall reimburse
EDC for such costs.

EDC and the Company shall notify the other Party as soon as
possible of any changes to either the Project or the EDC System
where such changes may affect the proper coordination of protective
devices between the two systems.

6.3
TESTING OF INTERCONNECTION FACILITIES AND EDC

testing the Interconnection Facilities and the EDC System prior to
the Commercial Operation Date and at such other times thereafter as
EDC may reasonably require. All such testing shall be carried out
in a timely manner and in accordance with Paragraph 4 of Schedule
5.

6.4
ENERGIZATION OF THE INTERCONNECTION FACILITIES AND

EDC and the Company shall energize the
Inerconnection Facilities and the PROJECT’s switchyard on a date
(the “Energization Date”) occurring no more than five (5) Days
after the Company successfully completes the testing of the
Interconnection Facilities and PROJECT Switchyard in accordance
with Paragraph 4 of Schedule 5.

Prior to synchronization of a Unit with

confirming that the Unit has successfully completed the final
synchronization tests set forth in Schedule 5.

OPERATION OF EDC
SYSTEM

EDC shall own and operate the EDC
System. The Company shall observe and monitor the operation and
performance of the EDC System as to the extent it relates to the
Company’s operational performance of the Project, and shall as so
required by EDC, advise EDC on the performance of the EDC
System.

The Company shall own, install and
maintain, at the Company’s expense, the Metering System and the
Backup Metering Equipment as described in Schedule 6.

The Company shall install the Metering
System at the location as agreed between EDC and the Company in
accordance with Schedule 6.

TESTING AND RE-CALIBRATION OF METERS

The Company shall be responsible for
inspecting and testing the Metering System for accuracy by a
mutually acceptable independent qualified testing authority at its
own expense in accordance with Schedule 6.

7.4
READING OF ENERGY METERS电表读表
The Company will carry out readings on a
daily basis. The procedure for reading the meters

METER ACCURACY 表计的精确度
The total metering system accuracy shall
be 0.2% or better. Should total metering system accuracy be
measured above 0.2%, the Company will immediately report this to
EDC for their inspection, and arrange for meters to be tested for
accuracy and re-calibrated.

7.6
SEALING, REPAIR AND REPLACEMENT OF METERS表计的封铅、修理和更换

Requirements on Sealing of Meters. The Metering
System and the Backup Metering System shall comply with the
requirements set out in Schedule 6 and shall be jointly sealed by
both Parties. The seals shall be broken only by personnel from the
Company in the presence of EDC personnel when the Metering System
or the Backup Metering System is to be inspected, tested, or
adjusted.

Repair, Recalibration or Replacement of Meters.
When any component of the Metering System is found to be outside
acceptable limits of accuracy, the Company shall, at its cost,
repair, recalibrate or replace such component of the Metering
System. Similarly, when any component of the Back-up Metering
System is found to be outside acceptable limits of accuracy, the
Company shall, at its cost, forthwith repair, recalibrate or
replace such component of the Backup Metering System.

8.
COMPENSATION, PAYMENT AND BILLING 赔偿、付款和结算
8.1
COMMERCIAL OPERATIONS PROGRAM 商业运行计划
(a)
Following the Commercial Operation Date and otherwise as provided
in this Section 8, the Company shall make available Net Dependable
Capacity at all times other than during downtime in accordance with
Section 2.5 and EDC shall purchase and accept capacity and
electricity (of at least the least the Minimum Take of Electricity)
(as set out in Schedule 13).

(b)
The Commercial Operation Date shall be a date agreed by EDC and the
Company occurring no more than five (5) Days after EDC has received
the certificate with respect to the Last Unit of each phase,
confirming that the last Unit of each phase, has successfully
completed the Commissioning Tests as required under Schedule 5
certifying the test results of such test. Prior
to the Commercial Operation Dates of each phase, and from time to
time during Provisional Operation, the Company shall issue to EDC
an availability notice based upon the results of the Capacity Test,
which shall also specify the Dependable Capacity of the Project
during the period of Provisional Operation and following completion
of Commissioning Tests of the Last Unit of each phase, as of the
Commercial Operation Date. 商业运行日期应由EDC

8.2
ELECTRICITY PAYMENTS 电费支付
The amount of payments for capacity and
energy delivered by the Project (collectively, the “Electricity
Payments”) shall be determined in accordance with the provisions of
Sections 8 and 12 and Schedules 13 and 14 principally and also with
the other provisions of this
Agreement.

8.3
PAYMENT PRIOR TO THE COMMERCIAL OPERATION DATE OF EACH
PHASE

(a)
Prior to the date of Provisional Operation of a Unit of each phase
or the Commercial Operation Date of each phase, as the case may be,
if Section 8.3(b) does not apply, EDC shall pay to the Company, in
accordance with Section 8.6 and Section 8.7, for each kWh of
electrical output delivered from the relevant Stage to EDC during
the preceding month an amount equal to the Company’s actual Fuel
procurement and transportation, fuel oil, limestone and consumables
costs (including VAT on such purchases and other governmental
impositions charged on such purchases) incurred for generating such
output, provided that documentary evidence of such costs has been
provided by the Company to EDC. EDC shall not be
liable for any other costs incurred by the Company.

Prior to the Commercial Operation Date of each phase, following
completion of the Commissioning Tests for a Unit as evidenced by a
certificate of the Independent Engineer confirming that the Unit
has successfully completed the Commissioning Tests as required
under Schedule 5 certifying the test results of such test, such
Unit shall enter into Provisional Operation as of and on the date
agreed by EDC and the Company occurring no more than five (5) Days
after EDC has received certificate with respect to that
Unit. For the Unit that is in Provisional
Operation, EDC shall pay to the Company for each month the
Electricity Payments for the Net Electrical Output and Payments for
Minimum Take in accordance with the provisions of Schedule 13 and
Schedule 14.

If the Commercial Operation Date of each phase, as the case may be,
does not occur by the Scheduled Commercial Operation Date of each
phase due to any combination of the factors set forth below, EDC
shall make payments based on the Minimum Take as calculated under
Section 2 of Schedule 13 converted to a daily rate at the Non-Fuel
Component of the tariff rate:

the occurrence of any Force Majeure-Political; and/or

Scheduled Energization Date, EDC’s inability to
provide back-feed power to the PROJECT to synchronize or to
dispatch a Unit so as to allow for timely completion of testing and
commissioning of that Unit.

For purposes of determining the amount
due under this Section 8.3(c), the Minimum Take kWh shall be
multiplied by the number of Units affected by any such condition
and divided by the total units of each phase, as the case may
be.

During any period that EDC is obligated
to make payments to the Company under this Section 8.3(c), the
Scheduled Commercial Operation Date of each phase, as the case may
be, shall be extended by the same period that the underlying cause
and its consequences remain in effect and the Company’s performance
of its related obligations shall be excused for the same
period.
