工程项目管理服务协议

          AGREEMENT OF CONSTRUCTION MANAGEMENT SERVICE

 

（当事方信息 略）

 

第一条   甲方同意接受由乙方提供的工程项目管理服务，乙方将担任使用面积约为    平方米，楼高约为    层及地下约为    层的钢筋混凝土建筑（以下简称“该项目”）的精装修工程及配套机电工程的管理及监理。关于服务范围参照甲乙双方在     日签署的意向书。   

Article 1. Party A agrees to receive construction management services provided by Party B as the Construction Manager and Supervisor (CM) of the captioned Project with utilization area of approximately    square meters which is a reinforced concrete building with approximately     floors above-ground and with approximately     floors underground, hereinafter referred to as the “Project,” as per to scope of services stated in the Letter of Intent between Party A and Party B dated    .

 

第二条   双方同意在本协议项下作为工程项目管理的服务范围应当涵盖如下相关工作：

Article 2. Under this Agreement the parties agree that the scopes of services rendered for the Construction Management (CM) hereunder covers the relevant works, as follows:

 

2.1项目前期服务  Pre-execution Services

 

2.1.1承包商资格预审Prequalification of contractors

搜集资格预审的所需的资料。Obtain prequalification information from potential tenderers.

 

配合甲方对各投标单位进行实地考察，并提交综合的资格预审报告。

Assist Party A in the site visit to each potential tenderer and submit the prequalification report.

 

2.1.2招投标Tendering

 

2.1.2.1拟定招标文件,并编制招投标文件及标底。

Preparation of tender documents and pre-tender estimate.

 

根据图纸及项目情况拟定本项目所有相关专业的招标文件。甲方就可能对该招标事宜造成更多困难性及复杂性或者在施工过程中承包商是否能按时完成甲方要求的关键项目等工作类别进行评估，以确定是否对其进行拆分或合并。乙方应充分支持上述甲方的决定，并拟定甲方对拆分或合并的项目的招标文件，协助甲方选定合理的分包单位，以确保该项工程的顺利实施。

Prepare tender documents for all the work packages on the basis of the drawings and project requirements. Party A will assess the key work categories which may cause more difficulty and complexity to the procurement process or for which uncertainty remains on the contractor’s timely completion of work, in order to decide whether to separate or combine work categories. In this regard, Party B shall fully support the aforementioned Party A’s decision and prepare the tender documents for the work packages separated or combined. Party B shall assist Party A in the selection of subcontractors to ensure smooth execution of the Project.

 

2.1.2.2招标方案   Tendering plan

 

以适当的方式建议并评估其各部门的招标方案。

To suggest and assess the tendering plan of each section/department in an appropriate manner.

  

2.1.2.3招标答疑Answering tender queries

 

根据招投标情况，组织各投标单位及相关单位对招标文件和图纸答疑。

Arrange for the tendering Q&A.

 

2.1.2.4评标   Tender assessment

 

协助甲方与有关单位进行合同谈判，根据甲方批准的内容编制合同文件；

Assist Party A in the negotiations with related parties, prepare contract documents based on the confirmation given by Party A.

 

根据需要提供同类建筑设备材料价格的市场行情，供甲方参考；

Provide (as required) market price information on similar equipment and materials for Party A’s consideration;

 

组织参加评标会议，针对投标单位的报价，进行技术标及商务标的评定及建议；并给出一份整体的评标报告书面给甲方，供甲方参考。

Arrange and participate in tender assessment meetings. Based on the proposals, carry out assessment and give recommendation on technical proposals and commercial proposals; provide a complete written tender assessment report to Party A for its consideration.

 

2.1.2.5招投标程序Tendering procedures

 

需严格按照招投标程序进行操作，并对各阶段的评比情况及最后的总结书面汇报给甲方。

Tendering shall be carried out in strict accordance with the tendering procedures. The assessment results shall be summarized in a written report submitted to Party A.

 

2.1.3 其它服务Other services

 

2.1.3.1  提供其他工程所必需的造价咨询服务，包括但不限于：

Provide other cost consulting services necessary for the Project, include but not limited to:

 

    协助甲方进行施工合同的管理工作；Assist Party A in contract administration;

    为甲方提供工程成本控制的建议，运用技术、合同等手段有效控制成本；

Provide advice to Party A on how to control cost by using technical and contractual provisions;

 

    对已决定的工程变更及设计变更进行估算并及时调整总投资控制目标；

Carry out evaluation on variations that has been confirmed and accordingly adjust the investment control target;

 

    审核所有与本工程相关的付款申请，按相应要求和格式向甲方提供工程的付款审核证明及建议；

Review all payment applications related to the Project and provide to Party A in accordance with relevant requirements and format the payment certification or recommendation;

 

    对考虑中的工程变更进行造价估算，对工程变更及设计变更及时提交变更分析报告，供甲方决策；

Carry out evaluation on variations that is under consideration and provide variation analysis report for Party A’s decision;

 

    协助甲方进行竣工结算的编制工作；

Assist Party A in preparing the account settlement on completion;

 

    对施工单位提出的竣工结算进行全面审核计算，最终确认总工程量造价。并向甲方提交每一分项工程结算审计报告及全部工程结算总价、合同管理及执行情况的专题总结报告。

Review the statement at completion proposed by the contractor to eventually determine the total cost. Provide to Party A the audit reports for every subdivisional work, the closed contract price, and reports on contract administration and execution.

 

    协助甲方整理本工程项目合同文件及有关资料，收集有关工程费用方面的签证资料，核价单据并及时归档；

Assist Party A in filing contract documents and related document for the Project, collect payment certification documents, cost verification sheets and archive them in a timely manner;

 

    协助甲方进行竣工验收工作；Assist Party A in the completion acceptance;

    帮助甲方编制竣工决算表；Assist Party A in preparing the final account.

 

2.1.3.2 项目协调服务Project coordination services

 

为工程顺利进展所必需的与政府部门、MixC及物业等相关方面的协调。

Coordination necessary for the Project progress with statutory authorities, MixC and the property management company.

 

项目前期各专业进场前的所有协调工作（与项目相关协调：如MixC市场部、MixC总包及监理、MixC工程部及其物业、MixC分包和其他的商铺；与政府之间的协调：如消防局等）。

All coordination work before each trade contractor entering the site (related coordination: such as with MixC Marketing Department, MixC general contractor and supervision company, MixC Engineering Department and Property Management, MixC subcontractors and other stores; coordination with government authorities, such as Fire Bureau).

 

2.1.3.3设计协调服务Design coordination service

 

各专业施工图之间的设计协调及装饰施工图纸与其它各专业间的设计协调工作，及设计公司之间的协调工作。

Design coordination works between different trades and interior decoration construction, and coordination works between Party A and design company.

 

2.1.3.4 提供关于工程目标的咨询建议

To render advises in setting the Project targets;

 

2.1.3.5提供关于工程项目管理体系的咨询建议

To render advises in project management systems;

 

2.1.3.6 许可证申请服务Obtaining approvals and permits

 

负责协调有关各方面人员以确保顺利获取本工程所需要的许可证（如消防内装修建审意见等），以确保工程顺利开工。

To coordinate with all relevant parties in application for permits (e.g. comments on fire protection for interior decoration) necessary for the Project, to ensure timely commencement of work.

 

2.1.3.7风险评估服务Risk assessment services

 

根据其对本工程获取的各方面的信息，针对工程的前期工作进行风险评估，并给出咨询和建议，以书面形式汇报给甲方。

Based on the information on the Project that is available, provide to Party A a written risk assessment report and advices on the pre-construction stage of the Project.

 

2.2 项目实施阶段Execution Stage

 

2.2.1、人员配备   Staffing

 

提供各专业及项目经理等管理人员的名单，并附其各自的简历。

Provide the list of staff and their CVs.

 

乙方需配备如下管理人员：Party B shall provide the following staff:

 

项目经理 Project Manager          

暖通工程师 HVAC engineer 

机电工程师 M&E engineer  

内装工程师 Interior decoration engineer  

资料工程师 Document control engineer  

设计协调专员 Design coordinator

工料测量师 Quantity surveyor   

 

一旦乙方提供的管理人员经甲方面试认可后，乙方不得以任何理由更换管理人员；除非经甲方书面同意。若甲方发现乙方未经甲方同意而进行更换管理人员的，每发现一次，罚款10000元，且乙方将承担由此造成的一切后果。

Once the staff proposed by Party B is accepted by Party A after interview, Party B shall not replace such staff for whatever reason, unless with Party A’s written consent. If Party A finds that Party B replace staff without Party A’s consent, Party B shall be penalized with RMB10,000 for each occurrence and Party B shall bear all consequences caused by such replacement.

 

2.2.2、项目管理体系   Project management system

 

方便、快速、准确确定并制定该项目的管理体系，例如，职责、文件管理体系、人员架构文件、操作质量监控体系、通信系统、工作审批制度及其他与此相关的工作。

To conveniently, fast, and correctly determine and plan management systems for the Project, for example, duties and responsibilities, document control system, personnel chart documents, operational quality control system, communications system, work examination form approval system, and other related works.

 

2.2.3、进度计划   Programme

 

2.2.3.1准备详细的工程进度计划表及时间节点作为甲方与承包方之间委托合同的附加文件，其包括对承包方所做工作的检查及其在每一个时间节点完成情况的质量测评。

To prepare details plans and milestones for construction operations as supporting documents of the Contract between Party A and the Contractors, including issuing the work checking and qualifying certificate of every milestone of the Contractors.

 

2.2.3.2对工程进度计划的监督与管理。   Monitoring and control of programme

 

乙方需对制定的进度计划及工期关键点负责；监督并管理现场的施工进度，对现场实际进度与进度计划进行比较分析，找出偏差，并及时修正偏差，以确保整体工程进度不受影响。

Party B shall be responsible for the programme prepared by it and the milestones therein; Party B shall monitor and control the progress on the site, compare actual progress with the programme, identify and correct the deviation to ensure the overall programme is not affected.

 

2.2.3.3乙方应在充分理解甲方可能发生频繁变更的情况下，合理的组织或督促相关施工单位加快施工进度，以确保工程能够顺利完工。

Party B shall, by fully understanding that Party A may frequently instruct changes, reasonably cause the contractors to expedite progress to ensure smooth completion of the Project.

 

2.2.3.4需对承包商在施工过程中提交的月、旬、周等分段进度计划进行分析、审核。

Party B shall analyze and review the monthly, ten-day and weekly programme submitted by the contractor.

 

2.2.4、质量管理   Quality management

 

2.2.4.1 按照国家相关规范对现场工程质量进行监督管理，确保整体工程质量合格。

Supervise the quality on site in accordance with relevant national codes to ensure the quality of the Project is up to standard.

 

2.2.4.2 针对工程中出现的难点或施工工序等问题，乙方需根据自己的专业知识给出建议或协调，并监督各单位的对认可方案的实施。

Party B shall, based on its expertise, advice or coordinate on the difficult issues and sequence of work in the Project and supervise the implementation of agreed actions by various project participants.

 

2.2.4.3乙方对其管理监督的工程负有责任。其责任不能免除由于质量事故导致的相关部门的调查。若因乙方监督管理不到位或乱指挥导致的问题，乙方应负相应的责任。

Party B is responsible for the works managed/supervised by it. Such responsibility cannot relieve Party B from receiving investigation by relevant authorities resulting from quality failures. Party B shall be liable for the problems due to its underperformance or its giving of instruction in an unprofessional manner in managing the Project.

 

2.2.4.4在工程质保期范围内，乙方应对工程缺陷的部分给予合理的、专业的建议或方案，以减少甚至避免此工程缺陷对商场正常营业的影响。

During the quality warranty period, Party B shall render reasonable, professional advice or proposal on defective work to reduce or even avoid the impact by defective work on the operation of the store.

 

2.2.5、安全文明施工Safety and orderly conduct

 

2.2.5.1制定贯穿整个项目由安保工程师及安保团队严格监管执行的安保方案。

Formulate health & safety plan for strict implementation by the Safety Engineer and safety team throughout the Project.

 

2.2.5.2按照安全文明施工的要求，监督管理相关单位。

Supervise/manage the work of project participants in accordance with the requirements on orderly conduct.

 

2.2.5.3制定安全管理办法，监督相关单位按照管理办法进行现场实施，确保项目及工作人员的人身安全。

Formulate precautionary safety measures and ensure that project participants follow them to safeguard personal safety of staff.

 

2.2.6、文件管理   Document control

 

2.2.6.1 准备项目运作配套文件（如：每周或每月的进展报告、会议备忘录、现金流估测报告、进度偏差分析报告、设计变更汇总分析报告等），并交给甲方做参考。

Prepare project management deliverables (such as weekly or monthly progress report, meeting minutes, cash flow estimate report, programme deviation analysis report, design variation analysis report, etc.) and submit them to Party A for reference.

 

2.2.6.2 负责本项目所有文件的接受、发送等文件的管理，工程结束后，将工程相关资料移交给甲方。

To be responsible for the filing of all incoming and outgoing documents during the project period and hand over related project information to Party A after the Project is closed.

 

2.2.6.3 对每次会议做好会议记录并总结重要事项，于会议结束后3天内提交给甲方。

Minute every project meeting and submit the meeting minutes to Party A within 3 days after the meeting.

 

2.2.7、其它具体服务项目，包括但不限于以下内容：

Other services include but not limited to:

 

2.2.7.1检查和监控工程的质量、造价和施工安全性。

To inspect and control qualities, prices, and safety of the construction.

 

2.2.7.2在承包方购买用材及配件之前检查和批准每项工程的图纸、用材、配件；此外，其采购物件还需符合设计者的标准。

To inspect and approve every item of construction drawings, materials, and accessories before the Contractors purchasing materials; in addition, the items purchased shall conform to the designer’s requirements.

 

2.2.7.3检查和批准承包方的操作指南、安全体系计划和工作政策。

To inspect and approve operational guidelines, safety system plans, and working policies of the Contractors.

 

2.2.7.4参加工作学习、检查和测试不同工作部分的完成情况。

To participate in work study, inspection, and testing in various work sections.

 

2.2.7.5协调与设计师决策和解决关于设计图纸可能在实际运行中出现的差异问题。

To coordinate with the designers in decision-making and solve problems of  drawings differ from the actual conditions on site.

 

2.2.7.6为避免延误对并非必须与设计师之间的咨询及时做出决策。

To make decision in case that consultation with the designers is not required in order to prevent delay.

 

2.2.7.7在实际施工前准备该设计关键部分的模型。

To prepare mock-up of the critical parts of the design prior to physical construction.

 

2.2.7.8共同参与检查工程的质量、数量及工作范围以确保工程情况与款项支出相符。

To jointly inspect qualities, quantities and scopes of work for disbursement of installments, etc.

 

2.2.7.9根据设计计划和项目安排、考量、检查及测试相关用材及系统配件，并在甲方使用该等材料及配件前准备相应模型。

To consider, examine and test the materials and accessories of  systems pursuant to the planned patterns and items and prepare mock-up prior to use by Part A.

 

2.2.7.10须每月就工程变更及付款情况编制并提交甲方一份单独的费用分析报表及清单，详细说明此前甲方决定实施的工程变更以及此当前报告期实际发生的费用明细。

To prepare and submit to Party A a separate cost analysis every month, detailing the variations confirmed by Party A and the breakdown of costs incurred in the month for which the analysis is done.

 

2.2.7.11举办周度、月度会议以推进、跟进及检查相关工作的进展；包括解决可能出现的任何延迟问题，以防因此而给该工程带来的相关损害。

To hold weekly and monthly meetings to accelerate, follow up and check the work progress, including to solve any delay problem which may arise, in order to prevent any damage to the Project.

 

2.2.7.12在施工过程中提供相关技术咨询（如需）。

To render technical consultations during the construction (if required).

 

2.2.7.13如果发生相关问题，在甲方的要求下，参加该等协调会议。

To attend coordination meetings if problem occurred and at the request of Party A.

 

2.2.7.14准备额外的图纸和细节内容，包括施工期间对相关问题的应对解决方案。

To prepare additional drawings and details, including to solve the problems during construction.

 

2.2.7.15召开协调会议以跟进相关工作进展；对有关该工程出现的紧急问题进行沟通协调并进行解决；不论设计师、主要承包方,分包方、材料、配件供应商或其他相关第三方。

To hold coordination meeting in order to follow up the works, to give coordination, and to solve the immediate problems in relation to the construction, irrespective of designers, main contractor, sub-contractors, material and accessory provider, or other relevant parties.

 

2.2.7.16根据工程的预算、工期、质量等要求考量及检查承包方在每一个阶段中工作完成情况。

To consider and inspect the works done by the Contractors at every stage in accordance with the budgets, periods of time and qualities of the patterns and items.

 

2.2.7.17管理、监控并安排相关人员为人身健康的污染事宜负责、并确保环境影响符合相关环境标准；包括协调进行自此等事件发生之日至取得补偿期间的保险通知及索赔事宜。

To manage, control and arrange personnel responsible for safety from pollutions against health, and for environmental impacts in line with the standards, including coordination on insurance notification and insurance claim as from event occurrence up to being compensated.

 

2.2.7.18提供相关法律建议、要求及规定，包括与建筑工程相关的各种技术要求。

To render recommendations on laws, requirements and regulations, inclusive of a variety of techniques in relation to the construction.

 

2.2.7.19在施工过程中，先于事件发生之前对可能产生的问题给出建议并解释，包括找出应对解决对策并解决这类问题。

To suggest and explain possible problems prior to event occurring during construction, including finding out solution and solve such problems.

 

2.2.7.20安排与租户沟通协调的工作团队，如有必要该团队可进入该租户的租赁经营地点以对其租赁地点内的工程进行相关改进、建设及安装工作。

To prepare working team to coordinate with rental vendors if it is necessary to enter the rental vendors’ business operation site for work improvement, construction, and installation of the rental vendors’ business operation site.

 

2.2.7.21初步检查审核每个租户的系统设计图纸以使其遵循甲方的标准；同时为租户装修施工提供指导和监督。

To initially examine the system drawings of every rental vendor to ensure that they satisfy the standards of Party A; to provide guideline for and supervision on any vendor’s contractor’s fitting-out work.

 

2.2.7.22对承包方的工厂及日常工作进行实地勘查检验，以确保其资质符合该工程规划标准，并对考察的情况写成报告提交给甲方，供甲方参考。

To inspect the Contractors’ factories and check their work to ensure contractors’ qualifications satisfy the planning standard of the Project, and to prepare an inspection report and submit to Party A for its reference.

 

2.2.7.23检查租户装修工作进展情况，以确保其符合甲方及设计者的相关规则规定。

To check rental vendors which operate the decorations to ensure compliance with the rules and regulations of Party A and the designers.

 

2.2.7.24为相关设计模式之准备而向室内设计师及其他每一类别的设计师提供相关建议；

To render advises to Interior Designer and other designers of every category in preparation of related designing work patterns.

 

2.2.7.25参加所有必要的会议，并协调甲方、室内设计师和其他每一类别的设计师，以与每一工作小组共同总结相应工作要求。

To attend all necessary meetings and coordinate with Party A, Interior Designer, and other designers of every category to summarize requirement from every working team.

 

2.2.7.26共同参与为甲方、合作伙伴、政府部门及其他必要的与工程项目竣工相关的第三方而进行的工程细节详述及报告。

To participate in detailed work explanation and presentation to Party A, partners, government agencies, and other parties as necessary for the completion of construction.

 

2.2.7.27对设计工作方面关于工程及工期的可行性进行研究，提供关于工程设计的建议以帮助该工程节约施工成本及时间，包括介绍适用于该工程的工具、机械、施工方法、材料；同时，研究相关施工技术并将此推荐给甲方。

To study the design works in the aspect of feasibility in construction and period of time, to render advises in designing to assist the Project in saving construction costs and times, including to introduce tools and machinery, construction methods, and materials as appropriate for the construction work, and to study the construction techniques and recommend to Party A.

 

2.2.7.28评估按照该施工方案进行的施工对项目及相邻块土地周边环境造成的影响，并在该项目对环境破坏损害发生之前给设计者及甲方发出相应警告。

To assess the construction impacts on environments and adjacent plots of land as a result of the construction under the patterns and items and to give warnings to the designers and Party A prior to the damage occurrence against the Project.

 

2.2.7.29检查、审查和协调设计工作以使设计方案及协议更完整，为了避免该设计方案在实际操作过程中在如工程质量、职责界定、增加或减少协议项下的工作等方面的不确定性。

To examine, inspect and coordinate on the design works to enable the patterns and the Agreement to be more complete in order not to cause the design works to result in unclear operational period of time, Project qualities and responsibilities, and increase/decrease in the work hereunder.

 

2.2.7.30促使施工管理体系和项目管理体系在与甲方、承包方和其他第三方沟通协调时为简洁、灵活及具高水准的。

To organize the Construction Management System and the Project Management System to be concise, be flexible, and have qualities in coordinating with Party A, the Contractors and other parties.

 

2.2.7.31向甲方提供建议以使其获得该施工作业所需求的咨询服务调查、咨询及其他相关所需信息。

To render advice to Party A to procure consultancy services survey, consultation and other relating information required for the construction operations.

 

2.3 项目后续阶段 Post-construction Stage

 

2.3.1工程移交Hand-over of the Project

 

2.3.1.1按照甲方对工期、质量的要求，顺利将工程移交给甲方。配合甲方及其内的小商铺按时开业。

       In accordance with the requirements of Party A on programme and quality, hand over the Project to Party A. Give assistance to Party A and rental vendors to ensure on-time opening.

 

2.3.1.2在甲方开业前，负责完成所有与甲方开业所必需的证照（如消防验收意见书、开业前消防安全检查等）

To be responsible for obtaining all licenses or approvals necessary for store opening (such as Comments on Fire Protection Acceptance, fire safety inspection, etc.) prior to inauguration.

 

2.3.2资料移交      Hand-over of project documents

 

提交所有与工程相关的工程资料，包括但不限于以下内容：

Furnish all documents related to the Project, including but not limited to:

 

    不一致报告Non-Conformance Report (NCR)

    实际完成情况报告Practical Completion Report

    遗留问题清单Punch List

    缺陷报告及建议Defect report and recommendation

    竣工证书Certificate of Completion

    竣工图纸、CD文件和图纸组合As-Built Drawing, CD Files, and Drawing Combination

    施工项目手册Operation and Maintenance Manual

    周报、月报Weekly reports and monthly reports

    会议纪要Meeting minutes

    变更核实报告Variation verification report

    竣工测试报告Report on Tests on Completion

    进度偏差分析报告Analysis report on programme deviation

    各种设备操作手册、培训手册Operation manual, training manuals for various equipment

 

2.4 后期维护 Warranty Period

 

工程验收完毕后1年内若出现质量或其它方面的工程缺陷，乙方应负责提供完整的工程解决方案的咨询和建议，并对此次出现的问题给出分析报告提交给甲方。

If, within one year after the Project passes the completion acceptance, there is quality defects or other defects, Party B shall be responsible for providing complete consulting advice to solve the problem, and submit an analysis report on the defect to Party A.

 

第三条    本协议项下的工程项目管理服务费用为总计[人民币     元] ，此金额包含营业税，此合同款项分期如下：

Article 3. The Construction Management Service Fee Rate hereunder is in total amount of [RMB      ], inclusive of business tax, and the payments in installments are as follows:

 

1)    合同总金额10%的首付款于合同签署起14工作日内支付；

10% as first payment upon contract awarding (within 14 working days);

 

2)    合同总金额20%于施工开始时支付；20% upon construction kick-off;

3)    合同总金额20%于隐蔽工程验收通过后支付；

20% upon passing of concealed work inspection;

 

4)    合同总金额25%于交付验收（非官方）完成后支付；

25% upon finish of hand-over inspection (non-governmental);

 

5)    合同总金额15%于官方验收完成后或准备开业时支付；

15% upon finish of government inspection/ready for open;

 

6)    剩余支付金额将视乙方于本项目的服务质量酌情于工程验收完毕一年后（14天内）支付，支付金额的百分比按照乙方的服务质量得分确定。

The rest of the payment will be paid at Party A’s discretion by considering the quality of Party B’s service within 14 days after the Project has passed the completion acceptance for one year, the percentage of payment to be paid shall depend on the score of Party B’s service.

此等管理费用包括本协议项下的工作安排费用、最初准备费用、与承包方配合沟通费用、运营费用、利润、工资、福利、员工的奖金，工具和设备、电脑、打印机、复印机、文具、电话、其他相关的消耗品，由于题述工程所需而发生的上海沈阳之间的差旅费用、保险费、其他费用（距沈阳200公里以外的装修材料供应商考察费用除外），印花税根据本协议约定执行，所有其他的费用（根据运行情况需要额外增加的项目除外）以及其他相关税费。

whereby such management fee includes arrangement fee for work under the Agreement, initial arrangement expenses, fee for coordination with the Contractors, operating fees, profits, salaries, welfares, employee bonuses, tools and equipments, PC, printer, copy machine, stationery, telephone, other related consumable items, domestic traveling expenses between Shanghai and Shenyang as per project’s requirement, insurance premiums, other fees (Exclude the cost of visit for material supplier 200 kilometers away from Shenyang), stamp duties in execution of the Agreement, all of other expenses (except for the items additionally indicated in the operational conditions) and other relevant taxes.

 

关于分期付款的收讫事项，乙方应首先提交给甲方付款通知函，甲方应在收到后7日内确认通知函，乙方根据该确认函提交相应额度的正规发票，并在确认后30天支付此等款项；其履行程序及相应规则需符合甲方的总体公司标准，甲方有权根据乙方雇员的实际工作量支付服务费用。

With regard to collection of installments, Party B shall submit invoice to Party A, whereby Party A shall give official confirmation within 7 days upon receipt, upon receiving the confirmation Party B shall submit official of the same value,  and another 30 days to make the payment in installments to Party B; by having procedures and practical rules in accordance with general company standards of Party A, Party A reserves its right to pay the service fees based upon the actual quantities of work performed by Party B’s personnel.

 

此外，乙方同意由其单独承担本协议项下的印花税。如果在工程进展期间并非由于乙方违反本协议项下的条款而导致工程停止，则乙方同意按其实际完成的工作量向甲方请求支付此等服务费用。

In addition, Party B agrees to solely pay stamp duties hereunder. In the case of ceasing operation during operations, on which the breach of the Agreement is not caused by Party B, Party B agrees to charge the service fees based upon actual quantities of completed work hereunder.

 

第四条   乙方应当按照如下开始管理并监控本协议项下的工程工作：

Article 4. Party B shall commence to manage and control the construction works hereunder, as follows:

 

双方同意按下述开始并在规定时间节点内完成本协议项下约定的相关工作：

Both parties agree to commence operations and to have completed the works hereunder within the periods of time, as follows:

   

上述时间节点可经甲方双方共同书面确认进行合理变更。

Provided that the aforementioned periods of time may be changed as appropriate as mutually and in writing determined by Party A and Party B.

 

只有当上述时间描述发生较大偏差时，变更才会被签发，乙方的根据经认可的费率计算的额外费用申请才会被补偿。这里的较大偏差是指不小于2个月。延期超过2个月，则甲方按照下述方式给予乙方服务费用的补偿，总服务费     万元/     个月=     元/月。按月在每个月的月末支付。若不满一个月但超过15天，按一个月计。若不满15天，按半个月计。（例如：延期2个月10天，甲方应额外支付半个月的费率给乙方作为补偿）。如果此延误是由乙方造成的，则乙方在本合同期以后的任何补偿工作不收取额外费用。

Only in case of big deviation with the above-mentioned time scale, variation order will be issued and Party B’s extra-payment based on month rate can be reimbursed. Big deviation refers to not less than 2 months. Month rate equals RMB       per month (RMB     /     months). It will be paid monthly at the end of each month. More than half month will be treated as 1 month, less than half month will be treated as half month.(for example, half of month rate will be paid to Party B in case of 2 months and 10 days delay). If the so-called delay is caused by Party B, no extra-payment will be charged by Party B for any necessary remedy work after the term of the Contract.

 

双方同意本协议项下的工作期间或工作小时约定如下：

Both parties agree that the working period / hours under the Agreement are as follows:

 

正常工作期间为[8:30]到[12:00]及[13:30]到[18:00]，期间即自[星期一] 至[星期五]  （乙方可根据工程需求并在符合当地相关法律法规的前提下，于节假日或双休日弹性安排工作小时。）

Normal working periods are [8:30] to [12:00] and [13:30] to [18:00] as from [Monday] to [Friday] (Party B might take flexibility to arrange working time during holiday and weekend based on construction requirement without inconsistency with the local relevant law),

 

乙方应当自收到甲乙双方签署的意向书起开始着手工作，其包括召开协商沟通会以为双方之进一步沟通。

whereby Party B shall have commenced to work including to hold  meetings for coordination as from the date of receipt of the Letter of Intent between Party A and Party B for further coordination.

 

第五条   乙方不得未经甲方书面许可而将本协议项下工程全部或部分分包给任意第三方。另外，即使在分包情形下，乙方仍需对分包部分的工作全面承担责任。

Article 5. Party B shall not subcontract all or any of parts of this Agreement to other persons without prior written approval from Party A. However, in the case of subcontract, Party B shall further be responsible for the subcontracted works in all respects.

 

第六条      无论在何情况下，如若甲方发现乙方现场管理人员开展的工作可能会对该建筑项目产生损害，则甲方有权要求乙方更换部分或全部该工程的管理人员，同时乙方应当迅速遵从甲方的意愿。关于更换人员事宜，乙方应当将可供备选的人员名单提供给甲方以获得其预先书面批准；可供备选的人员应当为与被更换的人员具有同等或更高知识及能力水准的人选。

Article 6. In any case where Party A notices that the operations by the building site management personnel of Party B may cause damage to the construction in any case whatsoever, Party A has its right to demand Party B to replace some or all site personnel and Party B shall comply with the intention of Party A in a swift manner. Upon personnel replacement, Party B shall propose the Name List of the replacing personnel to Party A for prior written approval, whereby the replacing personnel shall be the persons possessing knowledge and capabilities equivalent to or superior to the replaced persons.

 

第七条   乙方应当遵守相关法律，并且应当承担本协议项下因乙方经营而产生的一切税赋。

Article 7. Party B shall abide by the relevant laws, and shall pay all taxes imposed upon the operations by Party B under the conditions contained herein.

 

第八条    如在本协议执行期间，营业税税率经调整较签约现行税率增高时，因此产生的营业税差额部分将由乙方单独承担。

Article 8. In the case where the rate of business tax is adjusted to be more than the existing rate during the terms thereof, the difference of the business tax amount shall be solely borne by Party B.

 

第九条    关于本协议项下的工程监控事项，乙方应当如下：

Article 9. Regarding the building construction control hereunder, Party B shall do as follows:

 

1)    乙方不得忽略或不履行其工程监控的职责，不得不诚实地履行其职责，也不得对该工程项目工作的运行造成任何损害、不便或迟延等。

Party B shall not neglect to operate nor desert the duties of building construction control nor dishonestly perform its own duties nor cause damage or inconvenience, delay, to the operations of the building construction works;

 

2)    乙方不得与本协议项下的承包商有任何利益联系，也不得与承包商串通损害甲方利益。若乙方违反或作出任何与本协议项下条款不符的事宜，乙方将被视为违反本协议，则甲方有权要求终止本协议，同时停止支付自此违约情况发生之月及以后的相关服务费用。

Party B shall not have any interest whatsoever with the Contractors hereunder or shall not collaborate with the Contractors to act or omit to act anything which may cause damage to Party A. Party B shall be deemed to breach the Agreement if Party B avoids or does any act contrary to any Article hereof and Party A is entitled to terminate this Agreement and cease service fee payment as from such month, and thereafter.

 

第十条    如发生本协议项下项目建筑或结构的损坏，若甲方能证明此等损坏是由乙方原因导致，不论乙方是否为玩忽职守，或未能适当利用其技能监控该工程，或未能监控承包方完成承揽工作，或乙方违反本协议项下任何条款；则乙方应当毫无迟疑地采取合理补救措施，该等行为不可向甲方请求支付费用。此外，若乙方在甲方书面指定的合理期间内拒绝采取任何补救措施，则乙方应被视为不遵守本协议或违反本工程项目管理服务协议，甲方有权要求终止本协议；同时，甲方仍有权要求更换乙方为任意第三方，乙方需承担此等附加费用，包括甲方因此而实际遭受到的损害。

Article 10.      In the event of damage against the building or structures of the Project hereunder, whereby Party A can adduce that it is the fault of Party B, irrespective of whether the Party B neglects to perform its duties or Party B fails to utilize its knowledge as appropriate for the construction work control or fails to control the Contractors to have completed the operations or Party B breaches any Article hereof, Party B shall, without delay, take corrective action without any remuneration charged against Party A. Furthermore, if Party B avoids or evades not to take the corrective action within specified the period as in written notified by Party A, Party B shall be deemed not to observe the Agreement or to be in violation of the Construction Management Services Agreement (CM) and Party A is entitled to terminate the Agreement; moreover, Party A has its right to replace the Party B with another person, whereby Party B shall be responsible for additional expenses, inclusive of actual damages incurred as suffered by Party A in an absolute manner.

 

第十一条  违约责任：若甲乙双方之间的工程项目管理服务协议无论因何情形而被终止或中断，甲方均有以下权利：

Article 11.      In case of breach of the Agreement: in the case where the Construction Management Services Agreement (CM) between Party A and Party B is terminated or interrupted by any ground whatsoever, Party A shall have its right, as follows:

 

11.1 有以下两种情形   There are 2 circumstances as follows:

 

1)    当本工程项目管理服务协议被终止时，甲方应当支付给乙方截至此终止之日而发生的未付款项。

       In case where the Construction Management Services Agreement (CM) is terminated, Party A shall make any payment to Party B for the unpaid debt incurred up to the date of such termination;

 

2)    当本工程项目管理服务协议被中断而并非终止时，仅当本协议项下的工程被按期完成时，甲方尚需支付给乙方因此而发生的未付款项。

In case where the Construction Management Services Agreement (CM) is interrupted but not terminated, Party A shall make any payment to Party B for the unpaid debt merely when the work hereunder has been duly completed.

 

11.2 有权终止本协议。To terminate this Agreement.

 

第十二条  如果任何一方违反本协议项下的条款或者未能在另一方约定的一段期间内遵守相关条款规定；相应地，守约方有权要求终止本协议，并且要求违约方承担相关损害责任。

Article 12.      If either party breaches any Article hereof or fails to comply with any Article hereof within a period of time as stipulated by the other party, accordingly, the other party has its right to terminate the Agreement and claim damages from the breaching party.

 

第十三条  终止条款：甲方有权随时以书面形式通知对方终止本协议。自通知依法送达之日起30日后，本协议解除；甲方应当支付乙方按工作完成情况比例及截至该协议终止经过期间计算而得的服务费用。此外，甲方未能行使其解除权不应视为乙方免责的依据。

Article 13.      Termination of the Agreement: Party A is entitled to terminate this Agreement by serving a notice on Party B at any time. The termination of the Agreement shall be effective after a period of 30 days as from the date of such notice issuance, Party A shall make the service fee payment to Party B, which shall be calculated in proportion to the work achievement and the period of time up to the date of the termination of the Agreement. Besides, the failure of Party A to exercise its right to terminate this Agreement shall not be regarded as a ground causing Party B to exonerate hereunder.

 

第十四条  通知：本协议项下的任何通知应以书面形式制作并送达至对方于本协议所载明的地址，或者一方发生地址变更，而以书面形式预先通知另一方的文件中所载的其他地址。任何以挂号邮件形式送达至乙方的信件或文件中所含陈述，应被视为已由乙方知悉。

Article 14.      Notice: All of any notice hereunder shall be made in writing and sent to the address of the other party as stated herein or other addresses to be in writing and in advance notified by either party to the other party for information in the case of change in address. Any statements contained in the letter or document which is sent through registered mail as addressed to Party B hereunder shall be deemed to have been known to Party B.

 

第十五条  以下文件将被视为本协议不可分割的组成部分，若以下文件中存在与本协议不一致的陈述时，以本协议（后者）为准。

Article 15.      The following documents shall be regarded as an integral part hereof; if any statement contained in the following documents is contrary to the statement contained herein, the latter shall prevail.

 

1)    甲乙方在   双方签署的中标通知书。

2)    其他相关的文件（如有）。Other relevant documents (if any).

 

第十六条  语言：本协议以中英文两种语言书写，如遇两种语言文本产生任何歧义，以中文文本为准。

Article 16. Language: This agreement will be written in both English and Chinese version, Chinese version will take the priority in case of any discrepancy.

 

第十七条  保密条款Article 17. Non-Disclosure Agreement:

任何与甲方业务有关并且为本项目之目的而揭露给乙方的信息都视为由甲方所有的保密信息（以下简称为“保密信息”）。乙方同意未经甲方书面同意不得向任何第三方全部或部分透露此等保密信息。

Any information related to Party A’s business and disclose to Party B for the purpose of Project is agreed to be the confidential information owned by Party A (“Confidential Information”). Party B agrees to keep and not disclose such Confidential Information to any other party in whole or in part without written consent from Party A.

 

第十八条  若本协议项下的文字产生不同释义时，双方协商按照建筑行业中普遍接受的                  惯例就该文字进行释义。

Article 18. In case of any different interpretation on any description of this agreement, both parties will re-coordinate for re-explanation according to the convention generally accepted by the construction industry. 

 

第十九条    法律适用及争端解决Article 19. Applicable Law and Disputes Settlement:

 

1)    本协议适用中华人民共和国法律。

This Agreement will be governed by and construed in accordance with the laws of China.

 

2)    本协议自双方授权代表盖章签字之日起生效。

This Agreement will become effective when both parties put their authorized signatures.

 

3)    双方均同意，若本协议发生任何争议，双方将尽其最大努力通过友好协商解决。若协商不成，任何一方可将争端提交至中国国际经济贸易仲裁委员会上海分会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

Both parties agree that in the case of any dispute, they will use their best efforts to solve all differences amicably by negotiation. If no settlement can be reached by negotiation either Party may submit such dispute to China International Economic and Trade Arbitration Commission Shanghai Sub-commission for arbitration in accordance with its arbitration rules then in effect. The arbitration award will be final and binding upon both parties.

 

第二十条  其他：Article 20. Miscellaneous:

 

甲方向乙方尽可能提供开展项目管理工作必须的现场办公设施和应当尽可能向乙方提供开展工作必须的工程资料(复印件)。

Party A will provide reasonable site office facility and as much as possible basic information to Party B (photocopy only) for project development.

 

甲方应对乙方递交的各类书面报告和函件中所反映的项目实施过程中或项目本身的有关错误、缺陷、问题及有关建议及时进行决策，并及时给予书面答复意见。

Party A shall make timely determination and written response to solution for problem suggested by Party B concerning the mistake, defect, problem in and recommendation for the execution of the Project.

 

乙方安排负责本此工程服务的人员组成（附录A）一经确认，未经过甲方同意不得更换。如果乙方某成员经甲方判断认为不符合要求，乙方应负责推荐合适人员待甲方书面认可后方可进行更换。乙方应全部承担由于更换人员而造成的对工程的负面影响。

All team members (shown in appendix A) from Party B cannot be changed without permission by Party A. If any team member is not qualified by Party A’s judgment, Party B should recommend appropriate personnel for Party A’s written approval before replacement. Party B should be fully responsible for any negative influence to the project due to such replacement.

 

本协议一式六份，各份具有同等内容。双方都已完全知悉并理解了本协议项下的陈述内容，并在协议上加盖各方的签名及公章（如有），同时各方各保留三份文本。

This Agreement is executed in 6 duplicates, with all identical texts. Both parties have thoroughly read and understood all statements contained herein and then affixed their signatures and seals (if any) and each party retains 3 copies.
