WHEREAS the Seller and Buyer, each with full corporate authority, certifies, represents and warrants that each can fulfill the requirements of this contract and respectively provide the products and the funds referred to herein, in time and under the terms agreed to hereinafter; and

Whereas the Seller hereby agrees and makes an irrevocable firm contract to sell and whereas the Buyer hereby agrees and makes an irrevocable firm contract to purchase tungsten bar whereas the Seller and Buyer both agree to finalize this contract under the terms and conditions, it is therefore agreed as follows:

鉴于卖方同意并签署不可撤销的合同销售钨条，买方同意并签署不可撤销合同购买钨条，买卖双方约定条款如下：

The quanlity of goods will be confirmed on a certificate issued by the independent international survey company.

货物质量将以独立的商检公司检验结果为准。

 

Content of W： above 99.97%, （rejected below 99.965%）

钨含量：99.97%以上（低于99.965%拒收）

 If the contract period is three or five years, the buyer and the seller should negotiate the unit price each 180 days.  

如果此合同为三年或五年期的长期合同，则买卖双方每180天协商一次价格

 

Loading Port : Main Port, China or any main airport, China（The mode of transportation designate by buyer, the port or airport designated by seller）.

装运港 中国主要港口或者机场（由买方选择运输方式，具体港口或机场由卖方选择。）

 

Shipment Mode: 装运

The total quantity is     KGs and to be delivered in two times. Each shipment is 5,000KGs. The first shipment should be delivered within 30 days after the seller received the 100% Operative, Irrevocable, Divisible, revolving Documentary Letter of Credit and the second should be delivered within fifteen days after the first shipment.

总装运量   公斤，分两个批次（间隔十五天）发运。第一批装运时间为收到不可撤销的、可分割的、可转让的、可循环的、100%有效的信用证后30天内。第一批发运后十五天内开始第二批。

 

Partial shipment allowed .允许分批装运

 

Inspection : By SGS at Seller’s Cost  检验:  SGS 检验，卖方付费

 

Shipping Documents :单据

 

One set of the following documents consisting of three (3) originals and three (3) non-negotiable copies will be furnished by the Seller:

卖方提供下列单据的三正三副。

 

Full set of  3 (three) originals and 3 (three) copies of clean Air Waybill or bill of lading of blank endorsed, notifying the applicant of LC.

清洁空运或海运提单三正三副，注明通知信用证申请人。

 

Commercial invoices 3 (three) originals and 3 (three) copies with description of goods, unit price, total amount and weight of goods.

商业发票正本3份，副本3份，载明货物规格，单价，总量及重量。

 

Packing list 3 (three) originals and 3 (three) copies.  装箱单正本3份，副本3份

 

Certificate of Origin, 3 (three) originals and 3 (three) copies issued by the Chamber of Commerce and Industry of Original Country.

由原产地商会出具的原产地证明正本3份，副本3份

 

Certificates of inspection issued by SGS for quality and quantity certifying the goods are as per quantity and specifications provided.  

证明货物符合重量和约定规格的商检检验证书。

 

Shipping advice stating flight number, B/L number and date, total number of the bundles, if needed and B/L weight.

装运通知：航班号，提单号/日期，总包装数，提单重量

 

Statement certifying that one set of non-negotiable shipping documents has been sent to the Buyer by Fax/International courier/Email.

全套单据已传真/快递/邮件给买方的声明。

 

The third party documents are acceptable. 第三方单据可接受。

 

Mode of Payment:付款方式

Buyer shall issue the 100% Operative, Irrevocable, Divisible, revolving Documentary Letter of Credit for a period of 180 days or 360 days from the     bank, FOB China main port or airport..

买方依照合同的条件下开立,不可撤销,可分割,可转让,可循环 100%有效期为180天或360天的跟单循环信用证。开证銀行为   银行,信用证 FOB中国主要港口或机场。

 

Delay Charges:延期交货违约金:

Any delay of a delivery from the Seller is seen as renege of the contract, except for delays owing to "Force Majeure" set forth hereof in this contract. For a delay seen as a renege, the seller is charged a penalty of 0.5% of the cargo’s total contract value per Seven (7) days of delay, delay time lesser than 7 days is counted as  7 days. The penalty will be paid in cash to the buyer right after the delay happens. This condition is negotiable in case the buyer acknowledges toleration for a delay. The shipment time is count from the cargo shipped on the ship or the plane.

除双方认可的不可抗力因素外，卖方迟于合同规定的期限(以装船或装飞机时为准)交货，被视为违约即按照货物总价值的0.5％计算，按照每7天计算一次违约罚金，不足七天按七天计，并在同一时期将违约用现金支付给买方。如买方同意迟延交货，上述的情况由双方另行协商。

 

FORCE MAJEURE : 不可抗力

The title is standard clause found in marine contracts exempting the parties for non-fulfillment of their obligations by reason of occurrence beyond their control, such as earthquakes, floods, murrain or war.在地震洪水瘟疫或战争等不可抗力情况下双方免责。

 

TITLE AND RISK : 物权和风险转移

The title to the goods and risks shall pass from seller to the buyer when the goods are loaded into the Plane or ship. All risk of loss, damage or destruction with respect to the delivered shall pass from the buyer to the seller at the time of loading from the loading devices into the plane or ship.

在货物装机或装船后物权和风险由卖方转移给买方。从发出装运通知至装运期间的货物损毁由卖方负责。

 

AMENDMENT OF CONTRACT : 协议的修改

Any amendment or modification of the contract shall be made in writing and subject to confirmation and acceptance in writing by the contracting parties.

对合同的任何修改均需经双方同意并签署书面补充文件。

 

NOTICE 通知

Notice or communications referred to in this contract shall be in writing .It shall be send by registered air mail and/or by telex, cable, to the address stated in this agreement.

任何通知都必须是书面的,以航空快递或电传\电报送达指定地点

 

ENTIRETY OF CONTRACT : 合同组成

This Contract constitutes the entire agreement between the parties and the terms and conditions set forth herein constitute the sole terms and conditions. No other terms and conditions contained elsewhere shall be binding upon both the Parties. All proposals, negotiations and representations if any, made prior to the date hereof are merged herein and no modifications shall be effective unless agreed to in writing and accepted

本合同由上述双方同意的条款组成，无其他附加条款。之前所有的协议、提议等在无书面共同签署的情况都无效。先前的一切建议、洽商和声明，如有，均已纳入本合同，未经书面并被对方所接受，不得对本合同约定做变更。

 

OTHER CONDITION : 其他

The sellers affirms under strict penalty of perjury that the tungsten bar offered for sale is fully owned by them and is free from any lien, charge, or encumbrance of any kind and they have the full legal authority to transfer clean title to the buyer. The seller also affirms that they have the necessary license and permits from the country of export and also from the country of the manufacturer.

卖方声明对所交易的货物有全部所有权,不存在任何留置、抵押或其他权利负担，具有完全之权利将货物使用权转移至买方，否则将接受因伪证而受到的严厉处罚。卖方还声明已取得了制造国和生产国相关部门的出口许可。

 

The buyer shall obtain the necessary import license and all other official authorization as required in the importing country.

买方必须根据进口国的要求取得相应的进口许可

 

The fax copies of this contract are considered original till they are received in original by the parties to this agreement.

本合同传真件同原件效力相同

 

Duties and taxes: 税金

SELLER warrants payment of all taxes and duties, if any, for the subject commodity prior to transfer of title to the BUYER.

在轉移物品至買方前，貨品如有任何稅金，卖方保证支付所有相关税金。

 

BINDING ARBITRATION AND GOVERNING LAW : 仲裁和适用法律

The parties hereby agree to settle any dispute arising from or relating to this agreement amicably, failing which, the dispute shall be submitted to the international court of arbitration, international chamber of commerce, which headquarters is located in HONGKONG, China for arbitration by a single arbitrator and in accordance with its rules of arbitration. The arbitration shall take place in HONGKONG, China in the Chinese language, and the findings of the arbitrator shall be considered final and binding upon both parties. The fee for such arbitration shall be borne by the losing party unless otherwise specified by the board of arbitrators The laws of HONGKONG, China hereof shall in all respects govern this agreement and the provisions.

双方一致同意友好解决争议,若失败则提请国际仲裁法庭国际商会香港总部由一名仲裁员仲裁。仲裁在香港进行，采用汉语，仲裁结果对双方有效。仲裁费由败诉方承担,或由仲裁委员指定。本协议适用中国香港法律。

 

The Buyer and Seller shall retain one original signed copy of this agreement.

双方各执一份正本已签署合同。

 

In witness whereof this contract is made in duplicate on this day of    and the duly authorized representatives of the Seller and the Buyer having signed on this day. Both the buyer and the seller retained two signed copies each.

此协议签署于    日,双方各执两份已签署的合同复制件。

 

Assignment :分派

This contract shall bind & insure to the benefit of the parties hereto, it’s successors and assignees. Neither party shall assign or dispose of any interest in this Agreement without the prior written consent or the other party. Within the duration of the contract neither party have the right to terminate the contract without unreasonably withheld, otherwise the breaching party should pay 15% of the total value to the other party as penalty.

双方要确保各方利益，在无对方书面同意的情况下不得擅自处置或分派此合同下的利益。在合同期内，合同各方在没有任何成立的理由的前提下，不得以任何借口终止本合同，否则将承担对方交易总额的15%的赔偿。

 

Governing Law: 法律

This contract is governed by the laws of the HONGKONG, China。

本合同适用中国香港法律  

 

Non circumvention & Non disclosure Agreement : 保密约定

Seller and Buyer agree that banking information is considered highly confidential and must be treated as such. No communication is permitted without prior instructions or consent either from the Buyer or from the Seller. Communication must be on a bank to bank basis, via KTT or other bank protocol.

双方要对对方的银行信息高度保密,在无事先通知同意的情况下不得传递.传递银行信息必须通过银行.

 

Both parties agree to this contract bound themselves to the provisions on Non Circumvention, Non-Disclosure (NCND) contained in ICC500, latest edition.

双方同意受国际商会最新版ICC 500保密不跨越合约 (NCND)之约束：

 

As both parties having agreed to the above specifications, conditions, & procedures, the Seller & Buyer accept this agreement as the operating contract for this commodity purchase.

双方一致同意就上述规格、条款和程序达成交易，此合同生效。
