This Contract is made by and entered into between the Buyers and the Sellers, whereby the Buyers agree to bu6y and the Sellers agree to sell the under-mentioned goods subject to the terms and conditions as stipulated below:

卖方与买方签署本合同，买方向卖方依照下列条款购买下述货物。

1.       Name of Commodity and Specifications: Chinese Tableware Art. No. 3301

品名：中国餐具， 货号：3301

2.       Quantity：5,000 sets. 数量：5,000套

3.       Unit Price: At US $ 45.00per set CFR San Francisco, the U.S.A.

单价：每套 45美元CFR旧金山价

4. Total Value: US$ 225,000. 00 (Say Two Hundred and Twenty-five Thousand US Dollars Only).

   总价：225,000. 00 美元 （大写：  ）。

5．Packing : In reinforced cartons. 包装：强化型板箱

6. Country of Origin & Manufacturer: Made by China  原产地：中国

7. Insurance：  To be effected by the Sellers against All Risks & War Risk for 110% of the invoice value.

   保险：按照发票金额的110%由卖方办理保险。

8. Terms of payment: By irrevocable sight letter of credit payable against presentation of the shipping documents as stipulated under Clause (3) (A) of the Terms of Delivery of this Contract to be opened with Citi Bank, San Francisco by the Buyers in favour of the Sellers to reach the Sellers 30 days before the date of shipment and to remain valid for negotiation in China till the 15^th day after shipment.

支付：在装船日30天之前由花旗银行旧金山分行开具以卖方为受益人的、不可撤销的即期信用证，凭本合同装运条款中的(3) (A)条所规定的装运单据支付，有效期至装运后15天。

9. Shipment: to be made by direct steamer from China main ports to San  Francisco, the U.S.A. during June and july, 2012.

于2012年6月至7月间装运，由直航船从中国主要港口运至美国旧金山。

10. Shipping Marks: On each package shall be stenciled conspicuously; the name of the port of destination, package number, gross and net weights, measurements and the shipping marks shown on the right side, (for fragile cargo, the nature and the generally adopted symbol shall be marked conspicuously on each package.)

运输标志：包装明显表明目的港名称、包装号码、毛重和净重、尺寸；标志位于右侧（每件包装都以惯常标志明显表明货物易碎）。

11. Other Terms: (A) Other matters relating to the execution of this Contract shall be dealt with in accordance with the Terms of Delivery as specified overleaf, which shall form an integral part of this Contract. (B) This Contract is mad e out in Chinese an English, both texts being equally authentic.

其他条款：与本合同履行有关的其他事项约定的交付条款构成本合同组成部分；本合同以中文和英文写就，具有同等效力。
