甲乙双方经友好协商，本着平等互利的原则，签订以下合约。

This contract have been made and entered into by and between part A and party B through friendly negotiation on base of the principles of equality and mutual benefit.

 

1 甲方是专业制作，包装，推广演艺人员演艺事宜的演艺文化公司，专门为乙方演艺事业发展提供一切便利。

Party A shall , being the specialized company of making, propaganda and promotion of entertainer’s art performance, provide party B with all conveniences and conditions to its art career in speciality. 

 

2 乙方授权甲方为其照片刊登、音乐出版、唱片发行、彩铃制作及推广、影视剧通告、商业剪彩、商业演出、舞台模特、电台访问或录音、网络宣传推广、广告代言、音乐电视全国KTV发行（仅限大陆及港、澳、台地区）及其它演出之合法代理人。

Party A shall, be authorized and empowered by party B as its legal agency and representative, commence, on behalf of party B, the matters and items as follows as inclusions of party B’s photo publication, music publishing, disc issue, making / popularization of color bell, notice for films, commercial ribbon-cutting, commercial performance, model show, radio interview or record, net propaganda, advertisement, KTV issuance of music TV in whole country (limited within inland, Hang Kang, Macao and Taiwan of China) and other performances.

 

3 代理方式 The means of agency

3.1 甲方在本合同有效期内为乙方演艺事业的独家及唯一经纪人。

Party A shall, within the validity period of contract, be sole and exclusive broker of party B’s art performance career.

 

3.2 乙方在本合同有效期内为甲方独家提供演艺服务。

Party B shall, within the validity period of contract, provide party A, only and exclusively, with the performance service.

 

4 授权委托事项 The commitment item

4.1 在合同有效期及顺延期，甲方为乙方提供经纪人服务，甲方负责安排乙方演出及有关工作事宜。乙方向甲方提供演艺服务，乙方遵守甲方的工作安排和合理的工作要求。

Party A shall, within the validity and extension of contract, provide party B with broker services and preparation of its performance and work therewith; Party B shall provide party A with performance services and comply with the work preparation and reasonable requirement form party A.

 

4.2 经乙方同意，甲方拥有安排、接洽、签署一切与乙方有关的演出事宜的权利。甲方签订的与乙方演艺活动有关的合同及相关细则，在合法并事先通知乙方的前提下，乙方应尽责履行其义务。

Party A shall, upon the consent of party B, is entitled to the arrangement, engagement and signature of any and all items concerned party B’s performance. Party B shall use its best endeavor to fulfill its duty of the performance and detailed rules which have stipulated in the contract signed by party A, subject to submit the prior notification to party B from party A.

 

4.3 乙方承诺并保证自签定本合同之日起，无论是否收取报酬，不直接或间接与任何第三者签订类似的合同，未经甲方事先同意，不参与任何与本合同有抵触或与甲方利益相竞争的任何活动或演出。

Party B make commitment and guarantee hereby, on and from the date of signing this contract, shall not make and sign any contract being similar to this contact , weather receipt of payment or not,  directly or indirectly, with any third party, and shall not, without party A’s prior consent, participate in any activity or art performance which being in any collision herewith or competition with party A’s interests.

 

4.4 不论有无报酬，在合约期内，未征得甲方书面同意，乙方不得与任何人及公司签订或许可其将乙方形象、照片、名字等以及任何其它与演出及宣传有关的素材用于商业目的。

Party B shall not, within the life of this contract without the prior consent of party A, weather receipt of payment or not, entered into contract with any person or company, or give them the permission of use of its image, photograph, name, and any other materials concerned with performance and propaganda for commercial purposes.

 

4.5 在合约有效期内，乙方同意甲方拥有一切有关名字，映像、照片、动画、形象及声音的专有使用权，乙方同意甲方拥有一切在世界各地履行本合约的任何演艺的产生或由此而产生的表演权、版权及其它知识产权，无论上述产权是否实际存在、产生或出现。

Party B agree that within the validity of contract party A have the possession of the exclusive right to use party B’s name, film, photograph, cartoon, image and voice, and agree party A preserve the performance rights, copy rights and other intellectual property rights, whether the same exist, come up or appear in practice or not, arising out of or in consequence of any art performance herein in the all over world.

4.6 乙方应为证明甲方拥有本合同所规定的各项权益而出具与本合同有关的必要证明文件。

Party B should, for the confirmation of party A’s possession of each rights and interests herein, provide necessary certificate or proof document thereon.

 

4.7 乙方自备各种有效旅行证件，甲方协助并负责办理乙方因工作需要而前往中国境内外的旅行事宜。

Party B shall prepare its a variety of valid travel certificate, and party A shall assist and be liable to effect matter concerned party B’s business travel abroad.

 

4.8 乙方有权拒绝违法和色情、暴力、身体暴露及其它有损乙方人格、名誉和损害乙方身心健康的表演、演出及其它活动。

Party B is entitle to refuse illegality, pornography violence, nude as well as the performances and other activities with which the damage to party B’s personality, fame and physical and mental health.

 

5.  各方责任 The liabilities of each parties hereto
5.1  甲方的责任 The liabilities of party A
5.2  应当全力协助乙方在演艺事业上发展，辅助乙方在各媒体的宣传和推介。

Party A should assist party B to carry out its development of performance carrier and provide party B with auxiliary propaganda and public introduction of various media.

 

5.3  承担乙方在中国境内、外工作期间的住宿及差旅补助，具体的补助标准及办法由甲、乙双方另行商定。

The party B’s lodging fees and subsidy of business travel in the period of works within and outside the boundaries of China shall be assumed by party A, for which the specific standard and means shall otherwise agreed by parties hereto.

5.4  提供有利于乙方演艺事业的歌唱、舞蹈及形体健身等专业训练及其他各种训练，其费用由甲方支付，如乙方自行安排的训练由乙方自理。

Party A shall provide party B with professional training of singing, dancing and physical fitness  facilitating party B’s art performance and as well as other trains, for which the fees of training shall be born by party A. Provided that the training be prepared by party B, the fees therefor shall be born by itself.

 

5.5 向乙方提供国家规定的劳动保险、医疗保险、养老保险及其它应当享有的社会保险和社会福利。

Party A shall，pursuant to the State laws and policies ，provide party B with the insurances of labour, medicine, endowment and other social insurances and social welfare which party B is entitle to enjoy.

 

5.6   向乙方提供与演艺工作有关的各种专项保险，其险种和保险费标准视工作条件而定，由甲、乙双方具体商定。

Party A shall provide party B with the special insurances of the respective kinds on which the kind and premium of insurance decided as the working conditions may be, and by the specific agreement between the parties hereto.

 

5.7 负责乙方在演出及工作期间的人身安全。

Shall be liable to party B’s personal insurance in the period of performance and working.

5.8  维护乙方的经济利益和名誉。

Shall safeguard party B’s economic benefit and reputation.

 

5.9  乙方的责任 The liabilities of party B
5.10  全力配合甲方安排的为演艺业务需要的宣传活动，接受甲方所提供的专业形象设计建议（包括发型、服饰、化妆等合理建议），如有异议，乙方可提出适当理由供甲方参考，但甲方拥有最终决定权。

Party B should use his best endeavor to cooperate the propaganda or promotional activities, for the business of art performance, with party A, and accept the suggestions from party A of the professional image design, include the reasonable proposals of hair, clothes and make-up and so on) , to which if has the objection, party B may issue his suitable reason for party A reference, subject to party A’s the title of the final decision-making.

 

5.11  遵守演员应有的行为规范，遵照甲方安排参加任何与演出有关的工作会议，拍摄演出，幕后制作或宣传活动等。

Comply with the actor’s conduct criterion and attend, in compliance with party A’s arrangement, any working meeting concerning performance, and take part in shot show, film post-production or propaganda promotion and so on.

 

5.12   按照导演安排，在指定时间，准时守约抵达片场，电视台、录音室等演艺工作场所，按约定完成工作事项。

Arrive punctually, on the appoint time by the arrangement of director, at the performance venues, TV station, recording studio and other show sites and complete working items in according with the agreement.

 

5.13  接受甲方安排的与演艺业务有关的专业培训，包括歌唱、舞蹈、形体、表演、化妆等，其费用由甲方支付，但由乙方自行报读的课程其费用由乙方自理。

Accept the professional training in relation to performance arranged by party A, which include singing, dancing, shape practice, showing, make-up and so on, for which the expenses paid by party A, nevertheless the course taken by party B itself shall be at its own expense.

 

5.14  :未经甲方同意，乙方不得以任何理由拒绝甲方安排或接洽的演艺事项及其实施细则。  乙方不参加对身体或生命有危险或对人寿保险投保有影响的活动。

Party B shall not, without party A’s prior consent, refuse for any reason the art performance with the arrangement of party A and the implement rules thereto and shall not participate in any activity in which dangerous to its physical or life and/or affect the insurance of life.

 

5.15 乙方不做出任何影响甲方及其子、母公司声誉、形象、商誉的行为或言论。

Party B shall not make any conduct or issue any expression by which impact the reputation, image and commercial prestige of party A , its parent company and affiliates.

 

5.16 乙方确认甲方为其独家经纪人公司，甲方拥有安排、洽谈乙方演艺事项的决策权。

Party B confirm hereby party A as its exclusive broker with the rights of matter decision for the arrangement and negotiation of party B’s performance.

 

6 甲、乙双方的利益分配 Distribution of interests between parties hereto
6.1 甲乙双方的可分配收益包括： The interests distributable include as follows:
6.2  电影、电视、录影、广告、舞台演唱、录音、剪彩、广播、灌录唱片、舞台表演、模特儿工作、电台访问或录音、亲自出席宣传推介、创作及其它台前幕后工作、名字、映像、照片、动画、形象、声音等权益收益。

The rights/interests and income arise out of or in connection with or by consequence of the movie, television, video recording, advertisement, stage show, tape-recording, cuts ribbon, broadcast, gramophone record， phonograph record, stage performance, model works, broadcasting station visits and sound recording in which party B participate, and the items such as attending propaganda recommendation, creation and other works on or behind the curtain, and party B’s name, film, photo, cartoon, image, voice and so on.

 

6.3  在履行本合约时产生的或由此产生的知识产权收益。

The proceeds of intellectual property arising out of or resulting from the performance of this contract.

 

6.4  甲方同意并保证乙方收取的年薪酬20万元人民币为完税后的净收入。乙方应当就超出该部分的收入自行缴纳个人所得税。如果乙方超出薪酬部分因未能缴纳国家规定的税费所引起的任何法律纠纷，乙方自行承担全部责任。

Party A agree and guarantee that RMB 200，000  Yuan of the annual payment received by party B shall be the net income after duty-paid. Party B should pay personal income tax on the part surpassing the sum by itself, provided always that party B fail to pay the tax or charge ruled by State’s Provisions,  any and all legal disputes resulting therefrom shall be born by party B.

 

6.5   第7.1条所列各项收入收益的分配原则：甲、乙双方按3: 4:3的比例分配。其余部分收益用于乙方的服装、化妆、摄影及宣传广告费用。该笔款项由甲方负责安排使用，甲乙双方共同管理。

The distribution of proceeds from the items of every kinds stipulated in clause 7(1) herein shall be at the prorate of the 3: 4.3 between parties hereto. The remaining of proceeds shall be used for the cost of party B’s clothes, make-up, photography and advertisement, to which  arranging by party A and co-managing by the parties hereto.

 

6.6  乙方应收取的对外演出及有关工作酬劳，甲方代乙方收取，并在每月首个工作日支付给乙方。

The recompenses payable to party B concerned its performance and other relevant work shall be receipted , on behalf of party B, by party A and trans-paid to party B on the first working day of each month.

 

8 合同中权利、责任和义务的转让

The assignation and transformation of rights, liabilities and responsibilities

8.1 经双方协商，甲方在征得乙方同意后，可转让、授权甲方在合同中的权利、责任和义务。

Party A can, through consultation between the parties hereto and prior party B’s consent, assign and transfer its rights, liabilities and responsibilities hereof to other party.

 

8.2  乙方无权转让乙方在本合同中的有关权利、责任和义务。
Party B is not entitle to assign and transfer its rights, liabilities and responsibilities hereof to other party.

9   在下列情况下，甲、乙双方均有权终止本合同 ：

Any party have the right to terminate this contract under the following cases:

 

9.1 一方严重违反或不遵守本合同的约定条款。

Each party would have the material violation or nonobservance of the terms hereof.

 

9.2  乙方未征得甲方同意而擅自离开工作岗位。
Party B would leave the working post arbitrarily without party A’s prior consent.

 

10  违约 Breach of contract
10.1 :由于一方的过失，造成本合同不能履行或不能完成履行时，由过失一方承担违约责任，如属双方过失，由双方分担各自应负的违约责任。

If and whenever the contract shall, as a result of default or negligence of each party, be unable to or cannot be completed, the party with error shall undertake the violation responsibility and if, all parties hereto, having errors or defaults, shall be liable for its violation responsibility separately.

 

10.2  过失方应当赔偿无过失方的一切直接或间接损失。
The fault party shall compensate the non-fault party for all loss and damage for which whether direct or indirect.

 

11 不可抗力 Force Majeure
    由于伤残、战争、天灾人祸及其它不能预见并且对其发生和后果不能防止或避免的不可抗力，致使直接影响合同的履行或者不能按约定的条件履行时，如遇上述不可抗力的一方，应立即知会对方，并应在15天内，提供不可抗力的详情及合同不能履行，或者部分不能履行或者需要延期履行的理由的有效证明文件，此项证明文件应由不可抗力发生地区的公证机关出具。按照对履行合同影响的程度，由双方协商解决是否解除合同，或者部分免除合同责任，或者延期履行合同。
In the reason of disability, war, natural and man-mad disaster and other unpredictable force majeures for which the happening and consequence are unable to prevented or avoided, with direct infection on the performance of contract or making the same unable to be fulfilled, the party encountering such force majeures shall forthwith notice to opposite party and within 15 days provide the details of the same and the effective identification documents concerning the reasons of being unable or partially unable to perform which shall be issued by the notarization authority located in the region within which the force majeure arise out. In accordance with the extent of the impact on the performance of contract, the settlements shall be, by the negotiation between the parties hereto, chosen as whether rescission or partial exemption from liability hereof or extension of contract.

 

12  本合同为唯一全部关于甲乙双方于本合同涉及的事宜的协议、承诺，在此之前有任何形式的合约或承诺关于同样或相近事宜，甲乙双方确认及同意本合同由即日取代任何以往的合约或承诺。
This contract is the only and complete agreement as well as promise concerned the matters herewith, which shall replace any previous contract or commitment although having other any form of contract or commitment with the same or similar matters between the parties hereto prior to this contract.

 

13  本合同自签定之日起生效，合同有效期为三年。合同有效期满前一个月，如双方愿意继续合作，经协商，可协商延长合作期限。
The effective date of this contract shall be from the date of signature by the parties hereto and validity term is three years. Within a month prior to expiration of effective term the parties hereto could, if willing to continue the cooperation, consult the extension of cooperation stipulated in this contract.

 

14  本合同的订立、解释、履行和争议的解决均受中华人民共和国法律管辖。凡与合同履行相关的争议应友好协商解决，如果协商无果，任何一方可以向北京市仲裁委员会提起仲裁。

The conclusion, explanation, performance and settlement of disputes shall subject to the jurisdiction of the People’s Republic of China. Any and all disputes relation to the performance of contract should be resolved by friendly consultation, if failure of consultation, any party is entitle to submit arbitration to Beijing Arbitration Committee.

 

15 合同文本由中文和英文书就，两个文本具有同等法律效力，如果语言解释有分歧，以中文为准。
This contract is written in Chinese and English, two versions with the same legal effect. In case of any difference of explanation on word herein, the Chinese version shall prevail.

 

16 本合同一式三份，由甲乙双方各执一份，中国艺人资源库备留一份。特此为证。

IN WITNESS WHEREOF, the parties have executed this Contract in triplicate on the date first above written, each party shall keep one copy and the Center of Chinese Art Player keep one
