Contract of Service to Setting Up of Foreign Invested Business

感谢贵代表处选择我们为代理代表处变更事宜，以下协议在双方平等自愿的基础上经协商一致后共同签署，本协议一式两份，双方各执一份。

Thanks for your choice of Representative Office set up. On the basis of both sides equal and voluntary, the contract is signed after consultation; two copies of the contract for both sides, one for one.

一、  服务内容与服务期限：

(政府费用不包含于服务费用之中)（The service fee not includes the Gov. fee）

二、  乙方按照甲方所列清单提供办证所需材料，并保证所提供的材料齐全、有效、真实，如有虚假成分后果由乙方负责。代理服务费为：人民币  壹万贰千元 整，付款方式如下：

Part B, according to the list from Part A, offers the materials needed and ensures all the materials full, effective, and true, or Part B will be responsible for the consequence. Service fee is RMB 12000, payment is as follows,

1．    第一期：自本合同签订之日起三日内，乙方向甲方支付服务费全额的70%。即人民币：8400元

Phase 1: Since the date of signing, within three days, Part B pays 70% of the full fee. That is RMB 8400.

2．    第二期：甲方完成所有约定项目后三日内与乙方进行项目交接，届时甲方交付所有乙方委托办理的证件原件，乙方向甲方支付剩余服务费的30% 即人民币 3600元。

    Phase 2: Part A carries out the handover within three days after completing all the items, then Part A delivers all the original documents required in the process of write-off. Part B pays Part A the rest 30% of the full fee which is 3600 RMB.

三、乙方提供材料如为英文版本，由甲方安排翻译成中文后报送政府机关，翻译费用为人民币75元/页。此费用属于政府规费，不包含于服务费中。

If the materials offered by part B are English version, Part A is responsible to translate them into Chinese version, and then send to Government agencies. The translating fee is RMB 75 per page, which is involved government fees, but not included in Service fee.

四、协议双方签字后即生效，双方不得违约，甲方不能为乙方完成上述代理事项，退还所有预付款，如甲方完成上述部分或全部代理事项，乙方违约，即乙方改变或中止代理，不退还预付款外，造成甲方损失，甲方有权要求乙方承担责任。

Here two sides may not breach of contract after the entry into force of the contract. Part A refunds all the advance payment in condition of not able to complete the above-mentioned matters; If part A completes the above-mentioned part or whole matters, Part B breach of contract, that is, part B changes supplier or suspends the agreement, Part A can refuse to refund the advance payment and takes the right to require Part B to be responsible for the loss.
