中国—印度尼西亚煤炭买卖合同 （中英文）

    SALE AND PURCHASE CONTRACT OF STEAM COAL  

 

(签约双方主体信息 略）

 

This Contract is made between the Seller and the Buyer for Steam Coal, whereas the Buyer agrees to buy and the Seller agrees to sell the Commodity on the following terms and conditions.

本合同由买卖双方订立,根据本合同规定的条款,卖方同意出售,买方同意购买如下商品:

As the Seller and hereinafter to be called “Seller” of the First Part

作为卖方，以下被称为“卖方“的第一部分

As the Buyer and hereinafter to be called “Buyer” of the Second Part

作为买方，以下被称为“买方”的第二部分

Hereinafter together shall be referred to as “Parties”.
以下一同被称为“双方”

 

DEFINITION定义
In this contract, the following terms shall, unless otherwise specially defined, have the following meanings:

在本合同中，下列词语，除非另有特别规定，具有下列涵义：

 

A. “Coal” Means Steam Coal of Indonesian Origin.

 指印度尼西亚产地的动力煤   

 

B. “USD-U.S. Currency” means the currency of the United States of America freely transferable from and payable to an external account.

统指美国货币计量单位。

 

C. “MT i.e. Metric Tonne” Means a tonne equivalent to 1,000 Kilogram.

“公吨”与“MT”均“国际单位制”中所定义的公吨：1,000公斤。

 

D. “Suitable Vessel” means vessel which is suitable for entering and leaving (when loaded) the discharging port always safely afloat.

适合船只进出（当满载）卸货港始终安全运转。

 

E. “CIQ” means Entry-Exit Inspection & Quarantine of People’s Republic of China.

   指中国出入境检验检疫

 

F. “CCIC” means China Certification and Inspection Group, Indonesia Branch.

 中国检验认证集团有限公司及其全球分支机构

 

G. “SGS (Indonesia)” means SGS Indonesia office.

 是指SGS的印度尼西亚办事处。

 

H. “Incoterms” means “The international Rules of the interpretation of the “Trade Term” as published by the International Chambers of Commerce, Paris, France, latest editions and subsequent updates.

 “通则“国际规则的解释的“贸易条款“的出版由国际商会，法国巴黎，最新版本和后续更新。

 

I. “ISO” means International Standards Organization.

J. “CFR” Means cost Insurance and freight as per INCOTERM 2000 price terms latest amendments

 遵循（最新修正的）INCOTERMS 2000相关的定义

 

K. “B/L” means Bill of Lading.

CLAUSE 1: COMMODITY 商品

Product: Steam Coal, Net Calorific Value (GCV)（ARB）5,500 Kcal/Kg

产品名称:动力煤 低位总发热量(收到基) 5,500大卡/公斤

 

Packing: In bulk

包装    :散装

 

Country of Origin: Indonesia

原产地   :印度尼西亚

Loading Port:  Any of port among to open sea port at south / east Kalimantan, Indonesia

装货港  :印度尼西亚南东加里曼丹, 港口之间的任何开放港口，

 

Discharging Port: Port,xxxxxxx China.

 卸货港: 中国xxxxxx港

 

CLAUSE 2: DELIVERY QUANTITY AND DELIVERY PERIOD

交货数量和交付期限

The Seller shall sell and ship and the Buyer shall purchase and accept 50,000 MT (+10%)of steam coal, the seller must delivery cargo within 30 days after the issue of LC.

卖方要出售及准备船舶之时,买方应购买和接受50,000吨（+10％）的动力煤，

当买方发出信用证起30日内,卖方必须交付货物。

 

 2.1 Quantity: The first month of 50,000 tons, the second month or three months may be increased to 10 - 15 tonnes, the three months or four months may be increased to

20 million tons

数量：首月5万吨,第二个月或第三个月可增加到10--15万吨,第三个月或第四个月可增加到20万吨

 

2.2  Adjustment to Unit Price调整单价

Prices are to be adjusted every three months and should have the consent from

 both parties concerned.

每三个月调整一次价格, 并且获得双方的同意。

 

CLAUSE 3: GUARANTEED SPECFRICATIONS

3.1 3.1The Seller guarantees that the quality of the product will meet the following specifications should be analyzed according to ISO Standard.

卖方保证了产品的质量将符合下列规格应按照ISO标准进行分析。

 

3.2The Quality of the Steam Coal shall have the minimum guaranteed specifications.

The Buyer has the full right to refuse receiving the product or the buyer and the seller

confirm the new unit price if it is lower than the rejection level.

煤炭的质量应具有最低保证值。如低于最低保证值，买方将有权拒收或由买卖双方重新确定单价。

 

CLAUSE 4 PRICE    第四条 价格

The unit price for Net Calorific Value (as received basis) (5,500kcal/kg), CFR xxxxx por

 in China, will be USDxxx.00 per metric ton.

单价以低位收到基值5,500Kcal/kg为基准（收到基净值）, CFR中国xxxxx港，xxx.00美元/公吨.

 

CLAUSE 5 PRICE ADJUSTMENT/PENALTIES    第五条 价格调整Premium/Penalties

In regards to each shipment of steam coal which does not meet the Net Calorific Value(ARB) content and other elements set forth in Clause 3, the base price referred to in Clause 4 shall be adjusted in accordance with the Net Calorific Value(ARB) as stated

in the following provisions of Clause 5:

 每批煤炭装运,如果低位收到基热值和其他成分不能满足本合同第3项条款的规定,在第4条款中所阐述的基价应该由在第5条款中规定的内容进行调整:

 

5.1    Premium: 奖励：

For each 1 Kcal/Kg of Net Calorific Value (ARB) above 5,500 Kcal/Kg (ARB) premium is at USD 0.01/MT. 收到基低位发热量高于NCV (ARB) 5,500Kcal/kg，每增加1Kcal，

奖励0.01美元/吨。

5.2     Penalties: 惩罚：

For each 1Kcal/Kg of Net Calorific Value (ARB) below 5,500 Kcal/Kg (NCV, ARB) price will deduct USD0.01/MT，will be afforded by the seller.

收到基低位发热量低于NCV(ARB) 5,500Kcal/kg,价格扣除0.01美元/吨,扣除的部份应由卖方承担。

 

5.3 If ARB content falls below NCV 5,300 Kcal/Kg the shipment is rejected and it shall be deemed as the breach of contract by the Seller.

如果收到基低位发热量低于NCV（ARB）5,300Kcal/kg，买方将拒收,视卖方违约。

 

5.4    If the Total Moisture, as specified on the Certificate, is more than 16%, then the invoice weight of the cargo for payment shall be adjusted in following formula：

Invoice Weight = Certified Weight X (1 - Certified Moisture) / (1 - 16%)

全水分：如果全水分大于16%，那么用于付款的发票重量应该按照如下公式调整：

发票重量＝重量证书上的货物重量×（1－实际全水分）/（1－16％）

 

5.5   If the delivered cargo is proved to be duly rejected by analysis results according to

CLAUSE 3 (SPECIFICATION), the Buyer has the right to choose from:

Option 1: Reject the cargo and claim against the Seller, including but not limited to submit

the case for arbitration according to CLAUSE 16 and CLAUSE 19.

Option 2: Accept the cargo but deduct 20% from the further shipment of basic price in addition to above PRICE ADJUSTMENTS.

交付货物根据合同第3条（商品规格）经检验断定应被拒收，买方有权从中选择：

方案一：拒收货物并向卖方提出索赔，包括但不限于按照合同第16条和第19条提请仲裁；

方案二：接受货物，但在上述价格调整之外还应按照基础价格的20％扣减价款。

CLAUSE 6 PAYMENT TERMS    付款方式

6.1     The Buyer’s shall issue Draft L/C working days to the Seller after signing on Contract by both parties.

签约后5个工作日内，买方开具信用证草稿

 

6.2    The Seller shall issue 2% of L/C amount within 5 working days from a international Bank to the Buyer after receipt of the Draft L/C and Draft PB from the Buyer.

收到买方的信用证的草稿后的5个工作日内，卖方开具信用证金额2%的履约保函给买方。

 

6.3    The Buyer shall issue an operative irrevocable, transferable at sight documentary Letter of Credit in favor of Seller covering 100% of the shipment value by Swift to the Seller within 5 days after receipt of the 2% operative Performance Bond from the Seller’s bank.

收到卖方银行开出的2%银行履约保函后的5个工作日内，买方开具不可撤销、可转让即期全额船载货值、以卖方为受益人的即期信用证给卖方。

 

6.4     LC should contain these additional clauses

信用证应包含下述附加条款:

 

(a)Payment at Seller’s bank counters with TT reimbursements not allowed

在卖方银行柜台付款，不允许电报索偿。

 

(b)Typo errors and minor discrepancies acceptable

可以接受的打字错误和小差异

 

(c)3^rd Party Documents acceptable excluding commercial invoice

商业发票除外第三方单证接受

 

(d)LC Validity Date: 60 days after date of B/L

信用证有效日期：60天

 

6.5    Terms of Payment付款条件

6.6    Payment for the Shipment is based on the CIF price determined in accordance with Clause 4 multiplied by the shown in the Certificate of quantity/quality determined in accordance with Clause 9. 

根据条款4规定的CIF价格及条款9规定的数量/质量证明支付货款。

 

6.7    All bank charges outside Buyer's bank country shall be borne by the Seller. But LC

amendment charges shall be borne by amend side.

在买方国家以外所有银行的费用，由卖方负担。修改信用证的费用，由提出异议方负担。

 

6.8    After fixation of the shipment date, buyer shall assess seller on contract performance according to the determined shipment date by the Clause8.1 of this contract. If the seller fails to carry out the contract, the performance deposit will be forfeited to the buyer.

船期确定后，买方则按照本合同第8.1条款确定的船期对卖方进行履约考核。如果卖方无力执行本合同时，履约保证金归买方所有。

 

CLAUSE 7 REQUIRED DOCUMENTATIONS FOR PAYMENT   支付所需的文件

7.1 a) 3/3 set of original “Clean on Board” ocean Bill of Loading issued to order, blank endorsed, submitted to the bank.

3份正本3份副本空白背书洁净海运提单。

b) Certificate of Quality in one original and two copies issued by CIQ

 at at discharging  port.卸货港CIQ提供的1正本2副本的质量证书。

 

c) Certificate of Weight in one original and two copies issued by CIQ at at discharging  port.

卸货港CIQ提供的1正本2副本的重量证书。

 

d) Certificate of Origin in one original and three copies issued by local chamber of commerce in Indonesia or SKAP in one original and three copies

印度尼西亚商会或SKAP发出的1份正本和3份副本的原产地证书。

e) One copy of facsimile or email advising shipment by the seller.
