（一）In accordance with/pursuant to

例1、The arbitration is to be administered by the American Arbitration Association and is to be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

仲裁将由美国仲裁协议主持并将根据该会的商事仲裁规则进行。

 

例2、After friendly consultations conducted in accordance with the principles of equality and mutual benefit, the Parties have agreed to enter into a sales contract in accordance with Applicable Laws and the provisions of this Contract.

各方在平等互利的基础上，经友好协商，一致同意依照相关法律和本合同的规定签订一份销售合同。

 

例3、“Shipment” shall mean the set of Equipment comprising an individual shipment to be delivered to Buyer by Seller pursuant to this Contract.

“一批合同设备”或“一批货物”指将由卖方根据本合同向买方交付的某批合同设备。

 

 

 （二）in respect of / in connection with / with respect to 就……

在其他文体的英语中，要表达与某事物相关这一语意，比较常用的是regarding或concerning. 此外in connection with, in relation to, relating with, with respect to 等也可表示这一含义。但在合同英语中，这些表达的使用频率者不如in respect of高，其原因可能在于语气上不如in respect of 正式、庄重。

 

例1.

Unless in any enactment it is otherwise provided, the period of imprisonment, which may be imposed by a magistrate exercising summarizing jurisdiction, in respect of the non-payment of any sum of money adjudged to be paid by a conviction, whether it be a fine or in respect of the property of the subject of the offense, or in respect of the injury done by the offender, or in respect of the default of a sufficient distress to satisfy any such sum, shall be such period as, in the opinion of the magistrate, will satisfy the justice of the case, but shall not exceed in any case the maximum fixed by the following scale …

除成文法另有规定外，由治安法官行使简易程序就不支付定罪裁定中要求支付的任何数量金钱（无论系罚金还是犯罪主体的财产）的行为，或者不支付与犯罪嫌疑人所为损害有关的赔偿金的行为，或不为此等金额之给付提供足额抵押的行为所课处的刑期，应该系该治安法官认为能够体现案件公平的刑期，但不得超过下表所列最长刑期……

 

例2.

The Contract Price does not cover costs and expenses that are for Buyer’s account under this Contract, or any taxes (including but not limited to customs duty and value added tax) payable by Buyer in respect of this Contract.

例4.If the Licensee becomes aware that any other person, firm or company alleged that any of the Licensed Trademarks is invalid, or infringes any rights of another party, the Licensee shall immediately give the Licensor in writing full particulars in respect thereof and may make no disclosure of information or admission to any third party in respect thereof.

例1.Save as otherwise provided in this Contract, each Party shall bear its own legal and other professional costs in relation to the preparation, negotiation and entry into of this Contract.

例2.Notwithstanding any other provision of this Contract, [except for breach of confidentiality obligations or infringement of the other Party’s IPR,] neither party shall be liable to the other Party for damages for loss of revenues or profits, loss of goodwill or any indirect or consequential damages in connection with the performance or non-performance of this Contract.

例3.Unless the terms or context of this Contract otherwise provide, this Contract shall be interpreted in accordance with Schedule A, each of the terms used herein shall have the meaning ascribed to it in Schedule A (Definitions and Interpretation) or Schedule B (Special Terms) as the case may be.

除本合同条款或上下文另有所指，本合同应根据附录一进行解释，本合同的定义见附录一（定义和解释）或附录二（特别条款），以适用者为准。

 

例4.Except as stipulated in Article 255 of this code, where a total loss occurs to the subject matter insured and the full insured amount is paid, the insurer shall acquire the full right to the subject matter insured. In the case of under-insurance, the insurer shall acquire the right to the subject matter insured in the proportion that the insured amount bears to the insured value.

（四）notwithstanding … 无论……如何规定；尽管有……的规定

 

例1.Notwithstanding the foregoing, the Parties agree that each Party has the right to seek temporary or permanent injunctive or other similar relief in any court or other authority of competent jurisdiction in respect of any claims of breach of confidentiality or IRP infringement or for an order of specific performance or other injunctive relief as permitted under Applicable Laws.

无论本合同前述条款有何规定，双方同意每一方均有权就任何违反保密义务或知识产权侵权的主张向任何一个有管辖权的法院或其他机关寻求临时或永久禁令或其他类似的救济措施，或申请实际履行的执行令或其他相关法律允许的禁令救济。

 

例2.Notwithstanding any law or practice to the contrary, it shall be lawful for, the court in any proceedings for an offence under Part II to comment on the failure of the accused to give evidence on oath. (Laws of Hong Kong, Cap. 201, Prevention of Bribery Ordinance, Art. 26)

（五）provided that … 但（前提）是……

 

普通英文中较少使用的古旧表达方式，合同条款中广泛使用。与if 或but 非常相似，“倘若/如果”或“但”。置于句首时，引导出的是一个条件分句；但如果该表达之前存在一个主句，则它表示的是一个与之前的陈述相反的“例外”，相当于with the exception of ….一般译成“但”或“但是”，所以通常称这类句子为但书（proviso）。

例1.The Chairman, following consultation with the Vice Chairman, shall decide on the timing and location of such interim Board meeting, provided that such interim Board meeting shall be held not less than [fifteen (15) days and not more than [forty-five (45)] days following delivery of such request.

董事长经与副董事长协商后，应确定此次临时董事会会议的时间和地点，但是举行该临时董事会会议的时间必须在提议提交后十五日到四十五日之间。

 

例2.In addition, with the prior approval of the Chairman and Vice Chairman, any director may invite any other person to attend all or part of any Board meeting, provided that such guest shall sign non-disclosure agreements in such form as the Chairman and Vice Chairman deem appropriate.

此外，经董事长和副董事长事先批准，董事可以邀请其他人士作为嘉宾列席会议的部分或全部，但前提是该嘉宾应按照董事长和副董事长认为适当的格式签署保密协议。

 

例3.Provided that if any representation and warranty of a Party under Article B.1 is not true and correct in all material respects when made, or if there is a breach of Article E, then there shall be no Cure Period.

但是如果一方在第B.1条项下所做的任何陈述和保证在做出时在任何实质方面不真实、不正确，或者违反第E条的规定，则没有补救期。

Provided that a magistrate shall not hear an application under this subsection unless reasonable notice of the application has been given by the Commissioner to the person who surrendered the document.

但专员该申请向交出旅行证件的人给予合理通知之前，裁判官不得附记根据本款提出的申请。

订约人承诺他将保证客户履行其对贵方，即本契约之共同或单独受益人，应尽之义务，但是，如果客户未支付任何到期的款项或未能履行任何其他义务，订约人将在无需对之提出任何要求的情况下，于客户被要求付款的地点，按客户被要求付款的数量和币种以及/或付款方式，不扣减任何金额地予以支付或履行本契约的义务。但是，不得以有利于立约人的方式开始计算本契约项下的任何债务时效，除非组成贵方的各主体之一或两个主体对立约人提出要求，而且，若提要求不止一项，则相关债务时效仅得自要求提出之日起就每一要求分别开始计算。

 

 

 

 

 （六）for the purpose(s) of … 就……而言；在……中

其中的purpose 可以是复数也可以是单数。

例1.For the purpose of this Section 3.8, Cause is defined as Party B’s gross negligence or willful misconduct in the performance of its obligations under this Agreement (“Default”) and failure to cure such Default within 30 days after receiving written notice of Default from Attorneys.

就第3.8条而言，“起因”是指乙方在履行其本协议项下义务时的疏忽大意和故意不法行为（以下称“违约”）以及在收悉律师发出的书面违约通知后三十天（30）内未能补救该“违约”。

 

例2.FACSIMLE SIGNATURES. The signature on this Agreement of any party that is faxed to the other party, will be deemed an original signature for the purpose of enforcement of this Agreement.

传真签名。 通过传真方式发送给另一方的任何一方在本协议上的签署在本协议的实施中将被视为原始签署。

 

例3.For the purpose of this Agreement, capitalized terms which are used herein and not otherwise defined shall have the meaning given such terms in the Plan of Reorganization and the following terms shall have the meanings specified in this Article 1.

就本协议而言，本协议中使用但未另行定义的英文首字母大写术语与重组计划的该等定义含义相同，且下列术语的含义以第1条中规定的为准。

 

例4.For the purpose of these presents any act default or omission of the agent events workmen or licensees of the Tenant shall be deemed to be the act default of omission of the Tenant.

为施行第37条，处长可借挂号邮递方式送达通知书，或借宪报公告，要求任何雇主或任何类别雇主向其呈交通知书或公告日期前两年内任何期间的全部或任何病假日之记录。

 

例7.For the purpose of subsection (1) of this section the attestation of a will by a person to whom or to whose spouse there is given or made any such disposition as is described in that subsection shall be disregarded if the will is duly executed without his attestation and without that of any other such person.

为第（1）款的施行，获得该款所述的处置的任何人或其配偶，如为遗嘱作见证，而该遗嘱没有其它见证或任何这些人的见证亦已属妥为签立，则该人所作的见证须不予理会。

 

例8.For the purpose of subsection (2), “land” does not include incorporeal hereditament.

就第（2）款而言，“土地（land）”并不包括无体可继承财产。

Otherwise 有若干种含义和不同搭配用法。法律英语中，otherwise 通常跟unless 引导的子句（让步状语从句）连用或在连词or 之后使用。还有一种用法是跟than 一起，通常用来否定句子的主语。

例1.All costs of arbitration (including but not limited to arbitration fees, costs of arbitrators and legal fees and disbursements) shall be borne by the losing party, unless otherwise determined by the arbitration tribunal.

所有仲裁费用（包括但不限于仲裁费、仲裁员费用和法定费用和支出）应由败诉方承担，除非仲裁庭另有决定。

 

例2.Unless in any enactment it is otherwise provided, the period of imprisonment, which may be imposed by a magistrate exercising summary jurisdiction, in respect of the non-payment of any sum of money adjudged to be paid by a conviction, whether it be a fine or in respect of the property of the subject of the offense, or in respect of the injury done by the offender, or in respect of the default of a sufficient distress to satisfy any such sum, shall be such period as, in the opinion of the magistrate, will satisfy the justice of the case, but shall not exceed in any case the maximum fixed by the following scale … (Court Interpreters’ Journal, Issue No, 1st Jan, 1995, pp. 12-13)

除成文法另有规定外，由治安法官行使简易程序对不支付定罪裁定中要求支付的任何数量金钱（无论系罚金还是犯罪主体的财产）的行为，或者不支付与犯罪嫌疑人所为损害有关的赔偿金的行为，或不为此等金额之给付提供足额抵押的行为所课处的刑期，应当系该治安法官认为能够体现案件公平的刑期，但不得超过下表所列最长刑期……

 

例3.A notice under subsection (1) shall, unless it otherwise provides, apply to the income from any property specified therein as it applies to the property itself. (Laws of Hong Kong, Cap.201, Prevention of Bribery Ordinance, Art. 14 A [1AA])

根据第（1）款发出的通知书，除其中另有订定外，亦适用于通知书内指明的财产收入，一如适用该项财产本身。

 

例4.If two or more persons are defendants to a claim, as partners or otherwise, a process may be served on any of them and an award may be obtained and execution issued against any person so served notwithstanding that any other persons jointly liable may not have been served or been a party or may not be within the jurisdiction of the Board. (Laws of Hong Kong, Cap. 453, Minor Employment Claims Adjudication Board Ordinance, Art.25[1])

如有2名或以上的人以合伙人或其他身份而属同一宗申索的被告人，法律程序文件可送达予其中任何一人，而判定该收件人败诉的裁定可由申索人获得，执行程序亦向该受件人进行，即使任何其他共同有责的人可能未获得法律程序文件或不属当事人，或不在仲裁处的司法管辖权范围内，均无例外。

 

例5.Any person who by threats, persuasion or otherwise induces a witness or a party not to give evidence in any hearing before the Board commits an offence. (ibid. Art. 41 [1])

任何人藉恐吓、怂恿或以其他手段诱使证人或一方当事人不在仲裁处聆讯中作证，即属犯罪。

 

例6.Where a court is satisfied in proceedings for an offence under subsection (1)(b) that, having regard to the closeness of his relationship to the accused and to other circumstances, there is reason to believe that any person was holding pecuniary resources or property in trust for or otherwise on behalf of the accused or acquired such resources or property as a gift from the accused, such resources or property shall, until the contrary is provided, be presumed to have been in the control of the accused. (Laws of Hong Kong, Cap. 201, Prevention of Bribery Ordinance, Art. 10[2])

在因第（1）（b）款所定转告而进行的法律程序中，法庭经顾及任何人与被控人关系的密切程序及其他情况后，如有理由信赖该人为被控人以信托形式持有或以其他方式代被控人持有货币资金或财产，或因被控人的包赔而获取该等货币资金或财产，则在相反证明成立衫，该等货币资金或财产须推定为由被控制人控制。

 

例7.A person who disposes of or otherwise deals with any property specified in a notice under subsection (1) or a bank or deposit-taking company which pays any money to a person specified in a copy of a notice served on it under subsection (1A) other than in accordance with the consent of the Commissioner shall be guilty of an offence and shall be liable on conviction to a fine of $ 50,000 or the value of the property disposed of or otherwise dealt with, whichever is greater, and to imprisonment for 3 years. (Laws of Hong Kong, Cap.201, Prevention of Bribery Ordinance, Art. 14A [5])

任何人并非按照专员给予的同意而将根据第（1）款所发通知书中指明的任何财产处置或以其他方式处理，或任何银行或授受存款公司并非按照专员给予的同意而将款项予根据第（1A）款向其他送达的通知书副本中指明的人，即属犯罪，可处罚款$50,000，或处以所处置或以其他方式处理的财产价值的罚款，两款额以较大者为准，以及监禁3年。

 

例8.No will or any part thereof shall be revoked otherwise than …

by marriage as provided by section 13; or

by another will executed in accordance with section 5; or

by a written revocation executed in the manner in which the will was executed; or

by the burning, tearing or otherwise destroying of it by the testator, or by some person in his presence and by his direction, with the intention of revoking it.

除藉以下方式外，任何遗嘱的的全部或任何部分，均不得撤销：

根据第13条的规定藉缔结婚姻而撤销；或

藉按照第5条签立的另一份遗嘱而撤销; 或

藉依照签立遗嘱方式签立的遗嘱撤销书而撤销；或

例9.No will or any part thereof, which is in any manner revoked, shall be revived otherwise than by the re-execution thereof or by a codicil executed in accordance with section 5 and showing an intention to revive it. (ibid. Art. 17[1])

遗嘱的全部或任何部分，无论以何种方式撤销后，除非根据第重新签立或加入按照第5条签立的遗嘱更改附件，并表明意愿是恢复遗嘱的效力，否则该遗嘱的全部或任何部分均不能恢复效力。

例11.If a public servant other than a Crown servant solicits or accepts an advantages with the permission of the public body of which he is an employee being permission which complies with subsection (4), neither he nor the person who offered the advantage shall be guilty of an offence under this section.

非官方雇员的公职人员如有公共机构的许可而索取或接受任何利益且该项许可符合第（4）款的规定，则该公职人员及提供该利益的人均不算犯本条所定罪行。

 

例12.Subject to this section, where an order is made under section 12AA in respect of pecuniary resources or property person may, within 28 days after the date of making the other, appeal against the other of the Court of Appeal.

在符合本条的规定下，凡法庭根据第12AA条对并非被定罪的人持有的金钱资源或财产作出命令，该人可在命令作出的日期后28天内就该命令向上诉法院提出上诉。

 

 

（八）subject to … 根据……的规定；在不抵触……的前提下

法律英语中，一般和agreement, section, contract等文件名或特定的条款名配合使用。可译成“以……为条件”、“根据……的规定”、“在符合……的情况下”、“除……另有规定外”以及“在不抵触……下”等 。

例1.Subject to this section, an appeal shall be brought in such manner and shall be subject to such conditions as are prescribed by rules made under subsection(5).

在符合本条规定下，上诉须根据依第（5）款订立的规则内订明的方式提出，并须受该规则所订明的条件限制。

 

例2.Subject to subsection (4), the information referred to in section 13(2) and in section 14(2) may be required from a legal adviser as from any other person, notwithstanding that the effect of compliance with such a requirement would be to disclose any privileged information or communication.

在第（4）款的规定下，可向法律顾问要求提供第13（2）及14（2）条所指数据，一如可向其他人要求，即使遵照该要求办理会造成有特权数据或通讯被披露的后果。

 

例3.Subject to subsection (3), the Board shall have jurisdiction to inquire into, hear and determine the claims specified in the Schedule.

例4.Subject to the provisions of subsections (2) and (3), where a term of imprisonment is imposed by a magistrate in respect of the non-payment of any sum of money adjudged to be paid by a conviction or order, that term shall, on payment of a part of such sum to any person authorized by a magistrate to receive it, be reduced by a number of days bearing as nearly as possible the same proportion to the total number of days in the term as the sum paid bears to the sum adjudged to be paid.

在不抵触第（2）及（3）款条文下，凡有人因不强迫接受缴付根据定罪或命令而判决须缴付的款项，而被裁决官判处一段监禁期，则在该笔款项的一部分付予获裁决官司法令收款人后，其监禁期得以缩减，而缩减的日数占监禁期总日数比例应与已付款在判决须缴付款项中所占比例相同。

 

 

 

（九） without prejudice to … 在不影响……前提下；不影响……

法律英语中，一般译为“在不影响……的情况下”、“……不受影响”、“不妨碍……”、“在不损害……的原则下”、“在不影响……的原则下”，以及“不规限……”。

例1.Without prejudice to section 24, the following shall be treated as properly executed …

在不影响第24条规定的原则下，以下遗嘱须视为正式签立……

 

例2.If upon the hearing of a claim, the claimant does not appear, the Board may strike out the claim, without prejudice, however, to the restoration of such claim by the Board, on the application of the claimant, on such terms as it may think just.

如申索人不出席申索聆讯，仲裁处可剔除该宗申索，但此举对仲裁处在申索人提出申请后，按其认为公正的条款恢复该宗申索并无影响。

 

例3.Without prejudice to your powers and discretions, we hereby authorize you and your agents to take any actions including but not limited to the following : …

例4.Without prejudice to the rights of the Attorney General every complainant or informant shall be at liberty to conduct the complaint or information respectively and to have the witness examined and cross-examined by him or by counsel on his behalf.
