Watson）计划延迟原本定于周三举行的180亿美元合并相关股东大会，因其与经纪商韦莱集团（Willis Group
）的合并计划未能获得足够的投资者支持。
据知情人透露，仅40%的韬睿惠悦的股东对这一并购案投了赞成票。这位知情人士称，韦莱集团也延迟了本来定于周三举行的股东表决。
该知情人士称，上述两个会议都将延迟至周五举行。而且两家公司正在考虑是否改善上述交易的条款，根据目前的合并条款，韬睿惠悦股东将获得相当于每股约118美元的韦莱集团股票，外加每股现金股息4.87美元。

(Nov. 20, 2015, /HRoot.com/)Towers Watson & Co. failed to
get enough investor support for its $18 billion merger with
insurance broker Willis Group Holdings PLC, putting the proposed
deal in jeopardy and prompting the company to postpone a
shareholder meeting on the deal.
About 40% of Towers Watson shareholders voted in support of
the deal, less than the majority needed, according to people
familiar with the matter. Willis postponed a vote of its own
shareholders that had also been set for Wednesday.
Both meetings will be held Friday, giving Towers Watson and
Willis two days to come up with a fix that will win over investors.
The companies are weighing whether to sweeten the terms of the deal
by increasing the cash dividend Towers Watson shareholders would
receive, the people said. Under the current terms, Towers Watson
investors would receive Willis stock worth about $118 a share plus
a cash dividend of $4.87 a share. That deal valued Towers Watson at
a 9% discount to where its shares traded on June 29, the day before
it was announced.
