协议

甲方        : 

乙方        :   

鉴于:

(一)甲、乙双方已在 年 月 日就乙方租用甲方位于上海市南京西路号恒隆广场 幢(下称“该大厦”) 层(下称“该房屋”)签署了《上海市房屋租赁合同》(下称“该合同”,合同号);

(二)乙方根据该合同附表六第3条向甲方申请使用续租期1,即延长租赁期至  年 月 日。

现双方在协商一致的基础上对该合同作如下修改,并不再另行签订新的租赁合同:

 

1、  原南京西路1366号恒隆广场二号楼门牌号码现已变更为南京西路1266号,故该房屋地址应为上海市南京西路1266号恒隆广场办公楼

 

2、  该大厦房地產權証証書編號为:沪房地静字( )第 号。

 

3、  该房屋的租赁期变更为:自该大厦房地产权证获发之日起至 年 月 日止;合同期变更为:自年 月 至 年 月 日止。

 

4、  自  年  月 日起至 年 月 日,该房屋免租期、租金、汇率、管理费、定金调整如下:

 

该房屋租金为每月人民币   元;

 

汇率:该合同以人民币计价,乙方应以人民币支付該房屋租金、管理費、推廣宣傳費、超时空调费及其他费用(下称“該等費用”)除非乙方为境外注册机构或境外注册机构在华代表处,则乙方可以以美元支付該等費用。如乙方以美元支付該等費用,則匯率按該等費用應支付的上一個歷月首日中國人民銀行提供美元兌人民幣之交易中間价折算。

 

该房屋管理费为每月人民币  元;

 

定金:相当于该房屋二个月的租金及二个月的管理费,即人民币  元。

乙方于该合同项下已向甲方缴存的定金即人民币  元,乙方尚须于本补充协议签署后[ 10 ]日内向甲方缴存的定金差额为人民币   元;如乙方逾期支付该定金差额,则视为乙方严重违反该合同中乙方必须遵守或履行的规定,甲方有权根据该合同补充条款第12-14条的规定执行。甲方应在收到乙方缴存的定金差额后[ 2 ]日内向乙方出具加盖其公章的收据。

 

5、   该合同增加12-20(7)条:

如乙方为开展及经营其业务以该房屋的地址取得了相关执照、批准或许可证(包括但不限于注册地址为该房屋的营业执照、卫生许可证等),则该合同终止或提前终止之后乙方将在合理时间内办理完毕前述所有执照、批准或许可证的注销或变更地址手续。

 

6、   该合同第12-6(3)条修改为:

于本合同終止或提前終止后,在不影響本合同項下甲方其他權利的前提下,甲方須在乙方按本合同規定完成第12-20条第(7)款义务并將該房屋返還予甲方且結清本合同項下的所有款項后的20天內,把定金無息退還給乙方。

 

7、  该合同附表六第3条第二段修改为:

于续租期1届满前九个月内但不少于三个月内的任何时候,乙方有权书面通知甲方再次续租至年  月  日,(下称“续租期2”)。续租期2内的租金应等同于续租期2开始时该房屋每月租金的市场价格。届时甲乙双方将另行签署新的租赁合同或补充协议,如甲乙双方未能于  年  月 日之前协商一致并签署新的租赁合同,则甲方有权将该房屋另行出租。

 

8、  自  年月  日起,乙方不再享有该合同附表六第4条项下权利。

 

9、  自  年  月 日起,本合同附表六第6条中“甲方向乙方提供  个免费的地下指定轿车停车位”变更为 “甲方向乙方提供  个24小时免费轿车停车位”。

 

10、   该合同第12-22修改为:

对本合同第11-2条作出如下补充及修改:

 

本合同的备案登记,依据双方自愿原则。任何一方如需办理本合同登记备案,由该方自行办理登记备案手续,并承担由此引起的一切费用。另一方应对此提供必要协助和配合。

 

和本合同有关的印花税将按有关部门的规定各自负担。

 

若乙方要求公证本合同,则由乙方办理公证手续,由此而引起的一切公正费用由乙方承担。

 

11、   本补充协议是该合同不可分割的一部分,除本补充协议对该合同的变更条款及本补充协议另有约定的条款外,本补充协议未尽事宜均按照该合同之约定。

 

12、   本补充协议一式四份,双方各执两份。本协议自双方签署且乙方向甲方足额缴付定金之日起生效。

Supplementary Agreement

 

Party A:

Whereas:

 

(I)                 Both parties have executed the “Contract of Shanghai Municipality on Lease of the Premise” (hereinafter referred to as “the Contract”, Contract No. _______) on ______ (Date) regarding Party B’s renting Party A’s premise located at ____ Floor, Plaza 66 (hereinafter referred to as “the Building”) Tower ___, No.____, Nanjing Road (W), Shanghai (hereinafter referred to as “the Premise”);

 

(II)              Party B shall, according to Article 3 of Exhibit VI of the Contract, apply to Party A for using renewed Lease Term No. 1, i.e., the lease term which shall be extended to _____ (Date).

 

Now therefore, both parties agree to make the following amendments to the Contract after negotiations, without separately concluding a new lease contract:

 

1.        The former address, i.e., Plaza 66, Tower II, No.1366, Nanjing Road (W) has been changed into No.1266, Nanjing Road (W), and thus the address of the Premise shall be Office Building of Plaza 66, No.1266, Nanjing Road (W).

 

2.        The real estate title certificate for the Building is numbered as: No. ___ ( ) of Jing’an District, Shanghai Real Estate.

 

3.        The lease term of the Premise has been changed into: from the date when the real estate title certificate for the Building was issued up to_ ________ (Date); and the contract term is changed into: from ________ (Date) to ________ (Date).

 

4.        During the period from ________ (Date) to ________ (Date), the rental-free period, rental, exchange rate, management fee and earnest money of the Premise shall be adjusted as follows:

 

The rental of the Premise shall be ____ Yuan per month;

 

 Exchange Rate: The prices under the Contract shall be calculated in RMB, and Party B shall pay the rental of the Premise, the management fee, advertising fee, overtime air-conditioning fee and other fees (hereinafter referred to as “such fees”) in RMB unless Party B is an overseas registered institution or an overseas registered institution’s representative office in China in which case Party B may pay such fees in USD. If Party B pays such fees in USD, the exchange rate shall be converted on the basis of the central parity rate of USD to RMB which is provided by the People’s Bank of China on the first day of the last calendar month when such fees are payable.

 

The management fee of the Premise shall be _____ Yuan per month;

 

Earnest Money: Equivalent to the two-month rental of the Premise and two-month management fee, i.e., _____ Yuan.

 

In addition to the ____ Yuan of earnest money paid by Party B to Party A under the Contract, Party B must, within [10] days after the execution of this Supplementary Agreement, pay ____ Yuan of earnest money margin to Party A; if Party B fails to pay such earnest money margin within the time limit, it shall be deemed that Party B has seriously violated the provision in the Contract which Party B must abide by or perform, Party A shall be entitled to enforce Article 12-14 of the supplementary clauses to the Contract. Party A shall, within [2] days after receipt of the earnest money margin paid by Party B, issue to Party B a receipt affixed with its company seal.

 

5.    One clause is added to the Contract as Article 12-20(7):

 

If Party B has obtained relevant licenses, approvals or permits (including but not limited to the business license and hygienic permit which indicate the Premise as the registered address) by using the Premise as the address for carrying out and running its business, Party B shall, within a reasonable time after the termination or advance termination of the Contract, fulfill the procedures for nullification of all the aforesaid licenses, approvals or permits or change of the address.

 

6.        Article 12-6(3) of the Contract shall be amended as:

 

After termination or advance termination of the Contract, Party A must, without prejudice to its any other right under the Contract, refund the earnest money, without interest, to Party B within 20 days after Party B has fulfilled the obligation under Article 12-20 (7) of the Contract, returned the premise to Party A and settled all the amounts under the Contract.

 

7.        Article 3 (2) of Exhibit VI of the Contract shall be amended as:

 

At any time within nine months prior to the expiry of Extended Lease Term 1 but not less than three months, Party B shall be entitled to notify Party A in writing to extend the term of lease up to ________ (Date) (hereinafter referred to as “Extended Lease Term 2”). The rental within the Extended Lease Term 2 shall be equivalent to the market price of the monthly rental of the Premise when Extended Lease Term 2 commences. At that time, both parties will separately execute a new lease contract or supplementary agreement. If both parties fail to reach a consensus after negotiations and execute a new lease contract by ______ (Date), Party A shall be entitled to lease the Premise to someone else.

 

8.        As of ______ (Date), Party B may no longer enjoy the rights under Article 4 of Exhibit VI of the Contract.

 

9.        As of ______ (Date), the contents “Party A shall provide Party B with ___ designated free-of-charge underground car parking spaces” in Article 6 of Exhibit VI of the Contract shall be changed into “Party A shall provide Party B with ___ 24-hour free-of-charge car parking spaces”.

 

10.    Article 12-22 of the Contract shall be amended as:

Article 11-2 of the Contract shall be supplemented and amended as follows:

 

The archival filing and registration of the Contract shall be in compliance with the principle of both parties’ free will. If either party needs to have the Contract registered and archived, such party shall go through the registration and archival filing procedures at its own option, and shall bear all the fees incurred therefrom. The other party shall provide necessary assistances and cooperation in this regard.

 

The stamp duty relevant to the Contract shall be borne by the parties respectively according to the provisions of the relevant authority.

 

If Party B requests having the Contract notarized, Party B shall go through the procedures for notarization, and all notarization fees incurred therefrom shall be borne by Party B.

 

11.    This Supplementary Agreement is an integral part of the Contract. Except for the clauses modified by this Supplementary Agreement under the Contract and those otherwise agreed upon in this Supplementary Agreement, all matters not covered by this Supplementary Agreement shall be dealt with pursuant to the Contract.

 

12.    This Supplementary Agreement shall be in quadruplicate, and either party shall keep two copies. This Agreement shall take effect on the date when it is executed by both parties and Party B fully pays the earnest money to Party A.
